AGREEMENT FOR
PRE-CONSTItUCTION SERVICES
THIS AGREEMENT is made and entered into this � day of ,
October, 1968, by and between Pitkin County, a body corporate and .
politic, 506 E. Main St., Aspen, Colorado 81611, (referred to
° hereinafter as "Pitkin") and Newstrom-Davis Construction Company,
a Colorado corporation with offices at 2000 West Eighth Ave.,
Denver, Colorado 802D4 (referred to hereinafter as "Newstrom��) , .4,z��; ..

: wherein Pitkin and Newstrom shall sometimes be referred to �p.

WFIEREAS, Pitkin has determined that construction of a new
fleet maintenance and storage facility (the °Facility") is
necessary on specified lands owned or controlled by Pitkin, and

W�S, Newstrom is agreeable to providing certain pre- ;' •
construction services to Pitkin upon the terms set out herein for f i ::
, preparation of the Facility for construction under a Construction {
Manager/General Contractor contract between the Parties upon �
their agreement to a figure for a Guaranteed Maximum Price for �' �
the construction project as that term is defined hereinbelow, and � !
WHEREAS, the Parties agree that Newstrom shall be �.
� compensated for its pre-construction services rendered to Pitkin
� hereunder pursuant to the schedule proposed by Newstram on August
. ; 23, 1988 in response to Pitkin�s Request for Proposals in this

1.1 "The Project" shall mean the construction project for ;. '
the Pitkin County Fleet Storage and Maintenance Facility as j
described in the Request for Proposals published by Pitkin on

1.2 °Guaranteed Maximum Price" or °GMP" shall mean a �
guaranteed maxiroaum dollar figure set by negotiation and mutual � ;
agreement between the Parties which shall consist of the sum of
the Cost af the Work and Contractor's Fee for all construction
services under the Construction' Manager/General Contractor
contract for the Project. Any costs which would result in the
GMP being exceeded shall be paid by the Contractor under the �
terms of said contract. �j

"Construction Contract" sha12 mean that agreement to be finally ;���`,��`'"
negotiated between the parties on an amended American Institute
of Architects Form Alll, 1987 Edition, to provide for Newstrom's
services and fees for the Project as Construction Manager/General
Contractor.
1.4 "ArChitect" shall mean RNL Facilities Corporation the
project architect and engineer, and all members of the design
team under the direction and control of RNL. ' �

d.2 Award and prepare subcontracts, trade contracts,
and purchase agreements. All subcontracts shall be between

`.;.�"=`� III. PITRIN'S RESPONSIBILITIES .
3.1 Pitkin shall provide full information regarding its
� requirements for the project.

"��i 3.2 Pitkin shall designate a representative for the project
'`::�� that has authority to approve budgets, changes, make decisions
;,,.� and furnish information.

;„.•1 3.3 Pitkin shall provide a project budget based on
consultation with Newstrom and the Architect, which includes
contingencies for bidding, changes, redesign and other costs of
Pitkin.
3.4 Pitkin shall retain an architect for design and
preparation of construction documents. The Architect's services,
duties and responsibilities are described in the agreement :
�'°;;� between Pitkin and the Architect, a copy of which will be -
:•;;i' furnished to Newstrom. The agreement between Pitkin and the
;-�i;� Architect shall not be modified without written notification to
Newstrom: The agreement between the Architect and Pitkin shall
provide that Newstrom shall have the final approval of the

�:y is for the purpose of assuring Pitkin and Newstrom that the scope

3.5 Pitkin shall furnish surveys, soil reports of K�
subsurface investigations, legal limitations, utility locations,
and a legal description.
3.6 Pitkin shall furnish copies of drawings and
specifications deemed necessary by Newstrom for the proper
bidding and execution of the work. „
3.7 The services, information, surveys and reports required
above shall be furnished with promptness at Pitkin's expense, and � ��' "
Newstrom shall rely upon the accuracy and completeness of same. ; ;�:=�,;'...

3.8 IP Pitkin becomes aware of any fault, defect or non- ��;`i�;�::-
conformance with the drawings or specifications, he shall give ':'!�`:-.`
prompt written notice to Newstrom.

3.9 Pitkin may reserve the right to perform work related to
the project with Pitkin's own forces, and to award contracts in �
connection with the project which are not part of Newstrom's ''
responsibilities under this agreement. Newstrom shall notify �
Pitkin if any such independent contractor's action will in any l �
way compromise Newstrom�s ability to meet its responsibilities ' �' �
under this agreement. - ', f,
3.10 Pitkin shall furnish the required information and
services and render approvals and decisions as expeditiously as
necessary for the orderly progress of Newstrom's services and
work of the contractors.
1 3.11 Pitkin shall be responsible to Newstrom to assure the

; needs and requirements of Newstrom. �

IV. GIIARANTEED MAXIMUM PRICE �

4.1 The guaranteed maximum costs are set as follows: ' f�...
. 4.2 When the design development drawings and specifications
are sufficiently complete, Newstrom will establish a GMP,
guaranteeing the maximum cost to Pitkin of the Pxoject and
iNewstrom's fee. Such GMP will be subject to modification for
changes in the project as provided in the Construction Contract
� and for additional costs arising from delays caused by Pitkin or
i the Architect or other consultants of Pitkin.

4.3. Newstrom shall perform self work as a subcontractor to �
itself possibly supplying payment and performance bonds on said �'.

4.5 Any construction cost over the final adjusted GMP will
be borne by Newstrom. In the event Newstrom and Pitkin canttot
reach agreement on the GMP, Pitkin will, at its option, cancel
this contract and be liable only for the actual cost of
preconstruction work as established in Article V. hereof. ,
V. NEWSTf20M'S PRECONSTRUCTI�N FEE '
5.1 In consideration of the performance of this agreement,
Pitikin agrees to pay Newstrom in current £unds as compensation ` `
for its preconstruction services a fee as described below. It is �+�,.�_�j_.
explicitly understood and agreed, however, that said fee shall be '}f,':. .
paid by Pitkin if, and only if, the Parties fail to agree to an !;::.
acceptable GMP figure on or before January 1, 1989, and Pitkin ii:��:'-

services for the Project. Should a GMP be agreed to and Newstrom
� proceed as CMJGC for construction of the Project, all fees for C� .'�'

� 7.2 Terms in this agreement shall have the same meaning as
i those in the 1987 Edition of AIA Do�ument A201 General Conditions
of the Contract for Construction. �

7.3 Neither party hereto may assign its interest in this
agreement without the prior express consent of the other party

The Contractor shall be subject to the following provisions: '%•j

; A. The Contractor acknowledges that this Agreement is entezed �,
� into subject to the requirements of the "Pitkin County Pro- 5s: `
curement Code," (Section 8.5 of the Pitkin County Home Rule R;�, .:'.
Charter, Resolution No. 82-37, April 12, 1982). As such, the }� '
i Contractor agrees to comply with all requirements of said �
I Procurement Code, and such requirements are incorporated ' �,�� �
� herein by this reference. The Contractor also acknowledges � ;
that this Agreement is subject to applicable state � :
1 contracting law including, without limitation,
.j C.R.S. Sections 38-26-101 et se ., 24-92-101 et se .,
43-2-101 et sea•, 43-2-201 et sea•
B. The Contractor shall immediately notify the County Manager in
- writing of any violation of said Code or statutes by the
� County's employees or agents, which violation(s) is known or .
should have been known by him, and failure to so notify the ,�
County of any violation(s) within five (5) days of knowledge ;�
� of such violations shall be considered a breach of this ::r
Agreement. Further, such failure to notify the County of �
violation of the.Procurement Code or statutes within five (5) �a�
days of knowledge shall be deemed as a waiver of any action
or defense that the Contractor may have against the County by
reason of such violation of the Procurement Code or statutes.

2. WARRANTIES AGAINST CONTINGENT �EES GRATUITIES. KICKBACKS AND
CONFLICT OF INTEREST
I A. Covenant Against Contingent Fees. The Contractor .warrants �
� that no person or selling agency has been employed or •
retained to solicit or secure this Contract upon an agreement �'
or understanding for a commission, percentage, brokerage, or
contingent fee, excepting bona fide employees or bona fide �
established commercial or selling agencies maintained by the

B. Gratuities Prohibited. The Contractor agrees not to give any ��
employee or former employee of Pitkin County a gratuity or �

4. TERMINATION FOR DEF'AULT OR FOR CONVENIENCE OF COUNTY
A. The performance of work under the Contract may be terminated
by the County:
(1) Whenever the Contractor shall default in perfortnance of ,
this Contract in accordance with its terms, and fails to ,
cure or show cause why such failure to perPorm should be
excused within ten (l0) days (or longer as the County may
allow or shorter, but not less than three (3) days, for �*�'°-
failure to provide proo£ of insurance or maintenance of t��g
any danqerous condition) after hand-delivery or mailing +:%";
to the Contractor of a notice specifying the default. If
mailed, said notice shall be sent by certified mail,
i return receipt requested, to the address specified herein -
� for the Contractor.
� The Contractor shall not be in default by reasons of any �,.•- %
failure in performance of this Contract in accordance 4: ;�:-�

� with its terms if such failure arises out of causes ,: �. �:
beyond the control and without the fault or negligence of
� the Contractor. Such causes may include, but are not i
� restricted to, acts of God, natural disasters, strikes, � �

��� or negligence of the Contractor. Upon request of the
� Contractor, the County shall ascertain the facts and
failure, and, if the County shall determine that any
� failure to perform constituted a valid commercial excuse,
the performance shall be revised accordingly and notice

(2) Whenever for any reason and in its sole discretion Y_]ie =�
County shall determine that such termination is in its
best interest and convenient.
� B. Notice of Termination. In the event of termination £or the
� convenience of the County, the county shall deliver to the �
� Contractor a written notice oP tersnination, specif}•ing the
� reasons therefor, and the effective date of such
� termination. The effective date shall not be earlier than
the date of hand-delivery or the date of mailing of the
' notice, plus three (3) business days. xhe notice of termina-
� tion shall be sent regular first-class mail to the address of �
� the Contractor herein provided. �,
C. Termination Procedure. After the effective date of the
notice of termination for default �r for the convenience of
� the County, unless otherwise directed by the County, the ��

(2) Place no further orders for materials, services or facil-
ities.
(3) Terminate all orders and subcontractors to the extent
that they relate to the performance of work terminated by ,
the notice o£ termination.
(4) With the approval or`ratification of the County, settle �
all outstanding liabilities and all claims arising out of
such termination on orders or subcontracts, the cost of : ;;:,;`:::_

D. Termination Payment. After the effective date of a notice of �;
termination for the convenience of the County, the Contractor �`•'��

shall submit to the County his termination claim in the form �.:.,
of a final invoice in accordance with the provisions in -
"Method of Payment," including costs incurred to the date of
terminatian, and costs incurred because of termination, which ,,j��, '
terminatioh costs shall not exceed 10$ of the total amount of fi„ ':::::.�
proposal; provided, however, that in the event of default by ,:�;
the Contractor, no extra costs incurred because of �'• : `
termination shall be paid to the Contractor and any costs �
� paid shall not be a waiver of any claim, countez�claim or set-
off by the County against the Contractor on account of any
, default. Such claim must be submitted promptly, but in no
event later than thirty (30) days from the effeotive date of
- termination, unless one or more extensions are granted in
writing by the County. Upon the Contractor's failure to
suhmit a claim in the time allowed, the County may xeview the
information available to it and determine the amount due the �
Contractor, if any, and pay the Contractor the amount as �,��
determined. `
E. Termination Settlement. Subject to Paragraph 4.D., the Gti;
Contraator and County may negotiate the whole or any part of
the amount or amounts to be paid, upon termination for �
default or for the convenience of the County.

F. Remedies. The Contractor shall have the right of appeal from
any determination made by the County under "Termination for
Default or for Convenience of County;" except that if the
� Contractor has failed to submit his claim within the time
provided in Paragraph 4.D., above, and has failed to properly
request extension, he shall have no such right o£ appeal. In '�
any case where the County has made a determination of the
amount due under Paragraphs 4.D. or 4.E., above, the County
; shall pay the Contractor: (1) the amount the County has
, determined i£ there is no right to appeal or if no timely �
appeal has been taken, or (2) the amount finally determined '

5. METHOD OP PAYMENT

A. Once each four (4) weeks, oY whenever convenient to both the !��.:
Courity and the Contractor or as otherwise provided in the
contract documents, the Contractor shall submit to the County
an Application For Payment fox percentage of work completed.
j B. After receipt and approval of charges, the County shall make ,,. .
} payment thereon within thirty (30) days of receipt of said ��.;:

`� C. Prior to a final payment under this Contract, the Contractor ���'.�i�
shall execute and deliver:
(1) An assignment to the County of refunds, rebates, credits
or other amounts, including the interest thereon,
properly allooable to cost for which the Contractor has
been reimbursed by the County under this Contract;
_ . (2) A release or waiver discharging the County for all
liabilities, obligations and claims arising out of or �
: under this contract on beha2f of the Contractor (and his
successors and assigns) and of all subcontractors and .�
+; suppliers, and an indemnity protecting the County against r�t
any such liabilities, obligations and claims; �.
(3) An assignment to the County for all warranties £or pro-
ducts and operations provided under this Agreement; and
� (4) A warranty from the Contractor in a form agreeable to the
{ parties, but with a warranty period of not less than one

� (5) Notice of Advertisement, pursuant to C.R.S. Section 38-
� 26-107, if applicable, or other applicable regulation or ,

6. INTEGRATION AND MODTFICATION
A. This Contract constitutes the full and complete agreement of ,j
the parties and supercedes or incorporates any prior written �

County. Any such contract or modification to this contract
must be in writing and be executed by the parties hereto.
B. With respect to change orders under the Contract, the County
and the Contractor shall process and approve/disapprove .
requests for change orders as otherwise provided in this
Contract, subject to the requirements of the Procurement Code
and the Finance Office.
7. INDEMNITYI2NSURANCE �+�'3-

A. The Contractor (including, by definition here and
hereinafter, its o£ficials, employees, agents and representa-
tives, subcontractors and suppliers), shall and herehy does
release, discharge, indemnify and hold harmless the County of
Pitkin and its officials, employees, agents and representa- ��'• • `'
tives from and against liability for any claim, demand, loss, ;,�`� `:
damages, penalty, jungment, expenses, costs (including costs '�.:::"i�`
of investigation and defense), fees (including reasonable �`' •` .
attorney and expert witness fees) or compensation in any form ��'� � �
' or kind whatsoever for any bodily injury, death, personal
� injury or property damage arising out of or in connection
i with any negligent act, intentional act, error or omission by
the Contractor, and for any consequential liability alleaed
to accrue against the County on account of the Contractor's
i acts, errors or omissions; provided, however, that such
- i indemnity shall not be construed as an indemnitiy for bodily
'' injury or property damage arising from the sole negligence of
� the County or its employees. �
� B. The Contiractor further shall investigate, process, respond �
to, adjust, provide defense for and defend, pay or settle all �
claims, demands, or lawsuits related hereto at its sole
expense and shall bear all other costs and expenses related
` thereto, even if the claim, demand or lawsuit is groundless,
false or fraudulent.
C. To fund this indemnity, in whole or in part, th� Contractor
shall secure and maintain for the term of its contractual
relationship with the County such insurance policies, from
companies licensed in the State of Colorado, as will proteat
itsel£, the County and others as specified, frora claims for .
bodily injuries, death, personal injury or property damage, ;�
which may arise out of or result from the Contractor's acts,
• errors or omissions. The following insurance coverage, at or

B. Pursuant to state statute and to the extent permftted by law,
Colorado labor shall be employed to perform the work to the
extent of not less than eighty percent (80�) of each type or
class of labor employed on such project; except for highway
construction, which is Eubject to C.R.S. 43-2-208, which �
provides that all laborers shall be bona fide residents of
: Colorado with a preference to residents of the County where
, the work is performed.
C. Preference is given, to the extent permitted by law, to: +'< s` •

� 9. RECORDS �

accurate books, records, and documents concerning its performance "'`""
relating to this Project for a period of three (3} years after � }�
' final payment on the Project and the County shall have the right '� '.
within the three-year period to inspect and audit these books, '
� records and documents, upon demand, in a reasonable manner and at
reasonable times, for the purpose of determining, by accepted
� accounting and auditing standards, compliance with a11 provisions
! of the Contract and applical�le law.

� 10. ANNUAI, APPROPRIATIONS
If the contract awarded as a result of a bid extends beyond the
� calendar year, nothing herein shall be construed as an obligation r
by the County beyond any amounts that may be, from time to time, !
appropriated by the County on an annual basis. It is understood
that payment under any contract is conditional upon annual appro-
priation of funds by said governing body and that before
' providing services, the Contractor, if he so requests, wi11 be
advised as to the status of funds appropriated for services or �
materials and shall not be obligated to provide services or
materials for which funds have not been appropriated.

This Agreement and all of the covenants hereof shall inure to the ��.

E. In addition, these Certificates of Insurance shall contain � 3.-

F. Certificates of Insurance for all renewal policies shall be
delivered to the Project Manager at least fifteen (15) days

8. EXEMPTIONS AND PREFERENCES

12. THIRD PARTIES
This Agreement does not and shall not be deemed or construed to
confer upon or grant to any third party or parties, except to
parties to whom Contractor or County may assign this Agreement in
accordance with the specific written permission, any rights to •
claim damages or to bring any suit, action or other proceeding ,
against either the County or Contractor because of`any breach i .;
' hereof or because of any of the terms, covenants, agreements or
