NOtiV, THERfiFORE, the County and the Contractor, for the
considerations i�ereinafter set fortli, agree as fallows: � ,
1) T}JE CONTRACTOR AGR�GS to furnish all the necessary �
labor, materials, equipment, tools and services necessary to
complete in a wockmanlike manner all taslcs required for the
completion of the Yroject, in strict compliance with the contract `
documents herein mentioned, which are made a part of this ' `
contract. .
a. CONTRACT TIME AND LIQUIDATED DAMAGES. Worlc under

hereby agrees to pay the County liquidated Uamages in the amount -
of $100 (one hundred dollars) per calendar day for each day or

h. SUB-CONTRACTORS. The Contractor agrees to bind
every sub--contractor by the terms of the Contract documents. The
Contract Uocument's shall not be construed as creating any
contractua3 relationship between tl�e sub-contrlctor and the
County.
` 2) TtiLi COUNTY AGREES to pay, and the Contractor agrees to
accept,' in full payment for the performance of this Contract, the
Contract amount of thirty-nine thoussnd two hundred ninty dollars
(9�39,2�0.00)), subject to increase or decrease in accordance with •
the provisions of the Contract Locuments. '

4. AUTHORITY AND RESPONSIEILITY OF T}IF. DIR�CTOR OF PUBI.IC "�l
WORICS. All work sh�ll be done under the general supervision and ; �� ,. .:
direction of the Director of Public Works or his designee, the �' :

Project Manager. The Director shall decide any and all questions •.
cuhich may arise as to the quality and acceptability of materials
furnished, work per£ormed, rate of progress of the work, inter- "
pretation uf the Contract, change orders (within the limits of ,
his authority) and all otlier questions as to the compiiance with
the contract on the part of the Contractor.
5. SUCCESSORS_AND _ASSIGNS. This Agreement does not and
shall not be deemed or construed to confer upon or graqt to any
third party or parties, except to parties to w5o Contractor or � �
County may assign this Agreement in accordauce with the specific �
written permission, any rigbts to claim damages or to bring an,y
suit, action or other proceeding against either tl�e County or
Contractor because of any breach hereof or because of any of the � `
, terms, covenants, agreements or conditions herein contained. �
7. WAIVfiR. No waiver of default by either party of any of �
, the terms, covenants or conditions hereof to be performed, kept
and observed by thA uther party shall be construed, or operate
as, a waiver of any subsequent default of any of the terms,
covenants or conditions herein contained, to be performed, kept '
and observed by tlie other party. � �{ `

8. AGREEMENT MAUE_IN COLORADO. The parties agree that this w`.
agreement was made in accordance with the laws of the State of
Colorado and shall be so construed. Venue is agreed to be
- exclusively in the courts of Piticin County, Colorado. f
9. ATTORNEY'S rRES_ In the event that 1ega1 action is ' 4`
necessary to enforce any of the provisi.ons of this Agreement, the � �

� As per our conversation yesterday, this is to notify � '
f you that we completed all of the metal work repalrs on
_ � the above pro�ect as of November 18. We ran into
s several conflicts Sn meeting the deadline of Plovember
� 15, 1988, due to mainly weather. In the final days �
' of work, snow and cool temperatures prohibited the painter
.? from finishing several areas allotaittg us to relocate the �.�
st�ging, and upon your directive we did not erect frame �
iscaffolding to complete aur work on the 16th of November. b:.

i I realize that there is a penalty nf {� 100.00 pPr day
{ psst the comAletion date: however, we have campeted
! additional work ln restoring and remounting the Justice
statue not in our contract. The ch�ges involved for
� the statue, labor and materials= �j 358.10. In an
1 effort to avoid additional pgper tirork, I would propose
S to credit the county the charges for stRtue restoration
