THIS AGREEML+NT, made as of the 20th day of June, 1988, by ,

2} TH� COUNTY AGREES to pay, and the Contractor agrees to
accept, in full payment for the performance of this Contrect, the
`� Contract amount of twenty-one thousand, two hundred dollars :
(y21,200), subject to increase or decrease in accordance with

direction of the Uirecior of Public 4Vorks or his desi�nee, the '
� Project Manager. The Direc�or shall decide any and all questions
� which may arise as to the quality and acceptability of materials �! • .
� furnished, work performed, rate of progress of the work, inter- ; ` '
pretation of the Contiract, change orders (within tlie Iimits of
his authority) and all other questions as to the compliance with �`
the contract on the part oF the Contractor. �
'� 5. SUCCESSORS_AND__ASSIGNS. This Agreement does not and �
� shall not be deemed or construed to confer upon or grant to any k
� third party or parties, except to parties to who Contractor or i
i� County may assign this Agreement in accordance with the specific
�aritten permission, any rights to clai.m damages or to bring any
� suit, action or other proceeding against either the County or
Contractor because of any breach hereof or because of any of the
� terms, covenants, agreements or conditions herein contained.
� 7. l9AIVER. No waiver of default by either party of any of
� the terms, covenants or conditions hereof to be performed, kept
and abserved by the other party shall be construed, or operate
±� as, a waiver of any subsequent default of any oF the terms, ;
covenonts or conditions herein contained, to be performed, kept
and observed by the other party. S
�.� 8. AGR�EMENT_MADE_IN_COLORADO. The parties agree that this y,
agreement was made in accordance with the laws of the State of ��
_� Colorado �nd shall be so constraec�. Venue is agreed to be ,
exclusively in tihe courts of Pitkin County, Colorado. �
� 9_ ATTOkNEY'S_FBCS. In the event that lega] action is �
necessary to enforce 1ny of the pravisions of t.his Agreement, the
. � prevailing party shall be entitled to its costs and reasonable

10. WAIVGR OF__PRESUMPTION. This Agreement was negotiated
and reviewed throvgh tlie mutual efforts of the parties hereto and
the parties agree that no construction shall be made or presump-
tion shall arise for or against either party based on any alleged -
unequal status of the parties in the negotiation, review or � ,
