� 1. The Contractor agrees to furnish all labor, materi-
als, equipment, tools and services necessary and incidental to
perform and complete in a workmanlike manner all work required •
for the maintenance (including snow removal and signage), repair ,
� and improvement of the roads in the orchard Estates Subdivision
for the term of this Contract. 3 '

2. The term of this Contract shall be from January 1, �:

This contract shall automatically be extended on a
year-to-year hasis, unless terminated pursuant to paragraph 10,

This Contract shall automatically terminate if and when

the State terminates the Highway User Tax Fund reimbursement for
the roads that are the subject of this Agreement. ;

3. a. The County agrees to pay and the Contractor
agrees to accept as full payment for full performance under this
Contract, the Contract Amount of One Thousand Four Hundred Fifty �
Two and 92/100 Dollars ($ 1,452.92), which shall accrue and be �
paid by the County in the calendar year the work was performed, 'y.',;',._

according to the schedule on the annexed Exhibit "B;" payments, �f';,_.
payment amounts and payment times by the County to Contractor in k�•`

� a calendar year are expressly conditioned on receipt of Highway

+ User Tax Fund payments by the State to the County in that year.

! If the payments from the State are reduced or not received by the t

County during the term of this Agreement for any reason whatso- �, i

hereof, that the County has established sufficient reserves, it
will abate or reduce this insurance deduction until such time as
a claim or a change in the insurance market makes further reserve �
deductions necessary. The reserves funded by these payments
shall be pooled with the reserves of all Contractors funded by . �

c. In all cases, the County shall be entitled to
� deduct five (5$) percent of all funds received by the State as `i}

4. a. The Contractor hereby represents, as an induce-
ment to the County to enter into this Agreement, and warrants .
_ that all roads subject to this Agreement meet minimum Pitkin
t County Road Specifications for that class of road. Funds here-
_ ��under shall only be spent on substandard roads to the extent that

such expenditure brings such roads up to minimum standards. `

b. All maintenance, repair, and construction shall
be done in strict conformance with the requirements of the then- �
' current Pitkin Count'y' Road Specifications, Standard State of
Colorado road maintenance, repair and improvement standards and
the requirements on the annexed Exhibit "C."

d. All operations hereunder shall also strictly
comply with the requirements of 1973 C.R.S. 43-4-207, as it may
be from time to time amended. That section generally provides as ,

5. The Contractor may subcontract its obligations

1 hereunder (including its obligations under paragraph 6, below) ta
� any qualified road contractor with the express written permission
of County, but agrees to bind every subcontractor by the terms of
this Contract. This Contract shall not be construed as creating
a contractual relationship between any subcontractors and the
County. No subcontract shall be construed to excuse or release ��'.

c. To fund this indemnity, the Contractor shall:

The Contractor shall be responsible for keepinq the roads -
open and passable through the winter months. A prompt and .
efficient response to all storms greater than 3 inches in .
depth is required. During large or extended periods of snow
service shall be provided at appropriate intervals to ensure ;- ,?:.
that the use of the road is available. The Contractor shall ��`°
maintain the snowbanks and wind rows to prevent any adverse ':��°
accumulation which would restrict the use of the road or '��.�":;
hinder the efficient removal of snow. ��� `

b. Surface gradinq and graveling '
The Contractor shall at regular intervals, grade the �`:
surface of the road to develop and maintain a standard cross
section and keep the surface smooth and uniform. In addition �
the Contractor shall furnish and install sufficient road base � �
material (CDOA Class-6) to maintain a well drained and durable �
surface. Compliance with this task will involve a minimum of � ! .
two days machine time with a motor grader and the placement , �
of a minimum of 100 tons of road base as needed or as directed
� by the County. _
c. Ditch cleaning
_ 2he Contractor shall mechanically grade and u_.ean the
=� drainage ditch to remove dirt and debris and maintain the
free flow of storm water.
d. Sign installation and maintenance
The Contractor shall install and maintain appropriate �
signs to comply with the requirements of Pitkin County and '
the Manual of Uniform Traffic Control Devices. Compliance
with this requirement involves the installation of a minimum
of four siqns together with their repair or replacement if
they are damaqed or lost.
e. Culvert inskallation and maintenance
The Contractor shall be responsible for the installation
and maintenance of the drainage culverts within the subdivi-
sion. This work shall include cleaning the culverts should
they become plugged and the replacement with new culverts of
appropriate size should one become damaged.

f. Sight distances .
The Contractor sha11 be responsible for cutting and
trimming such weeds and £oliage and for removing any ` '��
� obstructions as is necessary for maintaining safe and proper �

4. TFRMT�IATION FOR DEFAULT OR FOR CONVENIENCE OF CQUNTY
A. The performance of work under the Contract may be terroinated
by the County:
(1) Whenever the Contractor shall default in performance of
this Contract in accordance with its terms, and fails to
cure or show cause why such failure to perform should be
excused within ten (lo) days (or longer as the County may
allow or shorter, but not less than three (3) days, for t.�;,:;',.
failure to provide proof of insurance or maintenance of �±:.3,.

notice, plus three (3) business days. The notice of termina-

(2) Place no further orders for materials, services or facil-

that they relate to the performance of work terminated by

D. Termination Payment. After the effective date of a notice of
termination for the convenience of the County, the Contractor ,;,.'��
shall submit to the County his termination claim in the form
of a final invoice in accordance with the provisions in
"Method of Payment," including costs incurred to the date of
termination, and costs incurred because of termination, which ;:�:1'.-.:;::
termination costs shall not exceed 10� of the total amount of � "
proposal; provided, however, that in the event of default by �'::��'" ';
the Contractor, no extra costs incurred because of
termination shall be paid to the Contractor and any costs •
paid shall not be a waiver of any claim, counterclaim or set- "�

default. Such claim must be submitted promptly, but in no
event later than thirty (30) days from the effective date of
• termination, unless one or more extensions are granted in
writing by the County. Upon the Contractor's failure to
submit a claim in the time allowed, the County may review the

• E. Termination Settlement. Subject to Paragraph 4.D., the �
Contractor and County may negotiate the whole or any part of � �
the amount or amounts to be paid, upon termination for f •
default or for the convenience of the County.
• F. Remedies. The Contractor shall have the zight of appeal from
any determination made by the County under "Termination for
' Default or for Convenience of County;" except that if the
Contractor has failed to submit his claim within the time
provided in Paragraph 4.D., above, and has failed to properly
' request extension, he shall have no such right of appeal. In _��__
any case where the County has made a determination of the �`,
amount due under Paragraphs 4.D. or 4.E., above, the County �`,
- shall pay the Contractor: (1) the amount the County has

Colorado labor shall be employed to perform the work to the �,
extent of not less than eighty percent (80%) of each type or - �

construction, which is subject to C.R.S. 43-2-208, which '
; provides that all laborers shall be bona fide residents of
i Colorado with a preference to residents of the County where
the work is performed.
C. Preference is given, to the extent permitted by law, to:
' materials, supplies and provisions produced, manufactured or
grown in Colorado, quality being at least equal to materials, a
supplies and provisions from outside tha state; and to local
(Roaring Fork Valley) services and labor of quality at least ,,� �
equal to non-local services and labor. �
, 8. RECORDS ^'�

The Contractor shall maintain comprehensive, complete and
accurate books, records, and documents concerning its performance � �
relating to this Project for a period of three (3) years after
final payment on the Project and the County shall have the right
within the three-year period to inspect and audit these books,
records and documents, upon demand, in a reasonable manner and at
reasonable times, for the purQose of determining, by accepted
accounting and auditing standards, compliance with all provisions � _:
of the Contract and applicable law.

9. ANNUAL APPROPRIATIONS
If the contract awarded as a result of a bid extends beyond the {
� calendar year, nothing herein shall be construed as an obligation � i�
by the County beyond any amounts that may be, from time to time,
appropriated by the County on an annual basis. It is understood 1 �:•.
that payment under any contract is conditional upon annual appro- � ;

claim damages or to bring any suit, action or other proceeding
f against either the County or Contractor because of any breacri
