TERM/RENEWAL: The initial te_m of this License Agree- ment shall be a period of six �6) years commencing January 4, 1988, and terminating on January 3, 1994. Within sixty �60) days after the end of each an- y�''�-"�� nual period, Licensee shall mail to County a statement, certified ��''`:� :' � hy an independent certified public accountant in accordance ctith j generally accepted accounting and auditing principles, showing [he , � gross receipta from the Premiaes during the preceding year; Licen- � :� see ahall pay therewith the amount, if any, by which the annual - percentage fee then due exceede the annual minimum guarantee pre- j viously paid for such preceding year. - ! . For the purpose of this section, "annual" and "year" ahall 1 mean each calendar year hereunder commencing with the calendar •� year 1988. ThereFore, the guarantee and percentage license fees shall be prorated for the last three �3} days of the initial term ;� based on the gross receipts for such three-day period, subject to 't deduction of a prorated amount of the credit against the guarantee ` fee as provided for in Paragraph 7 below. �� :� 4. PAYMENTS: Payments hereunder by Licensee shall be trans- i mitted as followa: i a. Licensee shall institute satisfactory revenue cotttrol procedures for the public parking facilities includ- ing ti) procedurea to control ingress to and egress from the Premises; (ii) procedures for collection of ' � proper fees in accordance with the approved rate � ,� , ' schedule in effect; and �iii) procedures for satis- ' � factory accounting, recordkeeping, reporting and �` auditing, including without limi[ation, daily physi- ;±� cal inventory of vehiclea in lots, daily bank depo- sits, consecutively numbered fee tickets �which tic- ';� kets shall contain the following minimum information: amount and date of receipt, cashier identification � number and time parked) , procedutes far accounting for and reporting lost, missing, damaged or destroyed tickets, twice-annual operational audits and also surprise management audits. c. The facilities ahall be open for operation every day of the year from at least one hour before to one hour af[er the time commercial airline flights are sche- duled for operation. , e. Any use, operation or ac[ivity not expresaly permit- �+;. ;-'.',:' ted in this Licensee is prohihited, except under fur- � � ther written permisaion by the County. �`... ..' 7. EQUIPMENT AND IMPROVEMENTS: Licenaee shall, at its, ex- pense and at the lowest reasonable competitive cost, furnieh, in- stall and construct on Che Premisea certain new revenue control �,'� ,ti,:: ;:�- equipment and other improvemente necessary for the operation of � the facilities at a total cost (including freight, taxea and in- 'li'' stallation) not in excess of $180,000.00 (as more fully set out in `• ; � Licensee's Proposal submitted October, 1987, which is incorporated • herein by this reference). Upon completion of the work, Licensee ' shall furnish County with evidence of the cost thereof. Such im- � provements shall be done and campleted in a workmanlike manner, according to all applicable building and development cades, and ahall be subject to normal equipment and conatruction warranties. If the total coet o� the equipment and improvements is less � than $180,000.00, Licensee shall promptly pay to County the dif- - ference between the total cost and [he $180,000.00. � q ' � If the total cost of the equipment and improvements is great- :� er than the $180�000.00 solely as a result of the County's direc- '°,�.. tion to commence operations by December 18, 1987 (and potential consequential additional costa .for phased construction, weather related protective services and durable surface binding paving . course), and the Gounty shall approve such additional costs, which approval ahall not be unreasonably c+ithheld, then the total cost shall be distributed as license fee credits as provided below. In no event shall these additional costs exceed $10,000.00. Title to the above equipment and improvements shall vest in ; County upon inatallation and shall be evidenced by a Bill of Sale � delivered to County. Licensee shall retain all rights to utilize ��; depreciation or amortization deductions with respect to such equipment and improvements, subject to restrictions arising from �County's past or future issuance of tax-exempt financing for Air- i port improvementa. UTILITY INSTALLATIONS/UTILITIES: Licensee shall, at its initial cost and as part of ita obligation under Paragraph 7, in- � •� , stall all necessary utilities, including� heat, elechricity, lighting, and telephone service for its booth and parking revenue a.��'�'';,�' control equipment. Licensee, also as part of its obligations un- � ; ` der Paragraph 7 above, shall cause to be installed all necessary ' . � utility equipment such as conduits, wiring and ducts, to bring electrical power to the points of connection and use by Licensee of the equipment and improvements which require electrical power. 1 Such installa[ions shall be done in a workmanlike manner, accord- - , ing to building and electrical codes and subject to normal con- � struction warranties. Title to all such equipment and improve- � ments shall pass to County as provided in Paragraph 7. Licensee further shall, at its expenae, keep all such utili- ty equipment serving its booth and parking revenue control equip- '� ment (excluding underground equipment such as wiring, conduits and � ducts) in good opera[ing condition and repair. Once installed, � Licensee shall pay for all charges for utilities consumed by Oper- ator for any parking booth and for all parking revenue control and � office equipment so installed and/or used by Licensee in its oper- ations. i ' � 9. Licensee may, at ita option, add to such rates the amount of any tax on sales, service or grosa receipts. Any such tax shall not be considered a part of , gross receipts. 10. OSLIGATIONS OF LICENSEE: Licenaee shall, at its expense: a. Provide sufficient staff so that there shall not be ` s • more than a six (6) minute vaiting span for any exit- {� ing patron, in the absence of unusual unforeseeable � circumstances or circumstances beyond Licensee's con- trol. UNFORESEEABLE EVENTS/MODIFICATION OF OPERATIONS: In the � event Airport construction or repair (including repair of roadways i _ or runways), substantial reduction of commercial airline flighta, governmental laws, regulations, or policies, acts of God or other � lf event or condition beyond the reasonable control of Licensee, re- (� _� sults in a material decrease of gross receipta or increase in i operating expenses, Licensee may, upon written notice to County, i �I elect to have the parties enter into negotiation of a reasonable � �.� reduction in the license fees. Following such notice, both f _ i parties shall negotiate in good faith to reach an agreement, in- cluding the effective period of such reduction.
