WHEREAS, Pitkin County, a Colorado home-rule county, is the t

owner, sponsor and operator of the Aspen/Pitkin County Airport
(Sardy Field), located in the vicinity of Aspen, Colorado, and
has the authority to regulate commercial activities and to ' ` ,��"� :

license space at the Airport, pursuant to, inter alia, 1973 � �
C.R.S. 41-4-101 et se ., as amended, Title IV of the Pitkin ���. :
County Code, as amended, and Section 8.7 of the Pitkin County -
Home Rule Charter; and .
' WHEREAS, the County conducted a competitive selection
� process in the fall of.1986 to select a food and beverage service

shop operator at the main Airport terminal and the top-ranked _, j- �

proposer, Pour La France! Airport Bar and Cafe, a joint venture, ,�.,,j�
and County staff have reached agreement on a license form to •

� WHEREAS, the County is the owner and operator of the •
� scheduled air carr3er terminal facilities located at Sardy Field, -

the Aspen/Pitkin County Airport, and, pursuant to 1973 C.R.S. 30-

Code, Title IV, Section 2-6, intends to License a portion of such �}

terminal facilities for the purpose of supplying foodjbeverage {
service to the public and employees at the Airport; and
WHEREAS, the County conducted a competitive selection
process in October/November 1986 and the Licensee was awarded the
license to operate said food/beverage service; and •
WHEREAS, the parties intend to enter into a License agree- •
ment describing the services and consideration to be supplied by . ',
the Licensee and the correspondinq obligations oP the County, all

THEREFORE, in consideration of the mutual covenants and
the terma and conditions hereinafter contained, the parties
hereto agree as follows:
l. Grantinq of License. The County grants to Licensee,
during the term of this License, an exclusive right (subject to

construed to prevent Licensee from biddingjproposing on those (or

similar) operations as they are placed for competitive selection. •
2. Term of License. . This License shall be for a term of
four (4) years, beqinninq November l, 1986, and terminating on
� October 31, 1990.
3. Renewal. If, one hundred and twenty (120) days before � �

the end of the original term of this license, the Licensee shall ,

not be in default hereunder, and shall have been a satisfactory ���'
performer hereunder, the County agrees that it shall enter into �'�

good faith neqotiations for a renewal term of one (1) additional ;; -:
three (3)-year term, which negotiations shall address the appro-
priate additional consideration for the renewal term and the
scope and type of sezvice to be rendered by Licensee. ��
4. Food Service Area. The County 'shall provide the � '' '

5. License Fees. The Licensee agrees to pay as compensa-
tion hereunder for the rights and privileges herein granted, a
fee of $2800 per month for the first year of the license term;
$2900 per month for the second year; $3000 for the third year;
and $3100 per month for the foarth year.
Such fees shall be paid in advance on or before the tenth .-�n-,; .. ,

All payments shall be considered delinquent if not received bp

business and be adequately equipped, provisioned and staffed to .

8. Level of Food Service. Food, beverage and other
services, and the licensed service area and facilities in the

maintained in a clean, attractive and sanitary manner. Repeated �5

discourtesy or failure or inability to expediently supply basic �; .
services on a daily basis shall be cause for termination hereoE. f�. �

All representations made in Licensee`s Food Service Bid Package
dated November,3, 1986, which are incorporated herein by this .
reference, shall be adhered to unless otherwise authorized in •:y
writing by the Airport Manager. Failure to adhere to the above- `"�

A11 other commercial activities, except the sale of food,
beverages and incidental items expressly permitted herein, are
prohibited unless such activities have the prior written approval
of the Airport Manager. Incidental items permitted are Licensee .
trademark items (hats, t-shirts, etc.).

Review bv Countv. The Licensee shall conduct its commercial :. ;

operations hereunder in a manner consistent with the standards of �;.��•'._.::
first-class food/beverage service operators throughout the United r '� �
Stiates.
• Licensee acknowledges that the County has an interest in
resolving any complaints arising from the Licensee's operations,
both as Licensor and owner/operator of a public Airport. Hased

on the foregoing, in the event that County shall receive any M �
complaint arising from Licensee�s operations, County shall �,

immediately transmit such complaint to Licensee for resolution. t� '

Within ten (10) business days of the receipt of the complaint, �� �

Licensee shall provide to the Airport Manager a written report of �
the compla3nt and its resolution or of Licensee's attempts at
resolution. In addition, Licensee shall submit a semi-annual • y�
- report to the Airport Manager, on the first day of the month of � :, �
the months of May and November, of all complaints received by '•

Licensee to resolve a great majority of any complaints to the
satiefaction of the Airport Manager shall be grounds for non-
renewal of this Licensee agreement.
At least once annually hereunder, Licensee shall be given, �
at its or Airport management's request, a written evaluation of
its performance under this Agreement from the Airport Manager. ,.i:=d

This report shall contain specific areas in which performance has ,:��:: ;�
been unsatisfactory and specific standards for satisfactory
performance. No failure of Licensee to satisfactorily resolve
complaints shall be grounds for non-renewal, unless any repeated `r: v=`� •

dissatisfaction shall have been presented and discussed as part •��.. , -

of a written evaluation. Nothinq herein shall be construed to
prevent the County from terminating this Agreement for cause.

11. Imnrovements. Licensee shali have the right to
- ; construct and install improvements only upon the prior written
consent of the Airport Manager, which consent shall not be ` �

, unreasonably withheld. Such consent shall contain provisions "

for the ownership of the improvements at tha end of the license

term. Licensee shall keep accurate and complete records of the ',�
costs and value of all improvements. With respect to improve-
ments not covered by such a consent, on the termination of this
License for cause, or expiration of the term hereof, if the
Licensee shall determine to dispose of any or all of the improve- � . _.,+'_,

23. Riqht to Enter and Insnect. County reservea the right
to enter and inspect the licensed premises during the term of
this license or any renewal thereof, for the purpose of ensuring
compliance with the terms of this License, and any and all
applicable federal, state or local laws or regulations and for •
the purpose of responding to complaints or emergencies. Licensee

25. Destruction of Premises. If by reason of any causa

access during reasonable hours to such books, records and
accounts. The Licensee agrees that it will keep and preserve for
at least three (3) additional financial years all cash register
tapes, bank books or duplicate deposit slips, and other evidence
of gross revenues and business transacted for any financial year.
