l. In 1964 the Board of County Commissioners of Pitkin
County entered into an easement agreement with the Aspen Skiing ',���' `
Corp., whereby the County granted easements to the Skiing Corp.
over County owned property on Aspen Mountain (for skiing
purposes) . -
2. It is necessary and appropriate to rectify errors in the '': ` ..

Commissioners of Pitkin County, Colorado, that it does hereby
approve the easement amendment attached hereto, amending the 1964
easement aqreement between the Board of County Commissioners of
Pitkin County, Colorado, and the Aspen Skiing Corp.

EASEMENT AMENDMENT
This Easement Amendment is entered into this day of "
, 1988, by the Board of County Commissioners of Pitkin '
County, Colorado ("Pitkin County") and the Aspen Skiing Company,
a Colorado general partnership ("ASC"). �` `

, WHEREAS, Pitkin County and ASC, throuqh its predecessor in ����,:.'
-• interest, the Aspen Skiing Corporation, are the parties to an x�
Easement dated April 6, 1964, and recorded in Book 206 at �.
� Page 407 of the Pitkin County real property records (the "Ease- ':=" '
1 ment•); "•��

� WHEREAS, pursuant to the Easement, Pitkin County granted to � t
:i ASC the right to use and occupy certain lands for skiing and cer- �
.;; tain related facilities and activities related to skiing;
' WHEREAS, the intention of the Easement was to include all of ,
� the lands owned by Pitkin County within the Aspen Mountain Ski
`� Area; • �
WHEREAS, Pitkin County has acquired by Treasurer's Deed
_ title to the Copper King mining claim, USMS No. 3568, which is
^ with.in the Aspen Mountain 5ki Area and which was inadvertent2y
� left out of the Easement;
,� �
WHEREAS, the boundary of the Aspen Mountain Ski Area has ;
been restated through the zoninq and master planning process from
the bo{�ndary described in the Easement necessitating the inclu-
sion of added portions of certain mining claims which are already
the subject of the Easement;
WHEREAS, there are certain typographical errors in tlie
descriptions of several mining claims in the Easement; and
WHEREAS, ASC and Pitkin County desire to amend the Easement
to reflect the current use of Pitkin County claims within the
Aspen Mountain Ski Area; -

- NOW, THEREFORE, for good and valuable consideration, the
receipt and sufficiency of which is hereby acknowledged, the
parties agzee as follows:

1. Pitkin County hereby grants to ASC an easement over, � �.
upon and beneath the Copper King Claim, USMS No. 3566, for F ��
skiing, skiing-related uses and other facilities and for any � �
• other purposes permitted by the Easement according to the terms -,�' <'t
and conditions of the Easement and Exhibit A to the Easement is ::',,;

hereby amended to include the Copper King Claim, USMS No. 3568,
as a part of the "subject premises" under the Easement.
2. Paragraph 3 of the Easement is hereby deleted and
. replaced with the following provisions: It is further agreed �
• that the easements granted herein shall also extend to any and
all property in which Pitkin County has an interest or in which
Pitkin County hereafter obtains an interest that is located �
within the Aspen Mountain Ski Area as designated �n that certain 3 ,
map which is attached hereto as Exhibit S. ��,_::
3. Exhibit A is hereby further amended as follows: �
