� 1. On June 14, 1988, the Board of county Commissioners ?���
approved Ordinance No. 88-9, providing for a county contribution t,�
towards the construction of an Assisted Living Facility and �.;.
establishing other arranqements between the Aspen Valley Hospital �°•.'
District and the County for the construction of a Senior .3.:,`:�
Activities Center and a County Health and Human Services / ;:.:',`•_ '..

2. The�Board of County Commissioners owns approximately 9.9
acres of land adjacent to the Aspen Valley Hospital.

: 3. The Aspen Valley Hospital District is desirous of �
acquiring a portion of the County property adjacent to the
hospital for future expansion of necessary public human services
. and health care facilities.
:
- 4. Construction of a County Human services Building in
proximity to the Aspen Valley Hospital would be beneficial to
both parties and all such activities are appropriate for a
hospital campus. .i

5. The construction of a 'Senior Activities Center in
conjunction with the Assisted Living Facility on the hospital
campus will improve the availability of services and facilities
for senior citizens and enhanae the purpose of establishing a
Health and Human Services campus at the Aspen Valley Hospital.
6. In order to further the purposes identified above , it
is in the interest of the parties, to provide for the planning,
subdivision, and development of the County property as provided
in the Intergo���e�tal Agreement attached hereto. ;;.
NOW THEREFORE BE IT ORDAINED by the Board of County
Commissioners of Pitkin County, Colorado, that the ,

THIS INTERGOVERNMENTAL AGR�EMENT (the "Agreement") is made

Colorado (the "Count ,") and the Aspe» Valley Hospital District (the
"District"}.
RECITALS ,.
WHEREAS, the County and the District are duly constituted
governmental or quasi-qovernmental entities governed by boards �!
elected by qualified electors of Pitkin County, Colorado; and �•�

• WHEREAS, the County and the District have determined that they
� share mutually certain objectives, including the creation of a �E
r< health and human services campus on the DistricC property; the
� creation of a master plan for the development of the District 'j� '
� groperty and adjacent County property; the improvement of living � 'r ,
�, conditions for those people living at the Community Center who
'� would qualify for admission to the District's Assisted Living `
� Facility; and the freeinq of the Community Center for County u�e
other than housing; and 4?
� WHEREAS, the District agrees that it will construct a Senior r� _
Activities Center, consisting of approximately 3,9�6 square feet, '
� to be provided to the County rent-free, to be used by the County �'
�
for the County's senior,�'ograms and the County agrees that as �
t� consideration for the prbd'ision of such Senior Activities Center �.

by the District it will convey a portion of its property located �
�� south of the Aspen Valley liospital campus to the District for use

� WHEREAS, the County and the District have determined it is in F
;; the best interests of the citizens of the County and the District `

;3 NOW, THEREFORE, the County and the District, for good and r
4� valuable consideration, the receipt of which is hereby

�� 1. Subdivision. The County shall consent to an application F•�+`�
!' for the subdivision of the real property it owns adjacent to the
' southern boundary of the District Property, consisting of
; approximately 9 acres plus any real property which might be �.,�;
;j conveyed by the City of Aspen to the County for emRloyee housing �?
i purposes, consisting of appror.imately 1 acre, (the "County rt- 1
Property") , into two parcels as shown on the attached site plan, S
, ' a copy of which is attached hereto as Exhibit "A" and the joint 1 �;
Master Plan prepared by the County and the District and approved `

of the submission of such land use application, including:
a. Preparation of the land use application;
b. Processing of the application pursuant to� �he . '

applications unless such fees are waived, as provided by law;

Eastern Parcel resulting from the subdivision (the "Eastern ' _
Parcel") to be conveyed to the District.

Zf such land use application is not approved by the County
pursuant to the Land tlse Code, this Aqreement shall be terminated.

- 2. Rezoninq. In conjunction with the District's application -.ti,s'- ' `
to subdivide the County Property into two parcels, the District ;i`j``.``',=.
shall also apply to rezone the Eastern Parcel to PUB, Public Zone �' �
District, as such zone is described in Section 3-1.10 of the Land �•
Use Code. Notwithstanding the foregoing, should the Master Plan
provide for construction of employee housinq on the Eastern Parcel,
the parcel may be rezoned to include a permanenC moderate housing
(PMH) zone area in accordance with the provisions of the Land Use '
Code, if necessary. The District shall also apply to rezone the
western parcel resulting from the subdivision ("Western Parcel")
- to R-30, as such zone is described in Sections 3-2 and 3-3 of the
Land Use Code. _ �
3. Convevance. Following the completion of the 2and use !�
approval process, the County shall convey by general warranty deed '
the resulting Eastern Parcel to the District free and clear of any J•
liens or encumbrances or other matters of record that would render F �
title unmarketable or would interfere with the District's intended
use of the Eastern Parcel. Should the County be unable to convey
the Eastern Parcel to the District under these conditions for •any �ti
reason, this Agreement shall be terminated, at the option of the
District.
4. Title Commitment. The County shall furnish at its expense
an owner's policy of title insurance, in a form acceptable to the
District in the amount of TWENTY-FIVE THOUSAND AND NO/l00 DOLLARS _.,%„
- ($25,000.00) per acre, for the Eastern Parcel to be conveyed to the
District pursuant to this Agreement. Should the District desire �,.�,
to secure title insurance for all of its property, the District
. shall contribute the amount necessary to pay for the cost of the 'a ' �
premium for such insurance which exceeds the amount of the premium ! �
for the insurance which the County is obligated to provide K �
hereunder. ' �� .

5. Easements. Simultaneously with the conveyance of the
Eastern Parcel of the County Property to the District, the District
will convey, at no cost to the County, perpetual easements to the
County for:

constructed by the County on the Eastern Parcel consisting of
approximately 14,825 square £eet, as shown on Exhibit "A"; '
b. access to the proposed County Health and Human
Services building; and '

The form of the easements set forth in this paragraph which :-
are to be granted the County by the District, is set forth in !�`'`.
Exhibit "B", attached hereto.

The conveyance of the footprint for the Health and Human # � _•-
Services building shall be accomplished in accordance with the �-;
provisions of the Land Use Code and shall be included in the �'' i'.' ' _:`
District's application for subdivision of the County property, as ��� .
necessary. The access and parking for the County Health and Human .
Services building shall be as designated on the Master Plan but may
be relocated by the District with the consent of the County
Manager, which consent shall not be unreasonably withheld, if
_ relocation is necessitated by unfozeseen circumstances, at the
District�s expense, so long as such relocation does not adversely
affect the County's use of its Health and Human Services building.
6. Master Plan. The District and the County shall prepare
a joint Master Plan for the Eastern Parcel o£ the County Property j ;�: •
conveyed by the County ta the District addressing all current and ��_�
known future uses of the parcel. The Master Plan shall provide
that all development of the Eastern Parcel shall be subject to the
provisions of the Master Plan or an amendment to the Master Plan !�`
as well as to the relevant provisions of the Land Use Code in
effect at that time, and all such development shall be subject to
� the approval of the District and the County, which approval shall '
not be unreasonably withheld. Should any proposed development be .
disapproved by either party, such development shall not occur.
Any plans for development of the parcel by one of the parties to
this Agreement which have been submitted to the other party for '
' approval under this Section shall be deemed approved by that party
within 45 days of submittal unless reasonably disapproved within "�
' that time. Following such 45 day period, the party proposing the `=�'
_ development may submit a land use application seeking approval for '
such development.

7. District PropertV• Other than the Eastern Parcel, the 4
• District shall continue to have complete authority and discretion ;�
for any development of the property it owned as of the date of this '

8. Countv Prooertv. The CounCy shall continue to have
complete authority and discretion for any development of the
western parcel resulting from the subdivision of the County •
Property provided for herein, subject only to the applicable �
provisions of the Land Use Code. '
9. Health and Human Services Buildina. The County, as of �`'>

the date of this Agreement, proposes to construct a county Health �r...•3 .
and Human SeXVices building on the Eastern Parcel on the footprint i��t ,
conveyed to it by virtue of the easement granted it pursuant to �
this Agreement, The building design shall be architecturally �
compatible with the buildings located on the District's campus at
the time a building permit is sought for the Nealth and Human f .. :
Services building. The County shall only use the proposed Health 4:..-..
and Human Services building for those health and human service uses
which are compatible with the Aspen Valley Hospital campus, the PUB ?�i�
zone district, if a licable, and the Master Plan re ared ointl � 5 �` .

by the District and the County for the Eastern Parcel. Such uses � i''`.
may include Social Services, Community Health Services, Mental �
• Health Services, Child Care, Veterans' Services, Senior Services, '
Extension Services and other community funcCions located in the
� Pitkin County Community Center as of the date of this Agreement.
� The construction of such building is the so]e responsibility of
, the County and the District shall have no obligation to construct
; the building or to contribute to the building in any way, except
_ � as may be contemplated by this Agreement. If the parties agree
- upon an expansion of the County improvements located on the Eastern
Parcel, the parties agree to revise the Easement to ref2ect such
expansion. r� �

10. Senior Activities Center. The District hereby agrees �
that it shall construct a Senior Activities Center {the "CenCer")
in conjunction with its construction of an Assisted Living Facility
o» the DisErict�s hospital campus. The Center shall be at least '
3,000 square feet but no more than 4,000 square feet and shall
contain a recreation area, dininq area, kitchen and an office for
the County Senior Services Coordinator. The Center will be
provided rent-free to the County for so long as the County proposes
to use the Center for senior activities or for the period of time
which ends upon the death of the last surviving member of the Board •
of County Commissioners as of the date of this Agreement plus •
twenty-one (21) years, whicflever period is less. The County shall '-
` be deemed to have ceased using the Center for senior activities �,,?
upon the failure by the County to conduct any senior aciivities in
the Center for a period of six (6) consecutive months, all
� obligations of the Hospital with respect to the Center shall cease �'� !�
and the Center shall revert to the sole use of the Hospital unless �
the Hospital and the County mutually agree on anoCher use for the �.gs}
building.

i. Consult with the County Senior Services Coordinator
regarding the interior desiqn of the Center;
ii. Provide utilities, including electricity, heat and
water, to the Center at no cost to the County;
iii. Provide housekeeping services to the Center at no ,

, � iv, provide building maintenance, including exterior '
maintenance and landscaping, to the Center at no cost to the
County;
v. Provide tenant finish work to the Center, including
drywall and carpeting; and 3 .
vi. Maintain structural insurance for the Center building �f;:'.:�
in an amount reasonably deemed adequate by the District and �
general public liability insurance in connection with its use �
of the CenCer, naming the County as an additional insured.

' any kitchen fixtures, exhaust systems, hoods, and such 5
� additional fire protection devices as may be required by the

'`�A ii. Pay the propoztionate amount of kitchen consultants' �
and architects' fees attributable to the installation of the
�'� Center's kitchen and pay one-half of the costs of the
. dishwashing equipment;
�� iii. Provide all furnishings, and replace such
- /'� furnishings as necessary, including, but not limited to,
,� office equipment and furniture, other furniture, recreational
equipment, audio-visual equipment and draperies, an estimate '
�� of which is attached hereto as Exhibit D; � � �
�'3, iv. Pay salaries of all County personnel utilizing the t

v. Maintain general liability insurance in connection ;
�' with its use of the Center, naming the District as an �
additional insured, personal property insurance and public

', 11. Use of Senior Activities Center. The County shall have
� first priority for use of the Center for County senior activities
u administered by County personne�. The District shall have the
t right to use the Center for meetings or other purposes so long as �
y such use does not interfere with County senior activities. The �-
� District shall coordinate its use of the Center with the Connty
Senior Services Coordinator to avoid conflicts in use of the
Center.

' 12. Senior Meals Proarams. A senior meals program is 4
currently provided by federal funding which is administered by the :`j�.
� Northwest Colorado Council of Governments (IataCCOG) . The federal � 1 �.-
• program currently provides a coo}:/site manager's salary in the : :

accepts food orders from the cook and delivers such food to the
CounCy at no cost to the County. The County currently collects a
contribution of ONE AND 50/10o DoLLARS (51.50) per meal per senior
over 60 years of age and a THREE AND 25/100 DOLLARS ($3.25) charge
per meal for others and pays such funds to NWCCOG. The County acts
'-�'+�w��°--=•as the local coordinating body by providing cooking and dining .
facilities and currently TWO THOUSAND THREE KUNDRED TW£NTY-TWO A1JD
NO/100 DOLLARS ($2,322) per year to supplement the cook's salary
in order to bring such salary in line with local wage levels. ' '-

� 13. Nordic Trail. As of the date of this Agreement a public
nordic trail exists on the County Property as shown on the site
plan attached hereto as Exhibit A. Any development of the County '.
: Property, whether by the County, the District or otherwise, shall 1� :
� preserve the nordic trail across the CounCy Property.
� Notvithstanding the foregoinq, the County shall relocate the nordic
� trail, if necessary, at its discretion so lonq as the relocation . �, :
does not unreasonably interfere with the use of such nordic Crail
and so long as any relocated trail does not exceed an approximately
f five percent (52) grade.

� 14. Termination of Avzeement. This Agreement shall terminate
! and its provisions shall be null and void if the District has not
- � submitted plans and �n application for a building permit to the
� Aspen/Pitkin Building Department for the Center (as described •
herein� , the ultimate size of which will be determined in the ��
Master Plan, and an Assisted Living Facility, the size of which # '
- facility will be determined in the sole discretion of the District i
and approved by the Board of County Commissioners of Pitkin County
as an amendment to the District's Detailed Submission Approval of
the Assisted Living Facility, by no later than May 1, 1990. No
obligations established by this Agreement, other than those
apglying to the creation of a Master Plan, if appropriate, shall
arise prior to the submission of such plans and application.
- Following submission by the District of such plans and application,
the District shall comply with all aQplicable provisions of the
Uniform Building Code, including those relating to the time in
which a permit must be granted (Sectzon 303[d}) and those relating
Co the ex.piration of a permit (Section 302[d)) . • ;'
15. Entire Aareement. This Agreement and the Er.hibits �;
attached hereto contain the entire understanding of the parties.
There are no representations, werranties, covenants or undertakings

improvements shall be determined as provided for in that certain �

the resi.dents for easy access t� the varsaus activities and programs
