County Airport (Sardy Field), and, pursuant to, inter alia, 1973

County Code, Title IV, Section 2-6, intends to License a portion i .

WHEREAS, the County conducted a competitive selection

process in October/November 1987 and the Licensee was awarded the �

WHEREAS, the parties intend to enter into a License aqree-
.ment describing the services and consideration to be supplied by

THEREFORE, in consideration of the mutual covenants and

subject only to present and future, state and federal legisla- ��``� `
tion, regulation and case law affecting the County's power to � fi
grant such exclusive rights. The County reserves the right to ' � �
permit incidental sales of necessity and gift shop items by its � •
vending or food/beverage service operators. Nothing herein shall
be construed to prevent Licensee from proposing to enlarge and/or
" � relocate its licensed area or from bidding/proposinq on further
permitted necessiCies or gift shop operations. � �y

Licensee represents that it is a women-owned business �i:��
enterprise (WBE) as defined by the state and federal governments. .�;.
2. Term of License. This License shall be for a term of �. �

� just less than five (5) years, beginning November 15, 1987, and
terminating on October 31, 1992.
3. Renewal. If, one hundred and twenty (12�) days before '

where the merchandise soLd, or some part thereof, is thereafter
returned by the purchaser and accepted by Licensee, nor sales of

Each sale upon installment or credit shall be treated as a sale �

c. Payments for any month or part of a month shall be

g. In the event Airport construction or repair
(includinq repair of runways or taxiways) invo2ving the closure
of the Airport to flights, substantial reduction oP commercial ,
airline enplanements, governmental laws or regulations, acts of
God or other event or condition beyond the reasonable control of '�.�°.�.

Licensee, results in a material non-temporary decrease of gross ';+l;'-;..

receipts, Licensee may, upon notice to County, elect to have the

parties enter into negotiation of an equitable adjustment in the
: annual minimum guarantee of license fees. Followinq such notice, �

both parties shall negotiate in good faith to reach agreement, �'

including the effective period of such reduction. If the parties `.� ;.
cannot reach agreement within thirty (30) days after notice by
Licensee, then the amount aad duration of said reduction shall be
determined by arbitration, as the parties may agree. For the i '

an annual projected decrease in gross receipts to below $200,000 1;� '

in the first and second license years and to below $225,000 in
the third, fourth and fifth license years. Should any above
event or condition take place and continue for more than one

tionately during the period such event or condition continues and
the reduced expenses resulting from such reduced operations shall

Exhibit A, attached hereto and incorporated herein by reference,
for the sole purpose of operating an Airport terminal necessities .
and gift shop, as set out herein. Licensee shall also have the ..<.;;:�

Licensee acknowledges that the County has an interest in
resolving any complaints arising from the Licensee's operations,
both as Licensor and owner/operator of a public Airport. Based '>�

able reporting, accounting and auditing procedures to be es-

The Licensee shall keep within the County comprehensive, �
