PURCHASE OF SERVICE CONTRACT

THIS CONTRACT is made efffective as of January 1, 1989 between Pitkin ��+
County herein referred to as "County", and Garfield County hereafter �, •-
referred to as "Contractor". Whereas, Garfield County is providing s;'-.�•;�-�
services to its Veterans through the Garfield County Veterans Service
office and whereas, Pitkin County wishes to contract for provision of
+ Veterans services for its residents; �

{ Now therefore, it is hereby agreed that in consideration of the mutual 1�
� undertakings and agreements hereinafter set forth, the County and the '"��
f Contractor agree as follows: �
r Subject to its other provisions, the term of the Contract shall be from (�s?., '

�i Section I. County Shall: ,
1. County agrees to parchase and Contractor agrees to furnish the ,. -
� following services hereinafter referred to as "Purchased
Services":
� A. Provides counseling services to veterans and to address i .
� a wide variety of issues, problems, and concerns.
{ Cooperates with other County human service agencies to
� arrange for and coordinate appropriate services to
veterans.
i B. Assists veterans and others with questions regarding
? insurance, pensions, loans, hospitalization, disability
tand other benefits.
C. Prepares and submits applications for adjusted
� compensation, insurance, pensions, loans, disability �
compensation, hospitalization, vocational training, and �,
other benefits. '
iD. Prepares and submits correspondence, statistics and <
i reports to state, federal and local agencies and �Sv
i y�
officials.
� fi. Maintains files and records. <,Z
! F. Other functions as needed relating to the office of ;+', `
Veteran's Service Officer. �
( G. Maintain office in Pitkin County CommunitY Center 8 hours � , �.,

Notwithstanding the duties set out above, the parties agree that
the County will not pay for any services in excess of 8 hours per week
on the average over the term of the agreement.
2. County agrees to purchase these services for the following
targeted groups: ,
All Veterans and their families who are seeking -:;.sc,`;.; � .

3. County agrees to pay as services are provided as follows: �65 'r '

i 4. County will pay contractor in quarterly payments in Fehruary, � ;
i May, Aug, and Nov of each year during term of this contract.

Section II. Contractor sha1Z:
1. Strictly adhere to all applicab2e federal, state, and local ' �
laws or regulations (including Article V11 of the Pitkin ' z
County Procurement Code) that have been or may hereafter be
� established, r;
� Z. Subcontracts utilized by the Contractor shall be subject to
� the requirements of the Contract as listed here, and the
� Contractor is responsible for the performance of any
( subcontractor.
� 3. In relation to his performance under this contract abide by
all applicable provisions af the Title VI and VII of the
� Federal Civi2 Rights Act of 1964, Section 504 of the -
� Rehabilitation Act of 1973, and Title XX of the Social �,
Security Act of 1975 as revised.
4. Maintain procedures for safeguarding client information and �i
comply with the same. �F
5. Maintain service program records, fiscal records, °'
� dacumentation and other records relevant to this Contract for ;� .
� a period of five years. The above shall be subject at all '
! ' ressonable times to inspections, review or audit by Federal, ^F`';-`
! State or County personnel, and other persons autharized in �
writing by the County. --

6. Provide the purchased services at the location as shown as the
address of the Contractor or wherever is appropriate for thai:

Section III. General Provisions: '�'

1. The Parties to this Contract intend that the relationship "�`"^>;--'

between them contemplated by the Contract is that of ;.=�_':',''-
independent contractor. No agent, employee, or servant of '_-;:;.��';:'
Contractor shall be deemed to be an employee of County. ;�--`�'
Contractor will be responsible for its acts and the act of �:. � 1
its' agents, employee�, servants and sub-contractors during
i the performance of the Contract.
j 2. Payment pursua�t to this Contract, if in County, State, or '
Federal funds, whether in whole or in part, is subject to and "
` contingent upon the continuing availability and appropriation � �
� of County funds for the purpose thereo£. Notice shall be given ��
� in accordance with number 4 below. y� J :
5 3. This contract constitutes the full and complete agreement of

the parties and supercedes or incorporates any prior written •
�` ;� and oral agreements of the parties. In addition, contractor !f '. `
� uaderstands that no County official or employee, other than i
Lhe Board of County Commissioners acting as a body at a Board
meeting, has authority to enter into a contract or to modify
� the terms of this contract on behalf of the County. Any such
i contract or modification to this contract must be in writing "
? and be executed by the parties hereto.
'� 4. fiither party shall have the right to terminate this Contract ��
by giving the other party thirty days notice by registered
mail, return receipt requested at the addresses below listed, +
effective upon mailing. If notice is so given, this Contract
shall terminate on the expiration of the thirty days, and the
'� liability of the parties hereunder for further performance of
� the terms of this Contract shall thereupon cease, but

� , perform their obligations up to the date of termination. The
i County's contact person for this contract shall be the Human
i Services Director. The Contractor's contact person for this
� contract shall be the Garfield County Social Services ••
Director. l
3 5. In the event this Contract is terminated, final payment to the
i Contractor may be withheld at the discretion of the County �
j until £inal audit which, audit, if required by the County, t""
� shall be completed at the next regular audit period. Incorrect
payments to the Contractor due to omission, error, fraud, or •,'�
defalcation shall be recovered from the Contractor by
� deduction from subsequent payments under this Contract by the
� County as a debt due to the County. The waiver of any
violation shall not be construed as a waiver of any other or t?` _
� subsequent violation of this Contract or appropriate statutes r J �, �-�`
