� THIS AGREEMENT is made and entered into as of the � day
of January, 1989, by and between Glann Horn, ("Contractor"), with
a mailing address of P. O. Hox 2015, Aspen, Colorado 81612, and
Board of County Commissioners of Pitkin County, Colorado, -

T.� WITNESSETH:
i NOW THEItEFORE, in consideration of the premises �et forth �
above, the mutual covenants and obligations of the parties '
hereto, and other good and valuable consideration, the receipt
�; and sufficiency of which are hereby acknowledged, fihe parties -
�' agree as follows:
1. WORK PLAN: The Contractor shall act as the Projeat f- +
Manager for the revision of the Pitkin County Land Use Code. His
duties wiZl include the completion of phases 1-6 summarized in
Exhibit A and detailed in Exhibit H. These phases of the project
� include facilitating meetings to discuss the Code with the Code
Task force and joint work sessions with the BOCC and P&Z. He
will be responsible for preparing a complete Land Use code and
related Zoning maps.
f Phases 7 and 8, which involve the adoption of the Code and the
preparation of pre-applioation packets, are not part of this ,
' Agreement. `'
2, TERM OF AGREII�NT: Contractor will complete phases 1-6 {i,
of the project within 635 hours. He will work a minimnm of 30
hours per week for 22 weeks from the starting date of the project i, .'`;
assurninq there are no unforseen changes to the work program. ;�
� 3. STAFF MANAGER: Contractor will be directly responsible -
to the County Attorney. FIe will review and edit the work. The `

� progress on the six phases of the project. In the event that it
appears that Contractor may exceed the projected number of hours
on an individual phase of the project, he will notify the County
Attorney and obtain his authorization to continue working on such
phases.
The Planning Office shall appoint a staff liaison to follow the
development of the Land Dse Cofle and atfend work sessions.
4. POI,ICX ISSIIES/WORK PROGRAM: Contractor's task will be `�::'i:� -
to complete the work program i.n phases 1-6 without signifiaant '�...r+ � '.:
policy changes to the Land Use Code. Significant policy changes �� � � "
to the Code are time consuming and constitute an amendment to the �,�. ;r:-�-
work program. Since the new BoCC may wish to reevaluate basic �r"'�',�
County land use polipies, the first phase of the work pragram + �
will be the consfderation of the County's land use policies.
During this stage of the planning process, the BOCC shall ;:�;::�:
identify policy areas, if any, which should be addressed in the
Code revisions. The work program may be amended by written '+`::'``
notice to Contxactor from the County Attorney to address policy �
changes or other issues which may arise. ,

5. COMPENSATION: Contractor is a contract emp2oyee, ;:�.:��-,.
�r ; pursuant to Section 8.4.2.295(1) of the County Personnel Manual, ��-? ,.
� from and after January 16, 1989. He shall not be e�cpected to
� carry professional liability insurance, but pledges to maintain
j the standards of professional product and conduct. Ae sha21 be
i paid a fee of $4.0.00/hour through the County timesheet payroll
� system for the time actually spent on County husiness for the
� tasks identified in Exhibit A and B phases 1-6. Contractor will
' � not receive Ceunty benefits with the exception of eligibility for
� the purchase of a ski pasa through ARA as a County employee. He `;
� will keep and maintain for County review and audit aomplete time 7.' .
� records.
6. SECRETARIAI� ASSISTANCE: Contractor will acquire a
� personal computer whieh will be compatible with the County
� computer system. Secretarial assistance will be provided by the
� County to be approximately the same assistance that would be
.� required if he were doing the Code work as a staE£ member.
In the event that the County is unable to provide secretarial `
: assistance in a timely manner, with the approval of the County ;f,
Attorney, Contractor will contract for secretarial assistance at
a rate not to exceed $Z5 per hour and the County will be ;`iF
responsible for paying the cost.

7. PROFESSIONAL STAFF ASSISTANCE: T h e f o o t n o t e s o n �j�
Exhibit B identify those phases of the project which will require
County staff assietance. The county will provide assistance in -
the productian of large tables which may have to be type set. In � ;'
the event that the County staff is not capable of providing such �_ �.

such services and the County will be responsible for paying the
cost for time and materials. Additionally, the County shall
commit to direct the Environmental Health Department, Planning
Office and County Engineer to review and comment on specific Code
sections identified in Exhibit B. The Planning Office undex
Contxactor's guidance shall be responsible for revising the
�ounty Zoning Maps (phase 6 of the work program). �•

seeking to develop land in unincorporated Pitkin County.

' 10. FUTURE E1�IAYl�NT WITH PITIQN CoIJNTY: In the event ��•_
- that contractor is employed by Pitkin County as a full-time staff
member in the futura prior to the completion of the work in ;�-., �
Exhibits A and B, this A reeanent will be terminated. ; �� %

11. TERMINATION: The County retains the unconditional � '
� right to terminate this Agreement at any time with or without
F cause. In that event the Contsactor shall be compensated as
provided in this Agreement for work completed prior to
termination.

� 12. INDEPENDENT CoNTRACTOR: This Agreement requiras .
performance of services by contractor as an independent ;
� contractor. Contractor shall not reprasent himself to third ;.' _
; parties or the public as manager, agent, or employee of the
ti County. Contractor shall not have any power or authority to
g bind the County in any manaer whatsoever except as specifically

� 13. 14SSIGNMENT A2ID SUBCONTRACTS: The Contractor shall not
! directly or indirectly assign, transfer, subcontract, delegate or
� otherwise dispose of his rights or duties under this contract
;� without the prior written consent of the County. •

14. INTEGRATION AND MODIFICATION: T h i s A g r e e m e n t
� constitutes the entire Agreement between the parties as to the •'�
subject matter set forth herein and supercedes all prior written t�`
or ozal agreements relative thexeto. No change, modifications, �'�
� or amendment of this agreement shall become binding �on the
pazties except as specifically expressed in a written document �
� making reference to thia Agreement and signed by the parties
hereto.
