GUARANTBSD MAXIMUM COST OF R6PAIRS:
1. The VBNDOR will be fully responsible for the total cost
of repairs, including parts end lebor, to the equipment
furnished in exceas of the Guaranteed Maximum Cost of
Repairs as ahown on the bid propoeal form ($18,097.00) '
during the Yirst 8,400 hours of operation as recorded by
the engine hour meter or seven (7) years from the date ".;'�;��� '
of delivery, whichever occurs first. � �'i?-:.:-

2. Ia determining whether the guaranteed total cost of

repairs has been reached, the coat of recovered warranty , -
repairs (including parts end labor) made ahall not be �.

3. Ih determining the Guaranteed Maximum Cost of Repaira,
and in the enforcement of this provision of the 1�-�
agreement, the following rules shall apply: � �
a. In the event that the coat of repairs, including �

parte and labor, as estimated by Pitkin Couaty, is '?'; �;��,.
less than $500.00 the COUNTY shall have the right " r�'i;'.
'' � to have the repairs made in the County shop and need �
} not give notice to the VBNDOR prior to the repeirs
being made. In computing the cost of repairs, ell
� County labor costs will be charged at the County's
� then prevailing rate. Present rate in ¢ 37.50 per
hour, increases not to exceed 10X per year. Parts
� ahall be charged et ectual cost and shall be
� purchased Prom the authorized dealer or the original
� equipment manufacturer, if possible.
� b. If the coat of repairs, including parts and labor,
is in excesa of $ b00.00, as estimated by the
COUNTY, the County shall submit to the VENDOA the
� estimated coet of the repairs and a detailed account
i
� of the work Yo be done. The VSNDOR shall then
j submit a cost estimate on the work to be done, with
said estimate to be filed with the County not later
than twenty-four hours after receipt of County's
esti�ate. Repairs shall then be made by the aervice
shop of the VSNDOR and billed to the Couaty at the
i Vendor's then prevailing rate. If, howevar, the `.
Vendor and County agree, then repairs may be made .k`•.
in County's shop in which event the cost of such �,:,
repairs shall be computed on the same basis as that � •
set forth in Sub-Paragraph 3.a above. Maintenance ��. .

to transport the equipment to the Vendor's shop for
repair or maintenance, all costs of transportation,
including labor, transport, and incidental expenaes
connected with auch transport incurred by the County
ahall apply toward the maximum repair or maintenance

until the County's equipment is restored to service.
� g. The VSNDOR shall have the right to exanine repair _ •
� cost records at any reasonable time. The County
; will maintain records reflecting pertinent repair
� cost infornation. The forms and means utilized by
� the County in providing this informetion are not
� material so long ae substantially similar informa-
i tion is available.

i 2. In the event equipment subject to the Guaronteed Minimum
� Bid, while in poasesaion of the County, is either totally
destroyed, or partially damaged to the extent that the
damage is beyond repair and ia conaidered a total loes
� becauae the cost of restitutioa or repair exceeds the
! guaranteed minimum bid, then the bidder is released from
� his obligation relating to gueranteed minimun bid.

( 3. Pitkin County asauaes the following obligations with
� regard to care and maintenance of the equipment:

a. The equipment will be operated by Pitkin County
! peraonnel in grading, snowplowing and do2ing �i<�
; operations and other purpases for which the

� b. The County will assume responsibility for costs of . ?�

fuel, tires, belts, oil samplea, lubricants and the
, application thereof, anti-freeze, cutting edges,
batteries, lights, glass breakage, cleaning and
repainting, and other items normally consumed in

d. The County will maintain the equipment in accordance �

performed. The Vendor shall have the right to

1 e. Bquipment returned under the guaranteed minimum bid
� provisions shall be complete ae originally received
� from the Vendor, including aIl attachments, except
` for normal wear and tear, having et least fifty per
i cent ('50%) tire tread remaining with no significant
� carcass damage and the equipment shall be opera-
I tional. The County, in its sole reasonable
1 diacretion, ahall be the judge of what conatitutes
' "normal wear and tear" and tire condition. t

� WARRANTY REPAIRS:
i
' 1. The VTNDOR hereby warrants that for a period of 60
monthe, or 5000 operating hours, whichever occurs first, `�
from the date of final acceptance he will, at his own
expenae and without any cost to the County, replace all
I defective parts and make any repairs to the components
of the power train of the machine listed in the vendor's
i extended governmental warranty that may be required or
made necessary by reason of defective materisl or �
workmanship. Where practicable, warranty repairs are to t„
be made in the field; however, in the event of major
repaira, the machine may be transported to Vendor's '
facility at no cost to the County. These guarantees are �-�
in addition to Caterpillar Tractor Company's Standard six
month's warrenty, and do not have any affect on that
` warranty. �

3. The County may avail itself of the VENDOR'S standard or
extended warranty if more beneficiel to the County.
4. The Vendor ney, at his option and expenae, provide
extended warranties, in which event, the cost of repeirs,
including parts end labor recovered by the County under �;;`;-�,� ..

GUAEANTSBD MACHINS AVAILABILITY
When repaired by the Vendor, the Vendor will provide all repairs ' �'
and return the mechine to safe operation within 48 hours of
t delivery of the machine to the Vendor's nearest service facility
or first arrival of the vendor's service technician at the County's
repair facility, in the event that field service is requested. The
48 hour clock starts on delivery of the machine or first errival �-;;`?:';:s
of the field technician during normal business hours (7:30 am -
5:00 pm, Monday through Friday, excluding holidays) or the atert ��i,
R of the next normal working day. The machine availability
i guarantees will only be exercised for emergency repairs which cause "�`''�'`

the machine to be shut down or if machine is deemed to be unsafe f
to operate. Should a repair not be performed in 48 hours, the
� Vendor shall pay $100.00 for each full 24 hour period the machine
is not operational beyond the guaranteed 48 hours, or provide a
� comparable machine free of charge to the County. The use of
exchange components to meet a 48 hour commitment may be uaed at the
Vendor's option, with all associated cost to be charged against the
' i County account, if the 48 hour repair cannot be done using normal
� repair procedures. If the County declines the use of exchange
` components after being notified of the probable time delay, the
? Vendor is not obligated to the 48 hour requirement.

} To insure the County of his faithful performance and payment under
i the
� provisions of this contract, the VSNDOR and hia surety,
� licensed to do businesa in the State of Coloredo, agree to enter
into, end properly execute the Performance/Payment Bond Contract
attached hereto in favor of the County, the provisions of which '�
� are hereby included in this Contract by reference.
