THIS AGRSEMSNT is made and entered inta on the llth day of
April, 1989, by and betwaen Music Associates of Aspen, Inc. , a not-
for-profit Colorado corporetion (hereinafter referred to ss '
"M.A.A.") and the County of Pitkin in the State of Colorado �'"`�

WHSREAS, during the summer of 1989, M.A.A, desires to operate £`� ' -
ita student food program in the facility known as the Pitkin County �J�
Community Center, Iocated at 0100 I,one Pine Road in the City of ��,� �
Aspen, specifically in the kitchen area, its foyer, and the Hunter �,; '. : rr
Cceek Room {hereinafter referred to as the "Community Center"). "

WHEREAS the parties desire by the terms of this Agreement to
set forth their respective rights, obligations, and . ,..�;�.'s ,`
responsibilities with respect to operation o£ the food service. tti

° NOW THfiREFORS, in coasideration of the mutual covenante and '�;;
; promises contained herein, the parties agree as follows: � r''ti..
'` � 1. Period of Oaeration. The County shall meke available to
i M.A.A. the Community Center at 8:00 a.m. on Wednesday, June 14,
; 1989. After this three day set-up period, meal service wi11
Ica�¢mence on the weekend. Nl.A.A. will vacate the Community Center
� by 5:00 p.m. on Monday August 21, 1989.

� 2. Repairs and Maintenance. During the period of this
� � Agreemeat, M.A.A. shall maintain the Community Center in good shepe �
� and repsir and return it to the County in substantially the sema '
condition as received. This shall include a rewaxing of all floora
� and complete steam clean of all carpets and kitchen equipment.
� Repairs to kitchen equipnent shall be paid for by whichever party
j is owner of the affected equipment, as per previous agreement with
Senior Services. The only exception to this repair agreement shall
t be the garbage disposal which M.A.A. shaZl repair in the event oY �
misuse during the tenure of this agreement.
3. Senior Meal Pro¢ram. During the period of this Agreement,
M.A.A, shall provide lunches to the Senior Program on Mondays,
Wednesdsys, and Fcidays, uaing reserved tables set aside by Senior
Services. During the set--up period (specifically Monday, .7une 12, �
Wednesday, June 14 and Friday, June 16) and the clean-up period t"
(speoific$lly Monday, August 21 and Wednesday, August 23), M.A.A.
shall pay the meal costs for the seniors to eat theic lunches at •'1
the Aspen Valley Hospital. As in past years, M.A.A. will recive
psrtial reimburse�ent for Senior Program meal costs from the _
Northwest Colorado Council of Governments. M.A.A. and their Food � :,' -
Service contractor, DM Premier hlsnagement, shall provide meals to ' :��.:;;.�
the Seniors that are appropriate and acceptable in regards to 4 '
entree choices, natritional value, and overall guality. «v�� '

4. Pavment of Fees. In addition to the coets involved with
tfie Senior Meal Program, M.A.A. shall provide to the County a
contribution of Sight Hundred Dollars ($800.00) for improvements '
to the Hunter Creek Room. This payment shell be due no later than �
the date of occupaney by iN.A.A.

b. Insurance. M.A.A. shall provide to the Gounty at least ` ;�
�• ten days prior to the date of occupancy by M.A.A. a certificate of .`�`~^-�
r insurance naning the County as an additionai named insured on ,nr�'�'��'��
' M.A.A. 's Comprehensive General I.iability Insurance Policy with �;��-,,�
� policy limits acceptable to the County.

� 6. Governinrt Law. This agreement has been entered into in the ��'•',
Y State of Colorado, and the validity, interpretation, and legal 'i'•'x;�� '
� effect of this agreement shall be governed by the laws of the State ��`�°'` `

,,� 7. Non-Assi¢nment. This agreement and the rights arising ��� ��..
�: ,� under it shall not be assigned or transferred by M.A.A. ki.,,�`+':i,

-- �`� 8. Sindinsf Sffect. This agreement shall be binding upon the
parties hereto, their respective heirs, successors and sssigns.
