THIS GRANT OF EASEMENT is made and entered into this �

WHEREAS, Grantors are the owners of certain real property � ti
located in Pitkin County, Colorado, more particularly described by
metes and bounds in Exhibit A attached hereto and incorporated �'�

herein, which real propertp is also descri.bed as Lot A, Pearson +'
T.`. Exemption Plat, a portion of the Lenado Placer, as shown on the
recorfled Plat in Plat Hook 22, Page 3, records of the Pitkin County
Clerk and Recorder; and
?� WHEREAS, as a condition of the approval by the Pitkin
Couaty Commissioners of a subdivision exemption for fully developed
lands, Pitkin County Resolution No. 88-145, rerorded in Book 581
at Page 517, Grantors agreed to provide a temporary construction
easement to Pitkin County to facilitate improvements to Woody Creek
Road;
NOW THEREFORE, for and in consideration of the approval
af said subdivision exemption by the Pitkin County Commissioners
and for other good and valuable consideration, Grantors this date
hereby barqain, convey, deliver, transfer and sell unto Grantee a
� nan-exclusive temporary construction easement to facilitate -
improvements by Pitkin County to FToody Creek Road subject to the
terms and conditions contained herein.
Said easement shall extend no more than five feet from h ;
the existinq right-of-way line of Woady Creek Road onto the real
' propertp described in Exhibit A attached hereto and shall run the ,���:.
� entire length of Woody Creek Road as it borders upon the real
property described in Exhibit A. � �

PROVIDED, HOWEVER, said easement shall in no way encroach
j upon any existing improvements on the subject real property. :

� Grantors shall have the right to use and occupy the
temporary easement area for any purpose not inconsistent with '
�. Grantee's full enjoyment of the rights hereby granted. '

Grantee shall exercise reasonable care in utilizing the
subject temporary construction easement at such time that Grantee '�
makes the planned improvements to Woody Creek Road. Grantee's duty �� t_<,
- of reasonable care shall constitute a covenant running with the
land, binding upon Grantee and Grantee's agents and employees. `:�'; r"
Any liability for personal injury to Grantee, its :
employees, agents and invitees, or any third persons, as a result �':`•�"'
of or arising out of or relatir_g to the use or occupancy of the
temporary construction easement area by Grantee shall be borne by �
Grantee. Further, Grantee agrees to indemnify and hold harmless _ �� �
'. Grantors, their successors and assigns against any loss or damage ` �
j which may arise out of or be attributab2e to the use of the t,`''

easement area by Grantee, its employees, agents, or invitees, %

At such time and in the event that the construction of i
road improvements to Woody Creek Road are completed, the property
interest of Grantee in this temporary construction easement shall _ _
- r, immediately terminate and thereafter revert to Grantors, their
