INTERGaVSRNMENTAL AGREEMENT `'g'" '�"'''
THIS TNTERGOVERNMENTAL AGR�EMENT (the "Agreement") is made
this ,� day of , 198 by and between Pitkin County,
Colorado (the "Count ") and the Aspen Valley Hospital District (the
"District"} .
RECITALS
WHEREAS, the County and the District are duly constituted
governmental or quasi-governmental entities governed by boards �'�";+`;.'
elected by qualified electors of Pitkin County, Colorado; and ,,,.� -:

WHEREAS, the Pitkin County Board of County Coumissioners is t.::,:.
orized to execute this A reement on behaZf of the County and ;<���.,;.

the Aspen Valley Hospital District Board of Directors is authorized :w:;�, .: r :
to execute this Agreement on behalf of the District; and _� -

WHEREAS, the County and the District have determined that they �`�
share mutually certain objectives, including the creation of a ��.
health and human services campus on the District property; the x, `
creation of a master plan for Y.he development of the District ���
property and adjacent County property; the improvement of liying �;;
� . conditions for those people living at the Community Center who r".>
would qualify for admission to the District's Assisted Livinq
Facility; and the freeing of the Community Center for County use . .
other than housing; and � '�
` . . WIiEREAS, the bistrict agrees that it will construct a Senior
ActiVities Center, consisting of approximately 3,976 square feet,
to be provided to the County rent-free, to be used by the County �
for the County's senior programs and the .County agrees that as
consideration for the provision of such Senior Actiyities Center ,�
by the District it will convey a portion of its property located
south of the Aspen Valley Hospital campus fo the District for use
by the District for hospital purposes; and
� WHEREAS, the County and the District have determined it is in
� the beat interests of the citizens of the County and the DistricC ,.
1 to enter into this Agreement; �
i NOW, THEREFORE, the County and the District, for good and
valuable consideration, the receigt of which is hereby
: scluwwledged, do hereby agree as follows:
' 1. Subdivision. The County shall consent to an application �
� for the subdivision of the real property it owns adjacent to the t.`
; souEhern boundary of the District Property, consisting of
approximately 9 acres plus any real property which might be �
conveyed by the City of Aspen_f.c�.t'h����!^r� f��?"Yee housing `,�
purposes, consisting of approximately 1 acre, (the "County
Property"), into two parcels as shown on the attached site p1an,
- a copy of which is attached hereto as Exhibit "A" and the joint
Master Plan prepared by the County and the District and approved ? � �

of the submission of such land use application, including:
a. Preparation of the land use application;
b. Processing of the application pursuant to the
provisions of the Land Use Code;

c. Payment of the filing fees attributable to the •. �;,

applications unless such fees are waived, as provided by Zaw; ��;;.�_

d. Preparation of a survey sufficient for submittal with + '�,r�=-
tfie land use application and preparation of a survey of the
Eastern Parcel zesulting from the subdivision (the "Eastern
Parcel") to be conveyed to the District.
If such land use application is not approved by the County
pursuant to the Land Use Code, this Agreement shall be terminated.

2. Rezonina. In conjunction with the District's application ��
to subdivide the County Property into two parcels, the District
shall also apply to rezone fhe Eastern Parcel to PUB, Public 2one , r.. :
District, as such zone is described in Section 3-1.10 of the Land
=r. � Use Code. Notwithstanding the foregoing, should the Master Plan
provide for construction of employee housing on the Eastern Parcel, �
the parcel may be rezoned to include a permanent moderate housing
t: , ' (PMH) zone area in accordance with the provisions of the Land Use
� Code, if necessary. The District shall also apply to rezone the _
� � western parcel resulting from the subdivision ("western Parcel") .
= to R-30, as such zone is described in Sections 3-2 and 3-3 of the
. ; Land Use Code. . ; ;

� 3. Conveyance. Following the completion of the land use
� approval process, the County shall convey by general warranty deed
the resulting Eastern Parcel to the District free and.clear of any
liens or encumbrances or other matters of record that would render
� title unmarketable or would interfere with the District's intended
E use of the Eastern Parcel. Should the County be unable to convey .
� the Eastern Parcel to the District under these conditions for any.
� reason, this Agreement shall be terminated, at the option of the
;
District.

4. Title Commitment. The County shall furnish at its expense
� an owner's policy of tit2e insurance, in a form acceptable to the �s
�' District in the amount of TWENTY-FIVE THOUSAND AND NO/100 DOLLARS `!'"
1 ($25,000.00) pex acre, for the Eastern Parcel to be conveyed to the � ��' -
l District pursuant to this Aqreement_ Should the District desire ��
� to secure title insurance for all of its property, the District

5. Easements. Simultaneously with the conveyance of the
Eastern Parcel of the County Property to the District, the District
will convey, at no cost to the County, perpetual easements to the
County for:
a. a Health and Human Services building proposed to be
constructed by the County on the Eastern Parcel consisting of
approximately 14,825 square feet, as shown on Exhibit "A";
b, access to the ro osed Count Health and Human ``'�'�'

c. parking for the proposed County Health and Human

The form of the easements set forth in this paragraph which �
are to be granted the County by the District, is set forth in "

The conveyance of the footprint Eor the Health and Human ��� -
Services building shall be accomplished in accordance with the 1r'
provisions of the Land Use Code and shall be included in the t�,�,^'
` District's application for subdivision of the County property, as �. r•.:,:.
� necessary. The access and parking for the County Health and Human
Serqices building shall be as designated on the Master Plan but may
- be relocated by the District with the consent of the County � '
Manager, which consent shall not be unreasonably withheld, if '+
4 relocation is necessitated by unforeseen circumstances, at the
District's expense, so long as such relocation does not adversely. _
; affect the county's use of its Aealth and Human Sexvices building.

' 6. Master Plan. The District and the County shall prepare . r:
� a joint Master Plan for the Eastern Parcel of the County Property
� conveyed by the County to the District. addressing all current and .
� known future uses of the parcel. The Master Plan shall provide
j that all development of the Eastern Parcel shall be subject to the
j . provisions of the Master Plan or an amendment to the Master Plan
� as well as to the re.levant provisions of the Land Use Code in
� effect at thet time, and all such development shall be subject to
� ' the approval of the District and the County, which approval shall
( not be unreasonably withheld. Should any proposed development be
j; disapproved by either party, such development shall not occur.
� . Any plans for development of the parcel by one of the parties fo
� this Agreement which have been submitted to the other party for �
� approval under this Section shall be deemed approved by that party i
� - within 45 days of submittal unless reasonably disapproved within f,F

8. Countv PrQpertv. The County shall continue to have
complete authority and discretion for any development of the
western parcel resulting from the subdivision of the County
Property provided for herein, subject only to the applicable
provisions of the Land Use Code.

9. Health and Human Services Buildina. The County, as of 4�•�;�'�;,,,.
the date of this Agreement, proposes to construct a county Health ��%'�';,�:;
and Human Services building on the Eastern Parcel on the footprint �:� ";:
conveyed to it by virtue of the easement granted it pursuant to � '
this Agreement. The building design shall be architecturally ,;:������•'
compafible with the buildings located on the District's campus at '�
the time a building permit is sought for the Health and Human '�V
Services building. The County shall only use the propoSed Health �
and Human Services building for those health and huraan service uses �j�`�
which are compatible with the Aspen Valley Hospital campus, the PUB � `
zone district, if applicable, and the Master Plan prepared jointly ��`
by the District and the County for the Eastern Parcel. Such uses �,� ,{
may. include Social Services, Community Health Services, Mental �
Health Services, Child Care, Veterans' Services, Senior Services, : r'•�.
' Extension Services and other community functioris located in the
Pitkin County Community Center as of the date of this Agreement. � ;��
- The construction of 5uch building is the sole responsibility of
> the County and the Distrzct shall have no obligation to construct
the building or to contribute to the building in any way, except
� as may be contemplated by this Agreement. If the parties agree .
{ upon an expansion of the County improvements located on the Eastern
� Parcel, the parties agree to revise the Easement to rePlect such
expansion.

� 10. Senior Activities Center. The District hereby agrees
jthat it shall construct a Senior Activities Center (the "Center") '
in conjunction with its construction of an Assisted Living Facility �
I bn the District's hospital campus. The Center shall be at least
�, 3,00o square feet but no more than 4,000 square feet and shall �
; contain a recreation area, dining area, kitchen and an office for
the County Senior. Services Coordinator. The . Center will be
iprovided rent-f=ee to the County for so long as the County proposes
i to use.the Center for senior activities or for the period of time
! which ends upon the death of the last surviving member of the Board
i of County Commissioners as of the date of this Agreement plus
� twenty-one (21) years, whichever period is less. The County sliall �
be deemed to have ceased using the Center far senior activities ',
�. upon the failure by the County to conduct any senior activities in ;
I the Center for a period of six (6} consecutive months, all ��

and architects' fees attributable to the installation of the � �
.z Center's kitchen and pay one-half of the costs of the ; ;
dishwashing equipment;
iii. Provide all furnishings, and replace such
= furnishings as necessary, including, but not limited to,
? off'ice equipment and furniture, other furniture, recreational
� equipment, audio-visual equipment and draperies, an estimate E;;
• of which is attached hereto as Exhibit D; `
iv. Pay salaries of all County personnel utilizinq the i
Center; and
v. Maintain general liability insurance in connection
� with its use of the Center, naming the District as an
additional insnred, personal property insurance and public . ;;

adequate by the County.

! 11. Use of Senior Activities Center. The Countp shall have
4 first priority for use of the Center for County .senior activities
' administered by County personnel. The District shall have the `
, . right to use the Center for meetings or other purposes so long as �
such use does not interfere with County senior activities. The t"
District shall coordinate its use of the Center with the County
Senior Services Coordinator to avoid conflicts in use of the � .

12. Senior Meals�-�-roq�ams.- A senior meals program •-ts ,,
�. . currently provided by federal funding which is administered by the
� Northwest Colorado Council of Governments (NWCCOG). The federal ?� '
; program currently provides a cook/site manaqer's salary in the t� �d:�

� first priority for use of the Center for County senior activities

County at no cost to the County. The County currently collects a
contribution of ONE AND 50/100 DOLLARS ($1.50) per meal per senior
over 60 years of age and a THREE AND 25/100 DOLLARS ($3.25) charge
per meal for others and pays such funds to NWCCOG. The County acts
as the local coordinating body by providing cooking and dining -
facilities and currently TWO THOUSAND THREE HUNDRED TWENTY-TWO AND
NO/100 DOLLARS ($2,322) per year to supplement the cook's salary
in order to bring such salary in line with local wage levels. ''.��

13. Nordic Trail. As of the date of this Agreement a public
nordic trail exists on the County Property as shown on the site
plan attached hereto as Exhibit A. Any development of the County
Property, whether by the County, the District or otherwise, shall �':=;: '.
preserve , the nordic trail across the County Property. �'�
Notwithstanding the foregoing,. the County shall relocate the nordic t�
trail, if necessary, at its discretion so long as the relocation , �.
! does not unreasonably interfere with the use of such nordic trail �,r,.;s,
and so long as any relocated trail does not exceed an approximately
'`' '�. five percent (5�) grade.
14. Termination of Aareement. This Agreement shall terminate
and its provisions shall be null arid void if the District has not
� submitted plans and an application for a building permit to the ,
� Aspen/Pitkin Building Department for the Center (as described
' herein), the ultimate size of which will be determined in the
; Master Plan, and an Assisted Living Facility, the size of which
t facility will be determined in the sole discretion of the District
j and approved by. the Board of County Commissioners of Pitkin County
` as an amendment to the District's Detailed Submission Approval of
� the Assisted Livinq Facility, by no later than May 1, 1990. No
� obligations established by this Agreement, other than tHose
� applying.to the creation of a Master Plan, if appropriate, shall
� arise prior to the submission of such plans and application.
� . Following submission by the District of such plans and application,
� the District shall comply with all applicable provisions of the
� Uniform Building Code, including those relating to the time in �
� which a permit must be granted (Section 303[dJ) and those relating t
l . to the expiration of a permit (Section 3o2[d]).

15. Entire Acxreement. This Agreement and the Exhibits '�"
�. attached hereto contain the entire understanding of the parties.
There are no representations, warranties, covenants or undertakings �

i7. Recordation. Upon full execution of this Agreement, the

18. Bindina Effect. This Agreement shall be binding upon ,
and shall inure to the benefit of the parties hereto and their �

19. Unenforceable Provision. If any provisions of this ���s
Agreement shall be determined to be void by any court of competent q • �
jurisdiction, such determination shall not effect any other - r ,

full force and effect so long as all the material provisions hereof �,�'; .,i;'
can be performed. It is the intention of the parties hereto that, -
if any provision of this Agreement is capable of two constructions,
one of which would render the provision void and the other of which

20. Governincr Law. The interpretation, construction and L� ,
� performance of this Agreement shall be governed by the laws of the � } ;
