Services has received funding from the Division of Criminal Justice to
? provid� intake/screening, crisis intervention, and community-based
�i � supervision for youths in Pitkin County; and :

' � WHEREAS, intake/screening includes evaluating youths taken into + .
custody to determine whether they could be released or placed in less
restrictive alternatives, and crisis interverition, and making
it� recommendations to the court at detention hearings.

, 3. METHOD OF PAYMENT
i
a. The Contractor shall secure and maintain copies of all
, � invoices for personnel time expended in providing services under this '
� � contract. The Contractor shall also supply the State with copies of

all invoices prior� to certification for payment.

4! FISCAL RECORDS '
a. The Contractor shall maintain adequate fiscal records
for a period of three years following the termination of this contract
subject to inspection and audit by the State or its designee. Any
audit exception shall be subject to an immediate refund to the State
by the Contractor.
i b. The Contractor agrees that all books and records shall .�.
� be open to inspection and/or audit at reasonable times by an ,. ;
authorized representative of the State or an independent auditor as '�
designated by the State. The Contractor aqrees to maintain sufficient �t" ,
accounting records to enable the State and/or an independent auditor � '�'�
to determine all costs for services provided pursuant to this _�
contract. The Contractor shall provide to the State documentation
regarding all other sources of support and revenue obtained by the
Contractor for the program and all costs related to the program must

contract as an independent Contractor and shall be accountable to the =

hours of work except as provided herein. The employees of the
'� Contractor shall not be construed as employees of the State for any
� purpose. •

12. CONTRACT STATEMENT TO HOLD HARMLESS
i a. It is agreed that the Stata shall not be held liable `r� -
for any error or omission of the Contractor in providing services .�`
; hereunder. The Contractor shall not at any time act as an aqent, � ;, ;: �
servant, or employee of the State. The Contractor agrees to indemnify 4� �
rand hold harmless the State, its employees, agents, and oPficers � '
against any and all claims, demands, damages, liabilities, and court ��',I'
�, � awards including any officer, agent, or employee of the Contractor; or
� acts or omissions by youths within the program of such Contractor; or
resulting from the condition of any property owned or controlled by
� the Contractor.
� 13. INTEGRATION CI,.�E ". -
a. This agreement is intended as the complete integration
' of all understandings between the parties. No prior or � �
contemporaneous addition, deletion, or other amendment hereto shall +
have any force or effect whatsoever unless embodied herein in writing.
No subsequent novation, renewal, addition, deletion, or other
amendment hereto shall have any force or ef£ect unless embodiEd ir��a •
written contract executed and approved pursuant to the State Fiscal
Rules. `s.
14. SEVERABILITX

� a. To the extent that this contract may be executed attd
