4 WHEREAS, the Department of Institutions' Division of Youth ,���>� '
' Services has received funding from the Division of Criminal Justice to ;. �;:;;>.

s temporarily in Pitkin County designated JINENILE HOLDING UNIT outside
� of and apart from the County Jail facility wherein adults are held;
and
WHEREAS, the Pitkin County Board of Commissioners; hereinafter �
� referred to as the Commissioners; is the�financial authority and
cantracting authority for the County; and
� WHEREAS, the Pitkin County Sheriff; hereinafter re£erred to as �'
the Sheriff; has the experience and authority necessary to �
administrate and manage such a program.
NOW THEREFORE, it is hereby agreed that
� 1. STATEMENT OF WORK

i a. The Commissioners will provide the Sheriff with a room
� or rooms desiqned for the secure holding of juveniles that have been
j taken into custody by a peace officer and deemed appropriate to hold
by the District Judge or caurt designated intake screener. This room <
� or rooms shall be designated as the JUVEN2LE HOLDYNG UNIT. The t: �
specifications and standards for this unit are attached as "Exhibit A" � ".

� b. The Sheriff will manage the Juvenile Holding Unit and see
that it is kept clean, warm, safe and secure; and, that .the juveniles
held therein are provided with a proper diet and adequate medical
care, the costs of which shall be the responsibility of the County.
c. The Commissioners will inspect the Juvenile HolBing
Unit at least once each month to see that it is in good repair and
. shall correct any deficiencies found therein. �

• d. On a quarterly basis the Division of Youth Services :<.,,�.5 !-
� : personnel will monitor the Juvenile Holding Unit to see if it is in � H,,;,�:
compliance with standards set forth in "Exhibit A". "��"3" -
e. TYte Sheriff will provide and use "off-duty" deputies as ���� ,
Juvenile Security officers, whose job it shall be to keep safe and �,,, , ; ;
secure the juveniles who are detained and held in the Juvenile Holding -
Unit. These officers are to zeceive training and technical assistance
from the Division of Youth Services as requested by the Sheriff. ?�' �
The job description for these personnel is attached as "Exhibit B" and �!":�-��-�
! made a part hereof and incorporated as if fully set forth herein by ��,"

� a. The State shall pay directly to the Contractor a sum of f �.
_ � TEN DOLLARS ($10.00) per hour for each hour worked by "off-duty" �1
' personnel retained by the Contractor upon receipt of a properly
completed monthly invoice form and copies of all Juvenile Holding
Reimbursement Reports for that month's billing pariod (attached
as "Exhibit C"). The total amount payable under this contract shall
. � not exceed ONE THOUSAND, TWO HUNDRED AOLLARS ($1,200.00).
+ 3. METHOD OF PAYMENT '

� a. The Contractor shall maintain copies of all monthly
Juvenile Holding Reimbursement Reports and monthly invoice forms.
; b. The State sha12 pay the actual cost incurred by the
� Contractor for provision of services under this cantract in the
i following manner:

� Payment will be made monthly. Reimbursement requests shall
i be submitted between the first and tenth o£ the following
� ' month. Payment is made upon the receipt of a monthly
invoice form and copies of all Juvenile Holdinq �
� Reimbursement Reports for that month's billing period from � �!" ;
the Contractor which have been approved by the Division �%

6. CQNTRACT TERMINATION
a. This contract may be terminated by either party by
i, giving a thirty (30) day notice in writing, delivered by cartiPied
mail, return receipt requested, to the above address or delivered by i.'
personal service upon the party. If notice is so given, this contract
shall terminate on the expiration of the thirty (30) days, and the
liability of the parties hereunder for further performance of the
terms of this contract shall thereupon cease, but the parties shall
not be relieved of the duty to perform their obligation up to the date
of termination.
7. SUBCONTRACTS ' ' '
a. The parties recognize that the services provided by the y;
contractor are personal in nature; and theiefore, none of the riqhts, _,.
duties, or obligations arising under this contract may be assigned or '�

the ultimate results of its actions, but shall not be subject to
direction and control of the State as to details or to particular

not be released to anyone other than the gerson in interest, or such

12. CONTRACT STATEMENT TO HOLD HARMLESS
a. It is aqreed that the State shall not be held liable for
any error or omission of the Contractor in providing services
hereunder. The Contractor agrees to indemnify and hold harmless tl�e �'
State, its employees, agents, and officers against any and all claims; :1`�
demands, damages, liabilities, and court awards including costs, •
expenses, and attorney fees incurred as the result of any act of ,__l.
omission of any officer, agent, or employee of the Contractor; or acts :=:}..;,,:
or omissions by youths within the program of such Contractor; or

and/o'r his designee. The job of this Juvenile Holding Personnel

in the Juvenile Holding Unit. �
