PITRIN COUNTY CONSTROCTIUN CUNTRACT �
AGRSfiMSNT
THIS AGREEMENT, made ae of the lst day of September, 1989,
by and between the County of Pitkin, Colorado, a Colorado home-
rule county, (hereinafter called the COUNTY), and Summit :,
Mechanical Systems, Inc. (hereinafter called the CONTRACTOR). ;,,~:,,�:'

WITNBSSETH, that whereas the County intenda to eccomplish '*� ,
Generator Replacement for Pitkin County Jail, hereinafter called s�t=� _-
the PROJ6CT, in accordance with the terms and conditions outlined �
in the Bid documents and the associated Plans snd Specifications.

NOW, THBAEFORE, the County and the Contractor, for the
considerations hereinafter set forth, agree as follows: �
1) THS CONTRACTOR AGREES to furnish all the necessary -
labor, materiais, eqvipment, tools and services necessary to �
complete in a workmanlike manner all tasks reqvired for the �.
i completion of the Projeci, in strict comp2iance with the contract

-� a. CQNTRACT TIME AND LIAUIDATBD DAMAGES. Work under �

every sub-contractor by the terms of the Contract documents. �he
Contract Documenta shall not be construed as creating any
contractual relationship between the sub-contractor and the
Caunty.

ti accept, in full payment for the performance of this Gnntract, the
Contract amount oY $23,860.00 (thwenty-three thousand, eight

Project Manager. The Director shall decide any and all questions 1 -�
� i which may arise as to the quality and acceptability of materials ; �,,,.
7 furnished, work performed, rate of progress of the work, inter-
� pretation of the Contract, change orders (within the limits of
� his suthority) and all other quest�.ons as to the compliance with
E the contract on the part of the Contractor.

k 5. SUCC6SSOR5 AND ASSIGNS. This Agreement does not and
shall not be deemed or construed to confer upon or gra�t to any �' . -
;� third party or parties, except to parties to who Contractor or �.
•' County may assign this .A�greement in accordance with the specific
++ written permission, any rights to claim damages or to bring any �,'
� suit, action or other proceeding against either the County or
Contractor because of any breach hereof or because o£ any of the
'� terms, covenants, agreements or conditioas herein coatained.
� 7. WAIVfiR. No waiver of default by either party of any of E
a the terms, covenants or coaditions hereof to be performed, kept ?
±� and observed by the other party shall he construed, or operate :

8. AGREBMBNT MADB IN COLORADO. The parties agree that this bf: t

� Colorado and shall be so construed. Venue is agreed to be
'� exclusively in the courts of Pitkin County, Colorado.
� 9. ATTORNSY'S FBES. In the event that legal action is
�i necessary to enforce any of the provisions of thia Agreement, the '
`� prevailing party shall be entitled to its costs and reasonable

and reviewed through the mutval efforts of the parties hereto and

above Contract has been considered. You are the apparent
successful bidder and have been awarded a contract for Generetor
Replacement for County Jail. � ,-,.'
The Contract Price of your contract is $23,860.00 (twenty-three ��

Three copies of each of the proposed Contract Documents (except

� plans and specifications) accompany this Notice of Award. Three +
sets o£ the Plans and Specifications will be delivered i
separately or otherwise made available to you immediately. �
You must comply with the following conditions precedent within
fifteen calendar days of the date of this Notice of Award, that ` -

� 1. You must deliver to the Owner (through the Project �
Sngineer or his Designee) three fully executed counterparts of �
the Agreement.
2. You must deliver with the executed agreesent the
Contract Security (Bonds) as specified in the Instructions ta
Bidders (paragraph 3.a. and 10).
Failure to comply with these conditions within the time specified
will entitle OWNHR to consider your bid abandoned, to annul this
Notice of Award, and to declare your Bid Boud forfeited.
