NATQRAL GAS SERVICE PIPELINE

`THE�AG, Rocky Mountain Natural Gas Division of K N Energy,
Inc. operates a natural gas pipeline in to the Aspen and Pitkin
' County area and desires to locate a certain section of natural �',;`2:''
gas service pipeline upon a parcel of land in Pitkin County; and ���','.�
WHEREAS, the Board of County Commissioners is agreeable to �;r� _
the grant of an easement across a parcel of land in Pitkin County •?r,. �: .

NOW� THEREFORE, BE IT ORDAINED BY THE BOARD OF COIIN'PY �A

' RIGHT-OF-WAY AND EA.SEMENT
Board of County Commissioners of Pitkin County, Colorado, a
Home Rule County, Grantor, of 506 East Main Street, Aspen,
Colorado 8161i, does hereby sell and convey to Rocky Mountain
Natural Gas Division of R N Enerqy, Inc., a Kansas corporation,
Grantee, for the sum of Five Hundred and no/100 ($500.00) •
Dollars, and other valuable consideration, the receipt and
adequacy of which is hereby acknowledged, a right-of-way and
easement fi£teen (15) feet in width for the purposes of laying, .A�? -
constructinq, maintaining, operating, repairing, altering, ;j"�`.?`-:;.�
inspecting, replacing, removing, and/or changing the size of, one ,;;i3;:.� .
or more pipelines (with values, meters, fittings, appliances, and :'�i'-. '.• -

related facilities) for the transportation of gas over, through, _
under and across the following described land situate in the ' x��`
County of Pitkin, State of Colorado, to wit: 5'

Grantee shall have the right and option to select the route : r-.�^
s and location of said right-of-way and easement and the center �
` line thereof shall be shown on a plat ar map filed for record by �
i Grantee with the Clerk and Recorder of Pitkin County within
ninety (90) days, weather permitting, after completion of
construction of the first such pipeline.
Grantee shall have all other rights and benefits necessary -
` or convenient for the full enjoyment and use of the rights herein
! granted, including, but not without limiting the same, the free
and full right of ingress and egress over said lands and other �;
lands of the Grantor to and from said right-of-way and easament.
� Grantor hereby warrants and agrees to defend the title to
the above described premises. Grantor shall have the use of such
� right-of-way and easement except for any use which conflicts with
the purposes for which this right-of-way and easement is granted; _
provided, however, Grantor shall not build or construct nor
i permit to be built or constructed any building or other
' improveraent over or across said right-of-way and easement. y

Grantee agrees,.to bury all pipelines so that they will not
interfere with the cultivation of the land, and also to pay for �
any damage to fences, improvements, landscaping and growing crops S°
which may arise from its operations hereunder, said damage, if
not mutually agreed upon, to be ascertained by three • `�
disinterested persons, one to be appointed by the Grantor, one by
Grantee, and the third by the two persons aforesaid, and written `��<
award of the said three persons, or any two of them, shall be
final and conclusive.

Grantee further aqrees that in the event the lands which are
the subject of this right-of-way and easement are ever developed
Eor mass transit or county road right-of-way, Grantee shall, at
its own sole expense take whatever measures are required to re-
instal2 and proteat its pipeline ae it crosses the road or mass
transit right-of-way.
This grant covers all of the agreements between the parties
and no representations or statements, verbal or written, have �;';;"
been made modiPying, addinq to, or changing the terms of this ,;?`_��:
agreemeht.
This easement and right-of-way and all provisions hereof
shall inure to the benefit o£ and be binding upon the parties, � � �
their successors and assigns. F
