� owner, sponsor and operator of the Aspen/Pitkin County Airport � ,

(Sardy Field), located in the vicinity of Aspen, Colorado, and

-� has the authority to regulate commercial activities and to ?:
� license space at the Airport, pursuant to, inter alia, 1973

WHEREAS, Avis, Hertz and National are present on-Airport
�'a� rental car concessionaires under Use and Lease Agreements ex- `'

WHEREAS, the County and, respectively, Z�vis, Hertz and f•

National have asserted various claims arising from performance �

under the 1979 Agreements, which claims are partially represented a

escalator) annual fee payment for Hertz's unpaved storage lot

. Procurement is justified and in the best interest�. of the County � ` �
and is made pursuant to Seation 3-205 of the Procu�-ement Code. �r�•�`?:

� In 1979, Pitkin County entered into Use and Lease Agreements with
Avis, Hertz and National Rent-A-Car companies. :lt the time of
a these agreements, there were no on-Airport rental car operators.
; According to Hertz, these companies had an ancillary oral agreement
• that the County would not permit more than 3 on-Airport operations; -
? the County denies the existence andjor validity of such an Agree-
i� ment. Further, the written Agreements all contained paragraph 30.,
the ��mast favored nation" clatlse. Avis, Hertz and National all
; have claimed that in permitting other on-Airport operations since
; 1979, the County has also breached paragraph 30 in various ways.
� Hertz filed a lawsuit seeking damages under these claims in 1984
'� and, while Avis and National have not joined in the lawsuit or �
filed separate suits, they have watched the proceedings with
� interest and, in the opinion of the County's legal counsel, would `��
s be in a position to file separate claims iP Hertz t�ere to win its
,� lawsuit.
� The County, for its part, has claims against th�>_se rental car
� companies for matters involving the proper computation, payment and
auditinq of fees due under the 1979 Agreements. Pu:=suant to these i
i claims against Hertz, �he County filed an eviction :lawsuit against
� Hertz in 1984.
� The Avis, Hertz and National Agreements expire on October 31, 1989. `�
; The County instituted a competitive selection in eazly 1989 to fill

f and auditing languaqe; eliminate paragraph 30; extend only sa long
� as was necessary to make all 5 on-site agreements expire at the -

�� Settlement negotiations proceeded parallel with the prvcurement and �� `,,`
eventually involved all mutual claims between the G�unty and Avis, �,�;',-�;

�; At this time, staff is prepared to recommend a set.tl.ement of the �
:"� Hertz lawsuits, a release of the Avis and National claims and a i>:
sole scurce determination that a 32-month "extensior." of the Hertz, �'
"� Avis and National agreements is in the best interests o£ the County �'
for the following reasons: �` '
,:v; 1. Avis, Hertz and National are "the only sources f�r the required
service" because they are the only ones with Hertz-type and
Hertz-level claims to assert against the County and, therefore,
�F the release of these claims can only be receivE�d from them, i; _

��� 2. Cancelling the procurement has benefited the County by settling K
outstanding lawsuits and avoiding the cost and uncertainty of '�-

; WHEREAS, Avis, Hertz and National are present on-Airport
� rental car concessionaires under Use and Lease Agreements ex-

WHEREAS, the County and, respectively, Avis, Hertz and
National have asserted various alaims arising from performance

under the 1979 Agreements, which claims are partially represented ' "

WHEREAS, the County, in April 1989, began a procurement
action originally intended to fill 5 on-Airport rental car
concessions until 1994; and
WHEREAS, during the pendency of the procurement, settlement ;

and, respectively, Avis Rent-A-Car System, Inc., Reed Miller,
Inc. (Hertz Licensee) and North-West Leasing Corp. (National
Itent-A-Cax Licensee), which are attached, respectively, as
Exhihits "A," "B" and "C'� and incorporated herein by this refer-
ence, are hereby approved and adopted according to their terms
