! and Outpatient Alcohol and Drug Abuse servicea in ten (10) counties

A. 24 hour emergency services.
i B. Full services to low incone Pitkin County reaidente
participating on sliding fee scale.
� 2. County agrees to purchase these servicea for the
ifollowing targeted groups:

� Section II. Cantrectar shall:

;' I. Strictly adhere to all appliceble federal, etate, and
j local laws or regulationa (including Coanty Procurement
Gode) that have been or may hereafter be established. .
2. Hold end maintain for the term hereof the necessary
� license[s) as specified under Stete lew which peraits
� the performance of the service(s) to be purchased herein.

,1 services in order to accommodate low income individuals.
4. Subcontracts utilized by the Contractor shall be sub3ect �.

5. Abide by all applicable proviaions of the Title VI and ;��; :a
VII of the Federal Civil Rights Act of 1964, Section 504 �
of the Behabilitetion Act of 1973, and Title XX of the

; Section III. General Provisions: ��

� 1. The Parties to this Contract intend that the relationship
� between them contemplated by the Contract is that of
independertt contractor. No agent, e�eployee, or servant {�
of Contractor shull be deemed to be an employee, agent,
jor servant of County. Contractor wi21 be solely aad
! entirely responsible for its acts and the act of its'
agenta, employees, servants and sub—contractors during •
the performance of the Contract.
Z. Payment pursuant to this Contract, if in County, State,
or Federal funds, whether in whale or in part, ie subject
to and contingent upon the continuinq avai2ebi).ity and
, eppropriation of County funds for the purpose thereof.
3. This contract constitvtes the full and complete agreement

4. Either party shall have the right to terninate this
Contrect by giving the other party thirty days notice by �
regietered mail, return receipt requested at the
addresses below listed, effective upon mailing. If `� t �

given, thie Contract shall terminate on the i ���
' expiration of the thirty days, end the liability of the F s' s
i parties hereunder for further perforroance of the terme .h�t ;;'
; of this Contract shell thereupon cease, but perform their

Services Director. The Contractor's co�tact person for f

5. In the event this Contrect is terminated, final payment � �� , j
to the Contractor may be withheld at the diecretion of !

c � Contractor due to omission, error, fraud, or defaication � �;-.';`-'
; �t shall be recovered from the Contractor by deduction from �
_f subsequent payments under this Contract or other `,�;, `
- contrects between the County and the Contrectar, or by ! ��
' the County as a debt due to the County. The waiver of
any violation shall not be coostrued as a waiver of any
other or subsequent violation of this Contract or I<��
appropriate statutes or regulations.
