' 1. County agrees to purchase and Contractor agrees to furnieh the
' following aervicea hereinafter refecred to as "Purchased �
Services":
! Provide support and counaeling to parents, prenatally
until the child is one year o2d. Theae aervices include
education and parenting skills as well es referral when �E
appropriate.

j 2. County agrees to purchase theae services for the following
Stargeted groupa:
! Parents who because of age and ather factore might be at
risk and need support so that the child will neither be
` abused, neglected or lacking appropriate medical
� intervention.

� 3. County agreea to pay as services are provided as follows: N

•y $3,750 for fifteen Pitkin County reaident families, f�
' $1,250 for thirty five non—reaident families who work in

1. Strictly edhere to all applicable federal, state, and �:-.=

Code} that have been or may hereafter be establiahed.

3. Shall maintain a sliding-scale fee schedule for iEs :��
> aervices in order to accommodate low incone individual�. �

' ' 4. Subcontracts utilized by the Contractor shall be subject .��� �� -

the Contractor is responsible for the performance of any �r�
subcontractor. �;�
5. Abide by all appliceble provisiona of the Title VI and
� VII of the Federal Ci.vil Rights Act of 1964, Section 504
i of the Hehebiiitation Act of 1973, and Title XX of the � �
; Social Security Act oF 19T5 as revised. �
i 6. Maintain written requirements for sefeguerding client
� information and comply with the same.
! 7. Indemnify County and the State of Coloredo against anY -
liability and l.oss ageinst all c].aims and actions based '
� upon or erising out of damage or injury, including death, �.
to persons or property caused or auetained in connection
with the performance of this Contraot or by conditions
created thereby, or based upon any violations of any
statute, ordfnance, or regulation and the defense of any
such claims or actions; maintain insurance in auch types
and anounts as ere necessary to £ind this indemnity;
provide proof of such insurance to the county upon demand i
therefore.
8. Maintain service program records, fiscal recorde,
documentation and other recorde relevant to this Contract
for a period of five years. The ebove shall be subject
at alI reasonable times to inspections, review or audit t" .• d
by Federal, State or County personnel, and other peraona �
authorized in writing by the County.
9. Provide the purchesed servicea et the location as ehown � �
as the address of the Contractor or wherever is `.'y;. �,
appropriate £or that service within Pitkin County.
10. Provide the service(s) described herein at a cost not -

Section III. Qeneral Provisioas: � xE`�

1. The Parties to this Contract intend thet the relationahip a

2. Payment pursuant to this Contract, if in County, Stete, 'g' ` �

3. This contract constitutes the £ull and complete agreement ";;,' _�
� of the parties and supercedes or incorporates any prior }
written and orel agreements of the parties. In addition,
. � contractor understands that no County official or
employee, other than the Board of County Commissioners
acting as a body at a Board meeting, has authority to }
,. enter into a contract or to modify the terma of thia ��
contract on behalf of the County. Any such contract or
- ' modification to this contract must be in writing and be
� executed by the parties hereto.
i 4. Sither party shall have the right to terminate this �
Contract by giving the other party thirty days notice by
registered mail, return receipt requested at the
addresses below listed, eFfective upon mailing. If �
notice ie so given, this Contract shall terminate on the
expiration of the thirty days, and the liability of the
parties hereunder for further performance of the terms
, of this Contract shall thereupon cease, but
perform their obligstions up to the date of terminetion. `
The County's contact person for this contract shall be
