� Article I. STATEMSNT OF WORg. The Vendor agrees to furnish
all labor, materials, equipment, tools and services to perform in Y
a Workman-like manner all tasks to complete the project in strict ��
compiiance wi.th the provisions of $id No 1990-2FM and
Speci£ications dated February 27, 1990, and all other contracting
documents herein mentioned, which are made a part o#' this
Agreement.

? Article 2. It ig hereby further agreed, that at the
completion of delivery and acceptance oP the equipment by the
County all sums due the Vendor by reason of his faithful complet-
ion of delivery, authorized under this Agreement in accordance with
i the provisions of this Agreement, will be paid the Vendor by the
County after said delivery and acceptance. Final acceptance cannot
� be made by the County until any and all proper legal advertisements ,

! 1. The VfiNDOR hereby agrees to be fully responsible for the
total cost of repairs, including parts and labor, to the
equipment furnished in excess of the Guaranteed Maximum �
Cost of Repairs as shown on the bid proposal form
(g13,350.00} during the first 8,400 hours of operatian
as recorded by the engine hour meter or seven (7} years
� from the date of delivery, whichever occurs first.
2• In determining whether the gaaranteed total cost of
repairs has been reached, the cost of recovered warranty
repairs (including parts and labor) made shall not be

repairs, all County labor costs will be charged at
the Cou�ty's then prevailing rate. The present cate �

estimated cost of the repairs and a detailed account
of the work to be done. The VENDOR shall then

! than twenty—four hours after receipt of County's ' ' �'�`� '
� estimate. Repairs shall then be made by the service ;1��. "_'
shop of the VENDOR and billed to the County at the

� in Caunty's shop in which event the cost of such ��
i repairs shall be computed on the same basis as that �i,

provided by the Vendor shall be accomplished oa the

I charged to the County for service calls, mileage, �
' mechanic's travel time, and mechanic's expenses �
� shall apply toward the maximum repair cost, as
appropriate. When it is necessary, or to the mutual
J� advantage of the Vendor and the County, to transport �'
I the equipment to the Vendor's shop for repair or �
j maintenance, all costs of transportation, including
� ' labor, transport, and incidental expenses connected '
with such transport incurred by the County shall
� apply toward the maximum repair cost.

c. Repairs may be made in service shops other than
those of the VENDOR or County: however, the VfiNDOR
� aad COUNTY must agree to repairs made in other
� service facilities within twenty—four hours of
' notification by the COUNTY to VENDOR, and the ti-
service facility chosen must be agreeable to both
parties. The V&NDOR will be notiYied of the cost �+ ��. .i!
of repairs made in service shops other than its own

within five (5) days after completion of such �. +a�
repairs. Transportation costs shall apply to the ��

cost information. The forms and means utilized by

a. The equipment will be operated by Pitkin County personnel ���:,
. in grading, ditching and snow plowing operations and -.�
other purposes for which the equipment was designed. �

b. The County assumes responsibility for costs of repairs
due to fire, theft, accident, vandalism, acts of nature, _
and neglect or abuse directly caused by County personnel. �
c. The County will assume at its expense all costs of fuel, �
tires, belts, lubricants and the applicatioa thereof . •,:
I (subject to the total cost guarantees and provisions ;
specified above), antifreeze, cutting edges, batteries, �
� lights, glass breakage, cleaning, and repainting, and
other items norma2ly consumed in day-to-day operaEioas.
( d. The County will maintain the equipment , at a minimum,
� in accordance with the Manufacturer's recommendations;
! provided, however, the County reserves the right to use
I the same fuels, lubricants and oil sample analysis that
it uses in other similar equipment. The County shall
� maintain a record of all maiatenance performed. The
' Vendor shall have the right to inspect the equipment at
any reasonable, and mutually convenient time and make
recommendations for �epairs, improved maintenance etc. y,� '�. �. _

GUARANTSED MINIMUM BZD: i� �

GUARANTESD MACHINB AVAILABILITY ��
When repaired by the Vendor, the Vendor will provide all repairs
and return the machine to safe operation within 48 hours of
delivery of the machine to the Vendor's nearest service facility
! or first arrival of the Vendor's service technician at the Couaty's �
repair facility, in the event that field service is requested. The �.
48 hour clock starts on delivery of the machine or first arrival
of the field technician during normal business hours (7:30 am -
5:00 pm, Monday through Friday, excluding holidays) or the start
of the next narmal working day. The roachine availability '
guarantees will only be exercised for emergency repairs which cause
the machine to be shut down or if machine is deemed to be unsafe
to operate. Should a repair not be performed in 48 hours, the
Vendor shall pay $100.00 for each full 24 hour period the machine
is not operational beyond the guaranteed 48 hours, or provide a
� comparable machine free of charge to the County. The use of ,�...
exchange components to meet a 48 hour commitment may be used at the

F. Remedies. The Vendor shall have the right of appeal from any � ".

official or employee, other than the Board of County Commissioners
- acting as a hody at a Board meeting, has authority to enter into
� a Agreement or to modify the terms of this Agreement on behalf of ;

; must be in writing and be executed by the parties hereto.

� Article 16. RECORDS. The Vendor shall maintain comprehensive,
complete and accurate books, records, and documents concerning its
� performance relaEing to this Project for e period of three (3)
� years after final payment on the Project and the County shall have
the right within the three-year period to inspect and audit these
books, records and documents, upon demand, in a reasonable manner
I and at reasonable times, for the purpose of determining, by
� accepted accounting and auditing standards, compliance with all
provisions of the Agreement and applicable law.
