4. The Contractor will, on or after the date of this contract, employ �
' only those individuals who meet the minimum qualifications as set forth by the

_ I,� Consumec Protection Division in the Reqairements for County Sanitatians which

_ � there is any reason to question whether or not an applicant may meet these �
' i minimum qualifications (for educatiqn or experience), it is necessary to

State, at any time, for such payments shall be limited to the unencumbered
amount remainin9 of such funds. �

1. The parties of this contract intead that the re2ationship betHeen them contempl.ated
hy this contract is that of employer-independent contractor. No agent, employee or �
servant of Contractor shall be or shall be.deemed to be an employee, agent or servaat oi
- / Health. Contractor will be solely and entirely responsible for its acts and the acts of
�ts ageats, employees, aervancs and subcontractors during the performance of this
coatract.

3. Contractor authorizes Health to perform audits and to make inspections for the

� given, this agreemeat shall cerminate on the espiration of the thirty days, and th_
liabiliiy of the pazties hereunder for the furcher performance of the terms of this '
agreement shall thereupon cease, but the parties shall not be relteved of the dutv to � ''

1 Badget Circular A-128. If Contractar is required to submit an annual indirect cos�
i:� proposal to Health for review and approval, Contractor's auditor v311 audit the proposal _
in accordaace with the requirements of OMB Circular A-87. Contractor agrees to furnisa
