1. Grant of Easement. Grantor hereby grants to o'''
Gcantee, a perpetual, nonexclusive easement and right-of-way n W

� the centerline as the same is shown on the Plat, for the purposes '

�j ' and uses set forth below, subject to the terms and conditions set c�c�
forth in this Agreement ("Easement"). Grantor reserves the N •
riqht, once the Nordic Tcail has been constructed by Grantee, to a
, �. amend this Easement Agreement for the purpose oF more accurately � ,
�5,� describing the final location and configuration of the trail, by
�'�4' zecording a duly executed instrument for that purpose.
Thereafter the Easement shall be reduced to ten (10) feet in {�-
width, being five (5) feet on either side of the center line as

2. Use. The Easement and right-of-way granted by this ,, �
� Easement Agreement shall be used solely and exclusively for cross
� country skiing during the Winter months. The fore9oinq limited ; �

; construction and placement of informational trail signs and �

3. Maintenance of the Easement. Grantee shall, at all �' �j � .,
times, cause the Easement to be maintained in a safe condition. a a � '
Grantee, at its own cost and expense, shall install such gates, < -o '';=;' �
bridges or other improvements which are necessary for the use and �'� � �
� maintenance of the Easement, and for the passage of track-setting N A T
-, ''i equipment in the Winter. All fences and gates moved or removed �.'�o '•' '�- .
by Grantee for use of the Easement shall be reinstalled in the "'O
,f ;L Spring by the Grantee to their prior condition and location. ��
-' '' Grantee shall first obtain Grantor's written permission prior to �P
. �� constructing such improvements. Grantee shall communicate with �n '�;
Grantor on a regular basis, and will keep the undersigned rt�

- ` 4. No Easement Eor Access or for Use of Other �w �
' Propertv. Use of the Easement shall, at all times, be available � �
� to any person utilizing cross country or touring skis, and r•''
� gaining access through authorized access points or trailheads J r,�
� established and maintained by Grantee. Nothing herein shall be oF�
! construed to grant an Easement across other property of Grantor, � o� �
� or its successors and assigns, located in the subdivision �p
{ described in the Plat in order for individuals to gain access to o�
� the Easement or for any other purpose whatsoever. Grantee shall o ci '
� provide and maintain access and trailhead points in order to N
minimize opportunities for entering or leaving the Easement. a
Grantee shall post signs notifying skiers that private property �
:� is being crossed and to stay on the trail.
� 5. Hold Harmless and Insurance. The parties expressly
acknowledge that Grantor is entitled to the benefits, �
' protections, and limitations on liability afforded by Colorado -
� law, including C.R.S. § 33-41-101, et seq• ,

futther agrees to add Grantor as a coinsured on its comprehensive �
� general liability insurance policy, which insurance shall be
maintained by the Grantee to provide protection against liability
from claims arising out of the use of the easement. Such ;:.�s -

have sixty (60) days from the date of receipt of notice to " m

Easement may be terminated by the mutual agreement of the ,A p

� 7. Relocation. Grantor reserves the right to �
t relocate, at Grantor's cost, the Easement to another location on
� or off of the property of Grantor, provided such reconfiguration
� is reasonably acceptable to Grantee. in the event of relocation,

Agreement and record the same in the real property records of
� Pitkin County.

8. Assignment. Grantee shall be entitled to assign �

j similar governmental or quasi-governmental entity, with Grantor's
