- WHEREAS, Avis is aware of a lawsuit for damages Piled
against the County by Hertz Rent-A-Car, identified as Pitkin �

_ County District Court Case No. 84-CV-77; and

',� WHEREAS, Avis has asserted certain claims against the
�'� County for damages arising out of the 1979 Agreement including,

without limitation, damages arising from alleged breaches of the
t; paragraph 30. of the Agreement, the "most favored nation" clause;

this Agreement, the prevailing party shall be entitled to reim-

THIS LICENSE AND USE AGREEMENT made as of the date last �
below signed, is by and between the BOARD OF COIINTY CONIIKISSIONERS
OF PITKIN COUNTY, COLORADO, ("County^), a Colorado home-rule ^

of the Aspen/Pitkin County Airport (Sardy Field), located in Pitkin .

.�� i facilities, an air-carrier terminal and facilities, a general
aviation terminal and facilities, certain areas for public use,
! certain areas for exclusive and non-exclusive commercial use "
i subject to permit and certain reserved areas; and �

' WHEREAS, the County has the authority to operate and
? manage the Airport, to regulate commercial activities at the
Airport and to lease and license space thereon, pursuant to, inter
alia, C.R.S. Sections 30-11-107, 30-15-401, 30-35-201/202, 41-4-
101 et sea•, as amended, Title IV of the Pitkin County Code, as �
� amended and Section 8.7 of the Pitkin County Home Rule Charter; and
; WHEREAS, Licensee is engaged in the business of a
� commercial rental car operator in which service and business it
desires to occupy and use some of the said Location and faci2ities
' of the Airport for commercial purposes; and
WHEREAS, the parties hereto are also parties to that
certain Lease and Use Agreement dated November 1, 1979, which has
� terminated (except for any continuing unreleased payment and audit -
obligations thereunder) and is superseded hereby;

3. Fees and Charaes.
, 3.1 The fees and charges for the occupancy and use

3.1.1 The fees for the use of the Air-Carrier
Terminal Booth and Counter space (presently 102 square feet) shall
be based on an annual fee of $28.75 per square foot and shall be k
payable on a current basis in equal monthly installments, subject
to increases as provided in paragraph 3.4.
3.1.2 The fees for paved ready lot space
(including actual parking spaces and a pro ata share of entrance,
exit and circulation space) shall be based on an annual £ee of
$0.50 per square foot and shall be payable on a cunent basis in
equal monthly installments, subject to increases as provided in
: paragraph 3.4.. (See Exhibit ��C,° which is attached hereto and
incorporated herein by this reference).
� 3.1.3 The fees for unpaved storage lot space

one-ton or less. Licensee shall not park, store on or lease from
the Airport location any vehicles except motor vehicles as defined
herein that it owns or leases and are properly available for rental
as provided herein; except for bona fide employee vehicles parked
in the employee lot. �
3.3.2 As used herein, a rental car "location" is
a place: where motor vehicles owned or leased by Licensee for
commercial rental are delivered, parked, stored, fueled, washed or
maintained by Licensee or its employees; or, where Licensee's �"' ,f ✓

� involved. Any gross revenues or gross receipts included in the

; determined by Licensee at a later date to be uncollectible shall �
� not offset future percentage fees owed the County. If the initial
rental car contract entered into between Licensee and a rental car
' customer is subsequently amended, solely because the customer's �
actual time and mileage usage of the rental car vehicle differs b
� from the usage contemplated by the original contract, and the
� charges to be paid by the customer are therefore different from the
charges contemplated by the original contract, the percentage of
' gross revenues that the County is entitled as fees hereunder shall �
be based upon the gross revenues that the Licensee actually is
a entitled to receive, under the amended rental car contract with its
customer.
V 3.3.5 Gross revenues or gross receipts shall
not include: (1) federal, state or municipal sales taxes separately �,.
� stated and collected from customers; (2} amounts Licensee receives,

. 3.5 If, durinq the term of this Agreement, addi- �

permitted by Pitkin County for occupancy and use by Licensee,
Licensee and County shall enter into good faith negotiations for �
the commercially reasonable fees or charges to be paid by Licensee
prior to such additional use and occupancy. �

4. Pavments/Securitv.
. 4.1 The monthly installments of fees as provided
for in Section 3.1.1. to 3.1.4., inclusive, herein shall be due and �
payable on a current basis on the twentieth (20th) day of each _
calendar month during the license term. The monthly payments of
minimum guarantee amounts or percentage fees as provided for in
Section 3.2 herein shall be due and payable in arrears on the
twentieth (20th) day of each calendar month during the license term
(and for the first month after the expiration of the term) for the
gross revenues or gross receipts accrued in the next preceding
month. If the 20th day of the month is a Saturday, Sunday or �� .��, .!

. required as a condition precedent to the expenditure of Federal
funds for the development, maintenance or operation of the Airport -

the United States Government, the provisions oE this License shall
ibe suspended and/or automaCically modified insofar as such provi-
; sions are inconsistent with the provisions of the agreement with

modify, relocate or remove any improvements or other structures
' situated on the Location, the Licensee agrees to modify, relocate
or remove any such improvements or structures as directed by County
and County shall reimburse Licensee for the reasonab2e cost and �
expense thereof.
5.6 County reserves the right to direct, in its
sole discretion, all activities of the Licensee at the Airport in
the event of an emergency.
5.7 County reserves the right to grant leases,
Zicenses, uses, permits or rights to other parties to occupy or � �`,,. f
operate on the Airport so 3ong as such other grants do not �
unreasonably� interfere with Licensee�s operations. The County ; ,�
acknowledges that Licensee's ofEer to operate this concession was `

compensation to Licensee, to discontinue the operation of and

5.12 County reserves the right to prohibit any
commercial or non-commercial activity by any party on the Airport, .
which activity is not expressly permitted in writing.

standards for the conduct of commercial activities related hereto '
including, without limitation, minimum hours of operation if the -
County determines that the needs of the traveling public are not

all subject to fees and charges in common with other users of that

isafety equipment for mountainous, snow ski season operation
� including, during winter season, mud and snow tires rated "M/S" and
` accepted by the Colorado State Patrol under the then-existing
� "chain law" for mountain passes. �

12.2 Licensee shall conduct, direct and supervise
; in a prompt, safe and efficient manner all of its traffic on the
Location, including employee and customer motor vehicle traffic and
- pedestrian traffic, in connection with its operations. �
� 12.3 Licensee's employees shall be safety- _ ,
conscious, environmentally-sensitive, helpful and courteous at all
times, cansistent with acceptable customer relations practices at
first-class U.S. destination resorts.
� 12.4 A number of motor vehicles in Licensee's
� Colorado fleet shall be licensed and registered in Pitkin County

� ` Licensee acknowledges that the intent and �
effect of this section is to prohibit Licensee from conducting any
rental car business within Pitkin County and the Town of Basalt,
except reportable business from the A3rport as expressly permitted �
' herein. If Licensee proposes to transact business or establish a
location prohibited by this Section, it shall first apply to the
Airport Manager with a full description of the proposed trans-
action(s) and/or location(s). Trie Airport Manager shall then

determine, in his reasonable discretion, whether the proposed �
transaction(s) or location(s) is intended to divert business from
' the Airport location, whether the proposal is otherwise in compli-
ance with this Agreement and to what extent the proposal will
, impact the Airport location. If the proposal is in compliance with
this Agreement (by not beinq, by way of example and without limita-
tion, a diversion of business from the Airport), the Airport
, Manager shall consent in writing to the proposal and establish such
reasonable terms, conditions and fees as are commensurate with the

; 13.4 Licensee shall not knowingly or willfully

14.1.2 Licensee shall file promptly after the
end of every month a monthly report identifying all motor vehicles �a
(by vehicle make, model and license number), stored on, available -
for rental or rented on or through the Airport Location for that
month.
14.i.3 At the beginning of this License term �'�r
and promptly updated as often as such forms are changed by Licen-
see, a sample copy of all Licensee's rental contract form(s) then
in use.
14.1.4 Annually, within thirty (30j days �
after the end of every operations year, at the expiration of the .
License term and upon assignment�of Licensee�s rights hereunder,
Licensee shall file a statement of revenues and gross receipts
reportable, includable and excludable under this Agreement, which �
report shall be prepared, signed and certified as correct by an
independent Colorado-licensed C.P.A. (or a licensed C.P.A. in a
national firm acceptable to the County).
14.2 Licensee shall maintain full and accurate
_ books of account and records from which "gross revenue" and "gross ,,'-
receipts,�� as defined herein, the amount and nature of all business

14.4 The County, annually and at the end o£ the �
te�n herein, unless expressly waived by the County, shall conduct

shall be conducted upon reasonable notice to Licensee and during .

(30) days' notice by County reimburse the County for the cost of
� the audit not to exceed Fifteen Hundred Dollars ($1,500.00). If
the audit discloses overpayment of the percentage compensation paid �
to the County by Licensee, the County shall refund the amount of
overpayment to Licensee within thirty (30) days of said audit. �
The County shall hold all information obtained � �>
from any such audit in confidence, except as may be necessary to
enforce the County's rights under this Agreement, except with
respect to tax proceedings, and except with respect to any legal
requirements or Court Order to disclose said information. �

15.1 It is the policy of the Pitkin County Board
of Coaunissioners (BOCC) that chloroflourocarbons (CFCsj will be '"/`
banned in on-Airport rental cars from and after June 30, 1992. �l.;'`r:..:.
y Pitkin County's stated goal is to plan for and continually reduce i,.l�?;�.:= ;
( environmental degradation caused by the rental car operation in +"' , i
�� areas including, without limitation, pollution by Co, CO2, CFCS, ".'i:.?�
' particulates, other internal combustion engine emissions, traffic
_ �'- congestion, gasoline consumption and fillage fumes, and car wash
waste water. It is the express intention of the BOCC that all ;: �� •
=�.:q County lessees, licensees and permittees (LLPs), including �'`-

., s p y rport rental car operators, strictly comply with
aZl environmental rules and regulations and be sensitive to all f i
present and future environmental issues. The County qives notice .
i that environmental compliance and sensitivity to environmental
issues are and will be substantial factors in future performance �

� 15.2 Until June 30, 1992, Licensee shall dili-
. i gently accomplish and/or comply with an Airport Environmental

15.3.1 County shall initially fund prelimi-
nary planning, programming, budgeting and design of the facility
and drafting of a Aevelopment Agreement therefor. This preliminary �
design and Development Agreement, if•approved by three (3) of the .
five (5) then on-site operators (including the appzovals of Avis,
Hertz and National), shall be submitted to the BOCC for preliminary
consideration. If both then are preliminarily approved by the
BOCC, each on-site Licensee with a term beginning on November 1, �
1989, upon written demand by County, shall be required to promptly
contribute $30,000.00 to a capital planning and construction fund,
which fund first snall reimburse the County-for its preliminary �
expenses at cost. Interest on such fund, if any, shall acerue to
the benePit of the fund and the future development of the Service �
Facility.

further devel�pment of the project. All other construction-related
costs of the project are to be reimbursed to the County on a cost
- basis, or guaranteed by the Licensees, with all costs to be ` i
amortized and the facility depreciated over a period determined in �",

counter space, ready lot and storage lot spaces for use of Licen-

17.1.2 Licensee agrees to relocate operatioas �E
from Y,he Location to the new or substituted facilities and to
thereafter conduct its operations therefzom. The new or substi-
tuted facilities shall be comparable to the previous facilities or
better in terms of size, location and finish, alI in the reasonable .
discretion of the County.
17.1.3 Upon such relocation, County shall
have the right to demolish or use the existing Air-Carrier terminal
buildinq or other buildings• or facilities locate3 on t2ie Location
as it sees fit.

shall be equitably adjusted to reflect the substitution of space

17.2.3 County shall schedule the preparation
� of such substituted area and shall effect such substitution and
� relocation of the Licensee's operations in such manner as shall 9i1
, not result in the unreasonable interruption of the conduct of `�
Licensee's operations.
18. Utilities. County shall, at no additional cost to
. Licensee, provide common heat, water, trash removal from areas open �
, to the public, lighting and ventilation in connection with the .
Licensee's booth and counter in the Air-Carrier Terrainal. All
r other utility services and charges, including telephones, shall be
j provided by Licensee at its own cost. Licensee shall permit no
;� liens or claims against the Location arising from unpaid or
disputed utility bills and hereby does indemnify the County from
- costs or liabilities arising therefrom. If, during this License

electric service and such increase requires a capital contribution

20.1 County shall, at County's own expense, and ' _

utilized for the passage, parking and storage of motor vehicles in
the same manner, sequence and extent as County performs snow
removal on portions o£ the Aizport in general; provided, that
County shall not be required to move or relocate parked vehicles �
to accomplish such snow remaval. �
20.2 Licensee shail, at the direction of the
County, move or relocate its vehicles to assist County in County's ,
snow removal obligations set forth above. Licensee shall further, �
� at Licensee's own expense, effect the snow removal in all other _
portions of the Location, including the removal of snow under and
about the parked vehiales, the buildinqs, the walkways, and the . _
other portions of the Location which cannot readily be serviced by -
' the County's then-existing general snow removal equipment.

23. Destruction of Huildings and Other Imvrovements.
If the buildings and other improvement located upon the Location
shall be rendered untenantable by fire or other casualty, County �

obligation, if any, to provide fire and casualty insurance for the
Location, as provided below), restore and repair the same to
tenantable condition as speedily as possible and the rent shall be ..
abated, in whole or in part, during the period of such restoration
! and repair according to the portion of the buildings or other
improvements so rendered untenantable; except that there shall be
no abatement of rent if such fire or uther casuaity shall be caused I .
by the intentional acts or negligent acts or omissions of Licensee,
its agents, employees, invitees or licensees. Notwithstanding the
foregoing, County shall not be obligated to expend in the
restoration and repair of any buildings or other improvements so

24. Indemnity and Insurance, ,
2A.1 The Licensee, (inciuding, by definition here

disaharge, indemnify and hold harmless the County of Pitkin and �"^

against liability for any claim, demand, loss, daraages, penalty,

fees) or compensation in any form or kind whatsoever for any bodily

or in aonnection with any intentional act or negligent act, error -

the Licensee shall secure and maintain for the term of its contrac-

for bodily injuries, death, personal injury or property damage,

coverage insurance and boiler insurance covering the buildings on

of this License and shall furnish Licensee, at Licensee's request,
with a copy of a certificate evidencing the issuance thereof.

acts of God, acts of public enemy, substantial non-temporary flight
restrictions, e�ctraordinarily unforeseeable weather conditions,
riots, rebellion, sabotage or any other circumstances which are not
within its control and were not reasonably foreseeable. •
