receipt and suHiciency of which is hereby acknowledged,THE COUNTY OF PITKIN,COLORADO,as the '

HOLY CROSS ELECTRIC ASSOCIATION,INC.(hereinafter referred to as the•Licensee•),a construc[fon
license to use arry portions of Licensor's real property described in Exhibft A attached hereto and incorporated
herein by this reference,which lies within frfry(50)teet of eRher side of the ceMe�line of the proposed AirpoR .

Said ConsVuction License is tor the purpose of permitting Licensee to utilize the Licensed Area for the
surveying,placemem and construction of the Airport Underground Electric Line,including temporary ;�•';?%:�.-. ,
excavation placement,removal of woody plants,grubbing and clearing of the properry,excavation of the land, !�?`:?:���`
placemeM of conduft lines and wiring,placement of above ground facilities as shown on Exhibd B,fill and '::i '.�, .., :•
compaction of the trench,revegetation of the work,and arry other activfties deemed required ro successfuly
comptete the project. No structures other than those herei�aba+e provided for shaA be erected,construcied f
or placed upon the Licensed Area by the Licensee. ',�.�...'.,

Fdlowing completion of the surveying of the Airport Underground Electric Line and immediately following a � �,.; : ;
determination by Licensee or its employees of the work to be pertormed upon UcensoPs property wfth(n the �;��`'

� for approval and Licensor shall have fifteen(15)days in which to approve or disapprove the proposed work. t�t' .

This Construction License shali terminate upon the earlier to occur of one(1)year after the date of ihe full t .4
execution of this Construction License,or completion of the foregoing construction work related to the AirpoR
Underground Elecuic Une and conveyance to licensee of an easement. �=,�
. Ucensee shalt be responsible for,and shaN at ft's expense promptly replace,repair,and restore io Licensor's 7
_ satisfacdon any landscaping,fences,ditches,woody plants,or other improvements which may be damaged or �
destroyed as a resuk of its use of this license or its exercise d the rights herein provided.
Upon completion of the Airport Underground Eledric Line projecc,providing Licensee has complied fully wdh
the provisiorts of this Construction Llcense,Licensor shall convey to the Licensee by easement those portiorts
of the Licensed Area upon which the Airport Undergrou�d Electric Line has been constructed and an �E
addftfonal width deemed necessary for tuture maintenance and upkeep of said power line,not to exceed
twe�ry(20)feet in total width. In no event,however,shall Licensor be required to corney,or make the
Licensee take,arry portion of the Licensor's property in excess of what is deemed necessary to faciGtate the
future maintenance of the Airport Underground Electric Une. Easement for the Airport Underground Electric
line wUl be�onveyed using Licensee's standard underg�ound easemerd fortn,a copy of which is attached as
ExhibR C.
The Licensee hereby indemnifies and releases the Licensot from arry liabitiry for property damage on or
around the License Area as a resuR of the construaion activi[ies retated to the Airport Underground Electric
. Line,or personal injury to its property or,members of the genwal public associated wtth the granting of this
Consiruction Lkense except ihat which inight be pused by gross negligence-of ihe Licensor. Licensee
agrees to purchase,maintain and authorize su�cient liability insurance,funding thls indemnity to ttie
satisfaction of the Licensor. Ucensor shall review satd fiability insurance and confirm the amount ot this ~ " '�
insurance Cefore work on the Airport Underground Electric Line can commence wRhin the License Area. �.
The Licensee agrees to respect the rights of easemem hoiders,'rf arry across the License Area,and agrees to � �
meet with and resolve any conflia of easement use prior to initiating work on the Airport Underground Electric :a �.
