in Exhibit ^A" attached hereto and incorporated herein..by this ' � ,
rePerence, which lies within fifty (50) feet of either side of � '
the centerline of the proposed Hallam Lake water line. The
property burdened by�the�•Construction License shall hereafter be �.��°
referred to as the °License Area". '��•

Said Construction License is for the purpose of permitting � ���` ` '
Licensee to utilize the �icensed Area for the surveying, � �'�:.�
placement and construction of the Hallam Lake water line, , �
including temporary excavation placement, removal of woody y�a � •
lants g q p p y, excavation of the �"�� .
: a.,, p , grubbin and clearin of the ro ert t ,�
, land, placement •of the water line, fill and compaction of the
water line trench, revegetation of the work, and any other , �,�
activities deemed requixed to successfully complete the project.
No structures other than those hereinabove provided for 5ha11 be
erected, constructed or placed upon the Licensed Area by the - �
c� » Licensee.
Following completion oP the surveying of the Hallam Lalce
water line and immediately following a determination by Licensee
or its employees of the work to be performed upon Licensor's �
property within the License Area� Licensee shall present its
plans for the proposed work involving the Licensed Area to
Licensor for approval and Licensor shall have £ifteen (15} days `
in which to approve or disapprove the proposed work. ,
This Construction License shall terminate upon the earlier
to occur of one (1) year after the date of the full execution of
� this Construction License, or completion of the Poregoing
construction work related to the Hallam Lake water line.
Licensee shall be r#�ponsible for, and shall at it's expense -
promptly replace, repair, and restore to Licensor's satisfaction
any landscaping, fences, ditches, woody plants, or other �' �t, �
improvements which may be damaged or destroyed as.a result of its '�,
use of this license or its exerciae o£ the rights herein .. '�

providing Licensee has complied fully with the provisions of this
Construction License, Licensor shall convey to the Licensee by

no event, however, shall Licensor be zeguired to convey, or �ake . -

maintenaace of the Hallam Lake water line. .
The Licensee hereby indemni;�ies and releases the Licensor r.:,f::`- .
from an liabilit for ro ert dama e on or around the License 'E' �
Area as a result yof the construction activities related to the � •
Hallam Lake�>'iaater line, or personal injury to its property or ,��_ .
members of the general public assxiated with the granting of ' ��.r:'?'F'
th'is Construction License excepC that which might be caused by
gross negligence of the Licensor. Licensee agrees to purchase, � � ��-.
1 maintain and authorize sufficient liability insurance, funding €
this indemnity to the satisfaction of the Licensor. Licensor 'j'-...
shall review said liability insurance and confirm the amount of A.,.... ;
� this insurance before work on the Aallam Lake water line can � �

_ '� The I,icensee agrees to respect the rights of easements � '
� holders across the License Area, and aqrees to maet with and � � •

i THIS AGREEMENT shall be binding upon and inure to the
� benefit of the parties hereto and their successors and assigns.
� In the event of litigation hereunder the prevailing party shall ��
! be entitled to collect its reasonable attorney's fees and costs.
;.i � Nothing herein contained shall be deemed to restrict Licensor in
� the use o� ownership of the License Area herein granted, .except
as any use may be inconsistent with the rights granted hereundez. ;
This License may be amended or modified only by a writing �
+ executed by the parties hereto, 'r successors or assigns.

THIS GRANT OF EASEMENT is made and entered into by the '£�•:

Main Street, Aspen, Colorado ("Grantor"), and the City of Aspen, � + " >

WHEREAS, Grantor is the owner of a certain parcel of land
located wxthin the City of Aspen, Colorado, described in Book 180 f
at Page 145 in the records of Pitkin County, Colorado, and ,!

WHEREAS, Grantee desires to obtain a perpetual easement '�' �
over, under and across Grantor's parcel for the construction, '�� _

pipeline along and across the Easement Premises situatad on
Grantor's parcel as described above, and more particularly

A strip fifteen (15) feet in width over, under and across �
the Grantor's parcel centered on and extending seven (7)
feet and six (6) inches to either side of the following
described centerline, in such a manner that at all angle
points along the centerline, and at the point of beginning '
to the point of terminus, the exterior boundary lines of the
strip shall lengthen or shorten as necessary to form a
continuous strip exactly fifteen feet in width: Commencing +
at the West quarter corner of Section 7, Township 10 South,
Range 84 West of the 6th Principal Meridian, Pitkin County,

Grantee shall have all other riqhts and benefits neceseary S. :

.f�� Grantee's pipelina and all associated facilities shall be f., � "
constructed, installed, maintained, and operated in a safe and -+�`
� worlonanlike manner and in such a way as to avoid damage to or
destruction of Grantor's property, includinq trees, shrubs and p
other vegetation. Any damage to Grantor's property or to the
' surface, trees, shrubs or other vegetation caused by the instal-
� lation, repair, removal or maintenance of the pipelina or atten- • �
dant facilities shall be repaired, restored or replaced by Gran- �
tee to the satisfaction of Graator.
� Grantea's pipeline shall be buried and installed in such a ;
� fashion so as not to intergere with any current use of the �
surface of the Easement Premises.
Grantee hereby agraes to indemnify and hold the Grantor
harmless from and against any los�, damaga or any liability which .
may result from the Grantee's negligent installation, excavation,
construction, maintenance, repair, replacement, use or location
of the pipeline and/or attendant facilities, including attorney�s
fees, as subsequently determined by a court of competent juris-
diction. Nothing herein shall canstitute a waiver of Grantee's
rights as provided in Section 24=10-106(4), C.R.S. (1988 Repl. ;
Vol l0A).
� Grantor warrants and agrees to defend the title to the c���

Grantee will in no �ray h3nder or prevent the proper and �
reasonable use and enjoyment of the property through which this � �. :�
