- WHEREAS, Pitkin County owns and operates the Pitkin -;
County Airport, also known as Sardy Field (hereinafter the �

Airport ) for the benefit of the flying public as served by both
scheduled Air Carriers and General Aviation; and �
WHEREAS, the County sought assistance from the
Federal Aviation Administration (FAA) in the development of a �
radar system to increase safety and bad-weather capacity affect-
ing air operations at the Airport and that assistance has result- .
ed in the development of an Air Tra£fic Control Radar Beacon �
System (ATCRBS) ; and
WAEREAS, the County has acquired and set aside
certain real property and has constructed certain improvements � ;�� �.
and Facilities, all for use in the ATCRBS; and �
�
WHEREAS, the FAA, which will actually operate the

radar system, desires to purchase, lease or hold such real '.'�1 ;

deemed exercised and the lease renewed each year for one (1) year
� unless the Government gives the Lessor thirty (30) days written
notice that it will not exercise its option before this lease or

5. I.EASE ASSIGNMENT.
This Lease may be assigned, at the option of the Govern-
ment, to any Federal, State, or County Governmental body, commis-
sion, or entity, or private party for the purposes of Airport
Traffic Control.

( The Government represents that it is self-insured for all '�

casualty coverages. The Government hereby indemnifies the County
� from all claims, charges and liability (including the legal
:� defense thereof) arising from the Government's occupancy and use
.� of the Premises; provided, that this indemnity shall not be
construed to cover the negligence of the County, its employees or

land on which the building is situated is subject to a ground �
� lease between the parties dated March 13 , 1990.

b. That title to the Building and improvements to
be sold shall be transferred by Bill of Sale or Quitclaim Deed,
' at the option of the United States, but that the sale document
� shall not be construed to convey any interest in the real estate
' except those interests qranted by the underlying ground lease.
3. The Government acknowledges that the Suilding and
improvements to be sold were constructed in accordance with its +
:� specifications and requirements, that it has been in operating
' possession of the same since at least October l, 1989, and that w � .
.; upon payment therefor it accepts the Building and improvements �
�i without objections or reservations.
4. All warranties and guarantees for buildings, � �
improvements, equipment, and systems held by the County in

2. RENEWAL.
Upon expiration of the initial term, this lease may, at the -

� The Government may terminate this lease, in whole or in �
� part, at any time by giving at least ninety (90) days notice in
writing to the Lessor. Said notice shall be sent by certified or
� registered mail.

The Government shall surrender possession of the premises
upon the date of expiration or termination of this lease. If the
Lessor by written notice at least sixty (60) days before the date
of expiration or termination requests restoration of the pre- �.
mises, the Government at its option shall within ninety (90) days
after such expiration or termination, or within such additional
time as may be mutually agreed upon, either: '

(a) Restore the premises to as good condition as that
existing at the time of the Government's initial entry upon the
premises under this lease or any preceding lease (changes to the ��

8. INTERFERENCE WITH GOVERNMENT OPERAT=ONS. '
The Lessor agrees not to erect or allow to be erected any
structure or obstruction of whatsoever kind or nature or to
install or allow to be installed any electronic equipment on the ;`;`:;;g;r:;..
site or adjacent land owned by the Lessor that may interfere with F•;;;:;;=��-'�

the proper operation of the facilities installed by the Govern- ,; _;
ment under the terms of this lease without obtaining prior '�}

Lessor and Lessor agrees to provide snow clearing of the parking
area and access roads thereto at no cost to the Government.

The Government represents that it is self-insured for all types
of liabilities or losses covered by customary commercial insur-
� ance in connection with the occupancy and use of the Premises �
i including, without limitation, general liability, building �
casualty and contents coverages. The Government hereby indem-
i nifies the County from all claims, charqes and liability (includ-
ing the legal defense thereof) arising from the Government's
� occupancy and use of the Premises; provided, that this indemnity
� shall not be construed to cover the negligence of the County, its
employees or representations.
11. FUNDING RESPONSIBILTTY FOR GOVERNMENT FACILITIES.
The Lessor agrees that any relocation, replacement, or modifica- ,'-.
tion of any existing or future Government facility(ies) located
� on the leased premises during its term or any renewal thereof ,�. .f •
-� made necessary by airport improvements or changes which in the £�

� Government's opinion interfere with the technical and/or opera-
