A present controversy exists regarding public access to • U.S. Forest Service lands over roadways and/or trails known as the North Hunter Creek Trail and the South Hunter Creek Trail. 2. While the County claims ownership of a trail along the alignment known as the South Hunter Creek Trail, the County�s ,.:� interest has been contested by property owners whose lands are � . � traversed by the trail, and the matter has been, and is, in ; litigation. 3. In order to resolve the dispute regarding public access ?n� to the South Hunter Creek Trail, Frederic A. Benedict and � Fabienne Benedict ("Benedicts") , Thomas D. McCloskey, Jr. and � Bonnie P. McCloskey ("McCloskeys"), and Gerald D. Hosier , ("Hosier"), all of whom are hereinafter collectively referred to � as the Grantors, have offered to grant to the Board of County Commissioners of Pitkin County, Colorado, a perpetual trail easement over the South Hunter Creek Trail, as mcre particularly described in Exhibit B to the Trail Easement Aqreement, attached . . hereto. .s,; _ 4. It is in the public interest to accept the trail � ! easement for the South Hunter Creek Trail. ' 5. Acceptance by the Board of the South Hunter Creek Trail Easement is without prejudice to the County's claim of title to - �":"''.; the Hunter Creek Road or Roads. -;;�� 6. Grantor hereby acceots the Trail Easement as is, subject to a11 patent or latent defects or problems of any kind or nature, and hereby - acknowledges that the wes�erly end of the South Hunter Creek , " Trail (as described on Ezhibit &j may 1ie outside the Subject Parcels. .ix . 2, Trail IIse Restrietions. The Trail Easement shall be � . used exclusively for pedestrian, eauestrian, non-motorized bicycling, and cross-country skiing purposes. Users of the Tenth Mountain Trail Association trail and hut systems are soecifically authorized to use the Trail Easement. No motorized vehicles of any kind shall ever be per.nitted on the Trail Easement, and it is '<� expressly understood and agreed that the Benedict Sridge shall ' never be improved so as to accommodate motor vehicular traffic of <'1 any kind. No camping, fires, firearms, or noisy or otherwise ' offensive behavior, and no commercial uses exceot ski touring, ;;� horse packinq or similar non-motorized people-transporting � a ' activities, shall ever be per.nitted on the Traa.l Easement. Finally, the Trail Easement is her�by declared to be part of the � Pitkin County Trail System, and the use of the Trail Easement sha11 also be governed by the rules and regulations and other ' provisions of Title IX of the Pitkin County Land Use Code � entitled "Trails Regulations", as said Title IX may be amended . from time to time, provided always that the provisions of this Trail Easement Agreement shall control wherever they are more restrictive than the provisions oi said Tit1e Z:{. 3. Enforcement. Grantee agre�s to enforce diligently all • usa restrictions set forth herein and all other applicable rules = and regulations as may be contained in T?tle IX of the Land Use Code, and to prosecute violations thereoi. In addition, Grantors . ��`:==:1 or any of them, and their respective successors and assigns in the ownership of the Subject Parcels, shall have the right (but � never the obligation) at any time to prosecute any�action that `�' may be necessary or appropriate to enforce said use restrictions and Title IX rules and regulations by injunction or otherwise. The prevailing par�y in any such private enforaement action shall - be entitled to an award of zeasonable costs and attorney's fees ' incurred in connection there:�ith. 4. Trail Easement Maintenance. Grantee hereby assumes comolete resnonsibility ior and agrees to maintain and repair the Trail Easement (including the Benedict Bridge) in a clean and attractive condition and in a good and safe or6er and repair, at - its sole cost and expense, unless the need therefor is caused ,, hereafter by one of the Grantors, in which case the responsible Grantor shall perfornt the repair. Grantors hereby reserve to themselves, both individually and collectively, and to their ' resnective successors and assigns forever in the ownership ot the „ Subject Parcels, the right at any time and from time to time to cross the TraiZ Easement with access roads and/or with underground utility lines. . • 6. Land IIse ADalication Henefits Preserved. Grantee � hereby expressly warrants and guarantees- to Grantors (and to their respective successors and assigns in the ownership of the Subject Parcels) that in all future land use apolications which may be made fos a Subject Parcel, specifical'_y including without limitation a GMQS sut�mittal (if applicable) and applications for 1041 review, building permit review, or any other form of special review, the owner of that Parcel will receive all credits and other benefits to which such owner would be entitled if the owner - were dedicating the Trai1 Easement at the time and as a part of ''�-;� that land use anplication. 7. Grantee's Obli�ations to Defend, Aold Aarmless_ and Insure. The parties acknowledge that the Grantors are entitled � to the benefits, protections and limitations on liability • afforded by Colorado law, incZuding C.R.S. Sections 33-41-101 through 105. Grantee hereby agrees to defend and hold harmless ` the Grantors or any of them and their resoective successors and assigns in the ownership of the Subject Parcels, to the ful.l extent allowed under Colorado 1aw, from and against any and all - claims, demands, causes of action, losses or liabilities of any - kind or nature (including those relating to death, personal � injury or property damage) arising from or incurred in any way in connection with the use of the Trail Easement (including the - : i Benedict Bridge) by anyone, including me:nbers of the general public, excepting any such claims or losses which may arise directly from the willful and grossly�negligent aczs of Grantors - or any of them and their agents or emoloye_s,'oz other claims as �`-+ described in C.R.S. Section 33-41-104(1) . Grant_e £urther agre�s - to add Grantors (and their resnective successors and assigns in the ownership of the Subject Parcels) as coinsureds on its , c�mprehensive general liability insurance policy, which insurance - . shall be maintained by the Grant�_ to provide protection against liability from claims arising out of the use of the Trail � Easement. Such insurance shall be carried in amounts not less _ than the liability limits snecified in C.R.S. 6 24-10-114(1), as '"� it may be amended from time to time, and shall provide Grantors with thirty (30) days advance written notice prior to cancellation or tar.nination. The parties mutually acknowledge and agree that neither the granting or the acceptance of this Trail Easement Aqreement shall prejudice any claims or defenses any party may have with respect to the claim of title to _ the Hunter Creek Toll Road or Roads. Provided, however, and notwith- - standing the foregoing, by acceptance of this Trail Easement Agreement, Grantee herehy agrees and acknowledges that should Grantee ever finally adjudicate in a Court of proper jurisdiction that Grantee is entitled = . to use of a trail and/or road crossing the property described in Exhibit A hereto on the south side of Hunter Creek by virtue of adverse possession, prescription or ownership of the Hunter Creek Toll Road or Roads on the south side of Hunter Creek, wh'ich trail and/or road is not identical in location to the trail easement as described in Exhibit B hereto, then Grantee shall, within a reasonable period of time after said final adjudication, vacate and abandon either (at the election of Grantee) the trail easement granted hereia or the road and/or trail so `�`;fa:, proven to be owned by Grantee; it being the intention of the parties hereto that Grantee shall have the rights appurtenant to either (but '��=;^,� not both) this Trail Easement Agreement or the road and/or trail, if . any, so proven in Court, on the south side of Hunter Creek as such rights effect the real property described in Exhibit A hereto. . _ 9. Attornev's Fees. In the event the interpretation or enforcement of this Trail Easement Agreement should ever become the .�;:n.,. subject of litigation between the parties hereto or any of them, the � prevailing party shall be entitled to an award of its reasonable costs , , and attorney's fees incurred in connection therewith. 10. Bindinu Effect. This Trail Easement Agreement shall be : � binding upon and shall inure to the benefit of the parties hereto and ° their respective heirs, personal representatives, successors and ' ' assigns forever including all £uture owners of the Subject Parcels. 1 - �� !
