AGREEMENT .
1. Heatherbed Lodge Renovation. The renovation of the Heatherbed T.odge will be ,,.r

cortprised of not more than 201odge rooms on the site of the existing Heatherbed Lodge,which presently ��"•5�,�
,j consists of 22 lodge rooms. Constcuction of the renovated lodge will be generally confined to the existing
i building footprint and in substantial conformance with the azchitectural plans as approved. The rotal floor
� azea of the renovated todge shall not exceed 14,500 square feet of ftoor area as measured by the Pitkin ,�'�

, County Land Use Code and Building Department. The roof for the renovated lodge shall be constructed •

with a non-reflective material. The existing one-bedroom employee unit will be replaced with a two- ��F.:'
bedroom employee unit deed restricted in accordance with the Pitkin County Housing Authority's !

"Category 2" income guidelines in effect at tlie time of the deed restriction. T1ie existing lodge may �,
,. operate as is until such time as the renovation occurs, ��

2, AR-2 Rezonirtg. The Heatherbed property is rezoned to AR-2 a[the time of recocding
� the Final Plat and this Agreement. The vses and development of the property shall be governed by AR-2 �
i'. zoning in acwrdance with the Pitkin County Land Use Code except for the renovation of the Heatherbed �- �

;,i Lodge which shall comply with the limitadons set forth in Pazagraph 1 above and this Agreement.

.,; 3. Sewer Extension. The Heatherbed Lodge currently is not connected to the Highlands ` •

"�� Water&Sanitation District(HWSD)sewer system which services the azea.Instead,Heatherbed utilizes i

� an on-site septic system. Ownership of che sewer lines of the HWSD sewer system was deeded to

; Aspen's Metropolitan Sanitation District(Metro)pursuant to an agreement between HWSD and Metro ! ' -

dated October 8, 1976. Metro has been succeeded by Aspen Consolidated Sanitation District(ACSD).
- At the time of renovation, Heatherbed agrees to install approximate►y 495 feet of four-inch sanitary

19. Project Construction Schedule. Heatherbed and the County mutually acknowledge that il, �. -

20. Financial Assurances. Heatherbed agrees to secure the performance of the construction �

of the improvements as sei forth herein. The estimated cost of the improvements are given in Exhibit -

improvements shall be secured by a letter of credit or cash in a form satisfactory to the County Attorney �
in the sum of$52,700.00. Such security shall be delivered to the County as a condition of and grior to � . '

the issuance af a building permit for construetion of the renovation of the lodge. � '

_ As the improvements are partially completed, rhe County Engineer shali inspect such �,';���-

improvements; and, on approval and acceptance of such improvements by the County, the County

Attorney shall authorize ihe release of the amount of the securiry equal to the cost of that portion of the
improvemenu completed. However,ten percent of the cost of the improvements to be completed shall i..;
be retained until ail improvements provided for aze completed and approved by the County. .
� In the event Aeatherbed fails to perform iu obligadons to construct and compiete the
improvements provided for in this Agreement in accordance with this Agreement and has applied for a

' CeRificate of Occupancy for the renovated todge or Heatherbed has ceased work on the project for a }
period of 60 days after having begun work pursuant to a building permit issued by the County Building �

Departrnent for this project, the County may provide Heat6erbed with written notice ro complete the •
construcNon of the improvements in accordance with this Agreement. Heatherbed shall have 90 days
. after such written notice from the County to com lete'the im covemencs in accocdance with this "•�'; .

Agreement. Heatherbed shall be deemed in default under this Agreement if it fails to complete the �
improvements within such 90-day period. After 30 days'written notice from the County to Heatherbed `i'? ,, ,

security provided bp Heatherbed, tlie County may use the security to complete and pay for the
