± 1) For the basic term of this Agreement, the County will pay �
' Sutton at the rate of $10.00 per hour for those services y •

The County reserves the right to cancel this Agreement for �•`' ,

unsatisfactory performance or lack of services by Sutton by giving �

- � Sutton aqrees to hold harmless, indemnify and defend the

County for all damages to himself and third persons and all real t"+`

1�� This Agreement is not assignable by either party.
� INDSPENDENT CONTRACTOR STATUS '

� It is understood and agreed between the parties that at no �`

\ � time shall Sutton be considered an agent, employee or official of �
;� Pitkin County during the performance of tasks and services
.� described in this Agreement. The relationship created hereby is
.� strictly that of an independent contractor for all purposes. j� ,
� INSURANCE F
. ;,� InsuranGe shall be maintained by the contractor, and the ,�� ri•
�I County may demand proof of that insurance at any time. �� �
