THIS SETTLEMENT AGREEMENT is entered fnto between Eagle Rent- a-Car, Inc. ("Eagle"} and the Board of County Commissionexs of Pitkin County, Colorado (the "County"), (collectively known as "the - Yarties"). WHEREAS, Eagle filed a complaint against the County ',:. • seeking two claims for relief on January 12, 1990. On March 8, • 1990, Eagle filed an Amended Complaint. On 5eptember 14, 1990, Eagle filed a Second Amended Complaint. WAEREAS, the Court granted Eagle's Motion for Summary Judgment as to Eagle's First Claim for Relief of the 5econd Amended Complaint. � WHEREAS, the Parties desire to enter into this Settlement � Agreement to fully resolve the issues contained within Eagle's i original Complaint and Amended Complaints without further expense, ,. inconvenience or litigation. THE PARTIES HEREBY AGREE as follows: 1. Eagle will dismiss with �rejudice its Second Claim against the County, Avis and National. 2. The Parties waive, release, relinquish, dismiss and ' discharge any claims, causes of action, losses, remedies, • a proceedings, contracts, torts, or demands, direct or indirect, _ +± present or future, known or unknown, whether in law or in equity, pertaining to, arising out of, or related to Eagle's Second Claim For Relief against the County as set forth in Eagle's Second T�mended Complaint :5 �,.� 3. Upon execution of this Settlement Agreement by the Caunty, Eagle will pay the County the sum of $1,606.25. The County ::� ackowledges that said payment will be full and final payment for � all amounts owing to the County, including charges and fees, in �i connection with Eagle's rental car ogerations through and including , August 31, 1991. 4. The Parties acknowledge that this Settlement Agreement is „ in full satisfaction of the summary judgment of Eagle�s First Claim for Relief. • + i . 5. The County relinquishes any right it may have to appeal . any further litigation on the summary judgment entered on Eagle�s First Claim for Relief. , l � . � 6. Eagle ` acknowledges that it has no other claims aqainst the County under . its current lease agreement. 7. The Parties acknowledge by the executian of this . Settlement Agreement that they are accepting this Settlement Agreement in lieu of any rights they may otherwise have and any remedies which may be available under any law, statute, rule or F. • requlation, whether in law or in equity, pertaining to, arising out of, or related to Eagle's Claims against the County. � B. Neither Eagle nor the County, by execution of this Settlement Agreement, acknowledge any fault or liability, � pertaining to, arisinq out of, or related to any of Eagle's claims against the County. 9. The Parties warrant and represent that they have not sold, assigned, granted or transferred to any person, firm, '� partnership, corporation or other entity any claim, demand, judgment, right or cause of action encompasses by this Settlement ``�;; Agreement which they may have against the other pertaining to, '� arising out of, or related to Eagle's Second Claim against the ' County, and have not made any agreement or performed any act which would give rise to a claim by any other person, firm, partnership, + corporation or other entity against the other. ��f 10. Eaqle's 1982 Use and Lease Agreement (the "1982 Use and Lease Agreement~) will govern Eagle�s occupancy and use rights of its present commercial car rental space located at Aspen/Pitkin County Airport ("Sardy Field") through June 30, 1992. 11. The Parties will, along with this Settlement Agreement, contemporaneously execute a License and Use Agreement On-Airport Rental Car Operator Eagle Rent-A-Car, Inc.--1992-1995 (the "1992 ,,:w;� License and Use Agreement") in the form attached as "Exhibit A." ! Notwithstanding the provisions in the 1992 License and Use ':;1 Agreement concerning restrictions on chloroflourocarbons ("CFCs°} in on-Airport rental cars, if the County permits any rental car . =`'? operator to operate rental cars without restricting the use of CFCs . �;;:� in any such rental cars o= to opezate any such rental cars with , less restrictions than as provided in the 1992 License and Use Agreement, the County will only impose upon Eagle such lesser ,� restrictions, if any, with respect to CFCs that the County has � imposed upon any such other rental car operator upon which the - � County has imposed the least restrictions of any on-Airport rental y car operator. � 12. The County acknowledges that the right of the four (4) other on-airport commercial car rental companies to occupy their • - present booth Zocations expires on or about June 30, 1992 and that at such time, the County will let bids related to the allocation oz re-allocation of commercial car rental booth spaces. The County ���� also acknowledges that other commercial rental car booth spaces may , become available which are not now available for commercial car rentaZ occupancy and use. The County agrees that at such time that ' the County beqins a biddinq process related to the allocation or ' re-allocation of commercial car rental booth spaces, the County shall allow Eagle to participate in such bidding process to the extent that Eagle can improve its booth location. Eagle may not bid less than its minimum guarantee of the greater of $60,000.00 oz _ eiqht percent (88) of the revenue generated by Eaqle at Sardy Field • in the next previous operating year as provic3ed under Paraqraph � 3.2.1.1 of the 1992 License and Use Agreement. Commercial caz � rental booths shall be allocated between Eagle and the other bidders on the basis of the company with the highest guaranteed minimum choosing its location first, the second highest choosing , � second, and so on. 14. Regardless of whether Eagle can improve its booth , location by re-bidding its guaranteed minimum, Eagle will not loose its right to continue to occupy one of the commercial car rental + booths at Sardy Field throuqh February, 1995. � 15. This Settlement Agreement may be plead as a claim in any litigation to enforce the terms of this Settlement Agreement oz as " an absolute bar to any claim ba�ed on any right with respect to the � � : subject matter hereof not specified in this Settlement Agreement. In the event of any breach of any of the terms of this Settlement Agreement, the aggrieved party shall be entitled to maintain an .:;� action to enforce this Settlement Agreement. In such event, the - party founc2 to be in breach of this Settlement Aqreement shall be s� liable to the prevailing party for the reasonable costs, expenses, :^j and attorneys' fees incurred in the enforcement of this Settlement Agreement. In no event, howevex, may any party assert liability as "-_:}rl to the matters settled, dismissed or released herein or assert any • claim other than breach of this Settlement Agreement. 16. This Settlement Aqreement sha22 inure to the benefit of and be binding upon the Parties and cheir respective heirs, agents, attorneys, successors, executors, administrators, personal representatives, assigns, and all other persons or entities which � may act or claim by, through or on behalf of the Parties. `� 17. In the event any provision of this Settlement Agreement . is held to be invalid or unenforceable by any court of competent ` jurisdiction, such holding shall not invalidate or render unenforceable any other provision hereof. This Settlement Agreement shall be governed by and _ construed in accordance with the laws of the State of Colorado. If +' any dispute should arise between the Parties, any action to settle such dispute shall be brought and tried in the federal or state courts of Colorado. ' 20. Failure to exercise any right hereunder shall not constitute or be deemed a waiver or forfeiture of such right. No term or condition of this Settlement Agreement shall be deemed to " have been waived nor shall there be any estoppel to enforce any provision of this Settlement Agreement except by written instrument of the Parties charged with such waiver or estoppel. The waiver of ;� any breach of any term, condition or provision of this Settlement Agreement shall not be construed as a waiver of any prior, '� concurrent or subsequent breach of the same or any other term, •` condition or provision hereof. � � � 21. in the event of any conflict between the provisions of this Settlement Agreement and the Exhibit attached hereto, the provisions of this Settlement Agreement shall prevail. 22. This Settlement Agreement constitutes the entire � agreement with respect to the subject matter hereof between the , ' Parties and no party shall be liable or bound to any other party in any manner, by any warranties, representations or covenants except . , as specifically set forth herein. - 23.
