The Contractor shall identify all personnel by title who shall provide i j�
services pursuant to the Agreement in Exhibit II, entitled "Computation j', ;'�.
� of Personnel Costs for Services", a copy of which is attached hereto and ]' :

The addition or deletion of personnel listed in Eshibit II of this
a,reement will be accomplished by a memorandum with an updated Eshibit
II submitted by the Contractor, within ten (10) days of anv chan�es of
+ positions, to the Department and sub,ject of approval of the Esecutive
i Director, Col.orado Department of Social Services, or desi�nee. The neca '
� Exhibit TI will comply with the reqtiirement of this paragraph two. � �,
_ 3. Pavment
; a. Payment shall be mAde on the basis of E�hibit III, entitled 4�
"A�reement $Ltd�et", a copv of �vhicli is attached and incorporlteci
bp reference, for services provided pursuant to Ethibit I. The �
• � Agreement Bttdget shall establish the masimum reimbursement which
shall be paid from combined countv, State and Federal funds

' b. The Contractor shall submit itemized monthl� billin�s to the i
DepArtment for eosts incurred pursuant to Ethibit I of this
aareement in accordance with the rules and re.gt�lations of the
Colorado Department of Social Services. Bi].lin�s shall be
submitted on Form 5310.211, Statement of Monthly Amounts Due for
. . Child Support Enforcement and Paternity Determination. The �
Contractor shall submit all itemized monthl� billings and Form �
0310.211 to the Department no later thzn the last da�- ot the �

- 5. Termination for Convenience or for Cause

upon written notice of at least thirty (30) days citing the reasons for
termination. Upon such termination, the Contractor shall furnish to the ;;��

a.greement. When the Contractor provides said property, records and �,�
information to the Department, the Department shall pay the Contractor i

6. Amendment

This a�reement may be amended in cahole or in part by mutual consent,
provided that said s�mendment be reduced in writing on Form CSE-�,
properlv executed and made a part of this a�reement. All amendments are
ex resslp made sub.iect to the a �'' '
p pproval of the Esecutive Director, �;,
Golorado Department of Social Services, or designee; however, the State °.

ti of Colorado, the Colorado Department of Social Services and the -
- Esecutive Director, or desi�nee, are not parties to this a�reement.

" The Contractor shall maintain such records as are deemed necessary %�j
purstiant to the Colorado Department of Social Services' rules to assure ` �
`'' a proper accounting for all costs and funds collected. These records '�,

Health and f�uman Services, the Colorado Department of Social Services,
_ the Department, or any authorized representative of the State of
Colorado, and will be retained for siz (61 ,years after the expiration of ~, �'
this contract unless permission to destroy them is �ranted b5* the -

financial, pro�ram pro�ress and other reports as requested by the

8. Equipment Purchased with Federal, State and County Mone� ���

recipient/applicant records, papers, documents, tapes and an,r other �
materials that have been or may hereafter be established which relate to �' '
the Cont:act. The Contractor acknowleddes that the laws incli�de Title ���; t'

Rehabilitation Act of the 1973, the A�e Discrimination Act of 19�0, the ;�'.:l � ,

furnishin� any services contracted for without the prior written

any subcontract, the Contractor shall be responsible for contract
performance and compliance with the term and conditions of this ,
agreement. The Contractor shall select subcontractors on a cometitive :i
� basis to the maximum proacticaZ extent consistent with the objectives j?�•'

� in Eshzbit II are not the responsibility of the Contractor escept for ',��
' acceptance or rejections of the work product of such individuals. �

� The Contractor or the Department may determine that the Contractor has a ?
A conflict o£ interest which c:ill prevent the Contractor from being able
� to fulfill and complete all the terms of the a�reement. lipon such a
determination, the Department is autliorized to hire a special attorney r
to fulfill and complete such duties. The special attorney shall be ; ,.
' �� �iven and act under the same powers as the Contr�ctor hired under this �
y a�reement. The special attorney shall receive pa,yment for sarvices from
