THIS AGREEMENT, made and entered into this lst day of March
, 1991 by and between the PITKIN COUNTY TRANSLATOR DEPARTMENT, . .
hereinafter referred to as the "County" 506 E. Main Street, � ;

WITNESSETH: � �

WHEREAS, the County desires to retain professional services j:j
to accomplish various duties for the Pitkin County Translator
County and, ':�

WHEREAS, the County posted a notice in the local newspaper i;, i
solicitinq interested parties for these professional services, as ;A', ;{�
directed in the Pitkin County Procurement Code, and received `• � -
several answers to this solicitation; and, ;�� �`:'
WHEREAS, the County has determined that Newland is competent �
and qualified to carry out the services desired;
� NOW, THEREFORE, in consideration of the mutual covenants,
terms and conditions herein contained, the parties hereto agree
as follows: �
1. DUTIES ��• .

A. The County hereby agrees to appoint Newland, and Newland �k`
� agrees to accept appointment, as Translator Assistant to perform i�"
those functions and duties listed below and such other duties as ( '�
may be agreed upon by the County and Newland. ;�.�y
• B. Newland shall provide phone answering services Monday };''r.
through Friday 8:00 a.m, to 5:00 p.m. Mountain Time (not `•' �
including holidays observed by Pitkin County) either in person,
or by answering machine when necessary. Newland agrees to ', �
' document all phone calls received. Newland fu=ther agrees to
attend and record minutes of the monthly Pitkin County Translator
Advisory Board meeting. Newland agrees to use her best efforts
and skill to render these services.
� C. Newland agrees to devote such time as reasonably '

� shall provide Newland with office supplies, postage, desk, ��
computer, printer, telephone, answering machine and telephone �'''

Newland shall not have any power or authority to bind the County , ,
in any manner whatsoever and Newland shall not take any action in
the name, on behalf or for the account of the Pitkin County
Translator Department or Pitkin County. '
2. TERM: � _

A. The term of this agreement shall be for a period of one
i (1) year and will be automatically renewed for like terms, unless
Newland or the County notify the other of intent not to renew. � `7'�:�"
Tn the event of non-renewal, such notification shall be made in ,z;:,. .
writing thirty (30) days prior to the end of any one year i
agreement increment. The first year of this agreement shall =1
begin March 1, 199i and run to February 29, 1992. Newland is � �;
additionally allotted vacation time as approved by the County's "`
representative. A review of performance and need of services ,_'
will occur every six months during the term and i£ Newland's ;; .t
per£ormance has not been satisfactory, the County may terminate ' ;!!.; �;,•
this agreemettt in the form of a written notice (see Section '�!' `-
2.C.}. Renewal of this Agreement shall be subject to the mutual : �*���'
agreement of the parties and appropriation of funds throngh the '
annual County budget process. ,'
" B. Nothing in this Agreement shall prevent, limit or
otherwise interfere with the right of the County to terminate �
this Agreement for cause, subject to such notice and hearing as ',�;.'
; may be required by law. ' �
C. The County may terminate this Agreement, pursuant to ;�
Sections 2.A. or 2.B. of this Agreement, by written notice of :x`:�`
termination sent by certified mail to Newland at the above 'k`
address, which notice shall be effective ten (l0) days after +{``
mailing. ;`,��
D. Newiand may terminate this Agreement ten (10) days � �t
after written notice of such intent has been sent by certified :;"C
mail to the County at the above .address. ' � �
3. COUNTY REPRESENTATIVE � i'
The County's representative for the administration oP this
agreement shall be the Communications Engineer of the Pitkin rT
� } County Translator IIepartment, who is in turn supervised by the
County Engineer and the County Manager alone. �
t 4. COMPENSATION: . � �',
A. The County agrees to compensate Newland for services `.r.�
described in paragraph 1.C. above by a monthly payment of five i
hundred and 00/100 dollars ($50o.00) , payable to Newland once a ��� . �
� month, on the 3oth of each month. Duties and tasks which are not �j ` �
� specifically described above, but are determined to be necessary �•
by the County Representative, will be accomplished by Newland at s•�� .
i the additional rate of fifteen and 00/100 ($15.00} per hour. + .

Newland shall have the ability to accept or refuse said added ' ..
' duties, and, if accepted, shall bill the County Representative by �•`r
invoice no later than the 15th oP each month for said services.

B. The County and Newland agree to negotiate in good faith � `
the compensation to be paid Newland for each consecutive 'a�; '
agreement period, if any, with said negotiations commencing no "�
later than thirty (30) days prior to the end of the previous "J .

5. COMPLIANCE WITH PROC[7REMENT CODE AND APPLICABLE STATE !� �
CONTRACTING LAWS ��`� �

� A. The parties acknowledge that this Agreement is entered 1 ,i.-�,
� into subject to the requirements of the "Pitkin County Procure- `� j
ment Code" (Section 8.5 of the Pi tkin Coun ty Home Rule Charter, �
Resolution 82-37, April 12, 1982) . As such, Newland agrees to
comply with all applicable requirements of said Procurement Code,
and such requirements are incorporated herein with this refer-
_ ence. �. �
B. Newland shall immediately notify the County
Representative of any violation of said Code by the County's r�`
� . employees oz agents, and failure to notify the County of ��.
violations within five (5) days of knowledge shall be deemed as a ' "
:•�
' waiver of any action or defense that Newland may have against the -!;•.
County by reason of such violation of the Procurement Code. ;i: ,.
6. INTEGRATION AND MODIFICATION �;��
. � This Agreement constitutes the full and complete agreeaent ;� �'. .
of the parties and supersedes or incorporates any prior written
� or oral agreements of the parties. In addition, Newland under-
; stands that no County official or employee, other than the County � �
' Representative, has the authority to enter into a contract or to
' modify the terms of this agreement on behalf of the County. Any .
J such contract or modification to this agreement must be in
� writing and be executed by the parties hereto. •

� A. The agreement is to be construed under the laws of the ��'.
State of Colorado. �!

B. Newland agrees to be bound to the conditions of the `;!y �
� "Required Clauses for Pitkin County Contracts" which are hereby �..
iincorporated into the agreement by this reference. .���
i C. This Agreement was negotiated and reviewed through the `
( mutual efforts of the parties hereto and the parties agree that �,�`i,
! no construction shall be made or presumption shall arise for or
against either party based on alleged unequal status of the .;�';
parties i,n the negotiation, review or drafting of this Agreement. :
