THIS CONTRACT is made sFffective as of January 1, 1991 between Pitkin `• ?
County herein referred to as "County", and Garfield County hereafter •,i
referred to as "Contractor". Whereas, Garfield County is providing �� � '.
services to its Veter�ns through the Garfield County Veterans Service ri
office and whereas, Pitkin County wishes to contract For provision of i,'+ ,�

i undertakings and agreements hereinafter set forth, the County and the ��

Subject to its other provisions, the term of the Cantract shall be from

� Section I. County Shall: �

1. County egrees to purchase and Contractor agreea to furnish the ;�"

! A. Provides counseling services to veterans and to eddress ��. �
a wide variety of issues, problems, and concerns. �
Cooperates witli other County human service agencies to .;.,�'

questions regarding
� insurance, pensions, loans, hospitalization, disabiiity i t'
� and other benefits. ;
i C. Prepures and submits applications for adjusted .
� compensation, insurance, pensions, loans, disability ;
compensation, hospitalization, vocational training, and !
other benefits. F
` D. Prepares and submits correspondence, statistics and
reports to state, federal and local agencies and t.� =

E. Maintains files and records. �
F. Other functions as needed relating tn the office of �.�} � ;

; Notwithstanding the duties set out above, the parties agree that '� ;

2. County agrees to purchase these services fo:• the following

' 3. County agrees to pey as services ere provided as follows:

County agrees to pay $18.15 per hour for 4 hours of �;.�r
service per week. Furnished office space within Pitkin '� -
� County will be provided by tl�e County at no cost to i'.~ '

i The total amount of this Contract shall not exceed $3,774 cash, and '' i,.,

The rates paid above include all of contractor overhead and �
� administrative costs in complying wzth terms of this contract.
1 4. County will pay contractor in quarteriy payments in March, ;
June, September and December of each year during term of this ��i { ,
� contract.

� Section II. Contractor shall: ;k;.'
1. St-rictly adhere to all epplicable federal, state, and local �r4A
laws or regulations (including Article V11 of the Pitkin
� Coanty Procuremeni: Code) that have been or may hereafter be r'

� established. ;'t '

2. Subcon�racts utilized by the Contractor shall be subject to �:i�.
the requirements of the Contract as listed here, and the ' '
' Contractor is responsible for the performance of any '
` subcontractor. � i
3. In rel�tion to his performance under this contract abide by i �.
� all applicable provisions of ihe Title VI and VII of the � ,
= Federal Civil Rights dct of 1964, Section 504 of the !�
� Rehabilitation Act of 1973, and Title XX of the Social
� � Security Act of 1975 qs revised.
4. Maintain procedures for safeguarding client information and }
� comply with the same.
� 5. Maintain service program records, fiscal records, 'y!'.
� documentation and other records relevant to this Contract for
years. The above shall be subject at all �{ "
} a period of five � -
� reasonable times to inspections, review or audit by Federal, �� i
Stote or County personnel, and other persons euthorized in ��
j writing by the County. j �
6. Provide the purchased services at the Iacation as shown as the ;"'�
_ j address of the Contractor or wherever is appropriate for that �'�
l service within Pitkin County. ' �'j•,
7. Provide an annual evaluation of services. � -'

Section III. General Provisions:
1. The Perties to this Contract intend that the reletionship � �
between tl�em contemplated by the Contract is that of ;':r '�
indepeodent contractor. No agent, employee, or servent of
Contractor shall 6e deemed to be an employee of County. �;.,,.IX�,
Contractor will be responsible for its acts end the act of � f
its' agents, employees, servants and sub—contractors during .
the performance of the Contrnct.
2. Payment pursuent to lhis Contract, if in Couaty, State, or :.i
Federal funds, whetlier in whole or in pert, is subject to and
contingent upon the continuing availebility and appropriation !:'�
' of County funds for the purpose thereof. Notice shall be given S�
in accordance with number 4 below. , 1
3. This contract constitutes the full and complete egreement of ii:, ;:'.
the parties and supercedes or incorporates any prior written ="'' :
ancl oral agreements of the parties. In addition, contrector ' '� �'`'

understands that no County official or employee, other than �'
' the Soard of County Commissioners acting as a body at a Board �
meetzng, has authority to enter into a contract or to modify
the terms of this contract on behalf of the County. Any such
1 contract or modification to this contract must be in writing
S and be execul:ed by lhe parties hereto. '�g� �
4. fiither party shall have the right to terminate this Contract
by giving the other party thirty days notice by registered '�
� mail, return receipt requested at the addresses below lieted, ,;�,
". � effective upon mailing. If notice is so given, this Contract jtY!'�J
shall terminate on the expiration of the thirty days, and the �
� Iiability of the �+�'
parties hereunder for further performance of
tlie terms of this Contract sliall thereupon cease, but i`., .i
perform their obligations up to the date of termination. The �� ��
County's contact person For this contract shall be the Numen "�
Services Director. The Contractor's contact person for this ',����,
contract skall be the Garfield County Social Services �' �
Director.
! 5. In the event this Contract is terminated, final payment to the , � .
� Contractor may be withheld at the discretion of the County ,�; i .
i until final audit which, audit, if required by the County, ,
shall be completed at the next regular audit period. Incorrect
payments to the Contrector due to omission, error, fraud, or
defaication shall be recovered from the Contractor by �
� deduction from subsequent payments under this Contraat 6y the
County as a debt due to the County. The waiver of any
; violation shall not be construed as a waiver of any other or i';t`
( subsequent violation of this Contract or appropriate statutes ' �•
