TNIS CONTRACT, made as of the date last below signed 6etween Pitkin �`.r ..
, County herein referred to as "County", and Mountain Valley
Deveiopme�tal Services hereafter referred to as "Contractor", i'j'.;:�'
Frovisions of this contract are pursuant to the authority granted
by CRS 27-10.5-101 and in recognition of the needs of persons with �� �
developmental disabilities, the contractor is responsibie for said �
: services for the benefit of Pitkin County. ��
Now therefore, it is hereby agreed that in consideration of the
mutual undertakings and agreements hereinafter set forth, the �'t'' '
County and the Contractor agree as follows: � ',,
Subject to its other provisions, the term of the Contract �ry'��.

Section I. County Shall:
1. County agrees to pnrchase and Contractor agrees to
furnish the following services hereinafter referred to as i, •
s "Purchased Services":

_ A. Infant stimulation service for 6 children/mo.
average
. B. Aspen Preschool service for 6 children/mo. average t�'•,
i. C. Vocational services for 2 adults/mo. average �
D. Residential services for 3 adults/mo. average
E. Case management and Admin. services for 3 adults
average/mo and 12 children. �;'
F. Parent support for 24 adults. 1"
� 2. County agrees to purchase these services for the
1 following targeted groaps: �

A. Children who are Developmentally Disab2ed or •
jsocially or emotionally deprived.
� B. Developmentally disabled adults ia need o£ vocati- -.
` ! onal, academic, or daily living activities.
C. Deve2opmenta2ly disabled adults in need of

D. Parents of children in program for support and ��" �
education.

A. For children's services (lA,ZB above) _ $9,440 as
'� inkind space for Aspen Program (being the agreed
upon value for the rent, utilities, end repair �
for the space provided to the Contractor in the �
Pitkin County Com�unity Center, pursuant to a Lease
of even date herewith).
B. For Adult Services (1C, 1D, lE, 1F above) _ $3,000
{being approxi�ately 15X of administrative expenses

The total amount of this Contract shall not exceed $9,440 ;r7���fi�.�

The rates paid above include all of contractor overhead 3
and administrative costs in complying with terms of this �` '
contract.

Section II. Contractor shall:
1. Strictly adhere to all applicable federal, state, and
local laws or regulations (including County Procurement
Code) that have been or may hereafter be established. �,
;p Z. Hold and maintain for the term hereof the necessary t ,
- license(s} as specified under Sfiate law which permits the �'
;1 performance of the service(s) to be purchased herein.
, ,; 3. Shall maintain a sliding-scale fee schedule for its
,, services in order to acco�emodate low income individuals. �
� 4. Subcontracts utilized by the Contractor shall be subject
to the requirewents of the Contract as listed here, and �
� the Contractor is responsible for the performance of any �
jsabcontractor.
5. Abide by a11 applicable provisions of the Title VI and 4
'� VII of the Federal Civil Rights Act of 1964, Section 504 � .
of the Rehabilitation Act of 1973, and Title XX of the �
� Social Security Act of 1975 as revised. r'
3 6. Maintain written requirements for safeguarding client
';� information and comply with said requirements. ,
,� 7. Tndemnify County and the State of Colorado against any
�`� liability and loss ageinst all claims and actions basr.d
� �� � upon or arising out of damage or injury, includin� death, "
� to persons or property caused or sustained in eonnection , ,.
� with the performance of this Contract or by conditions
created thereby, or based upon any violations of any
l� statute, ordinance, or regulation and the defense of any �, '
such claims or actions; maintain insurance in such types �
'� and amounts as are necessary to find this indemnity; -

8. Maintain service program records, fiscal records, -
documentation and other records relevant to this Contract •

at all reasonable times to inspections, review or audit •
by Federal, State or County personnel, and other persons

Section III. General Provisions: �• j''

1. The Parties to this Contract intend that the relationship y;:
'� between them contempleted by the Contract is that of
� independent contractor. No agent, employee, or servant 1'�'
of Contractor shall be deemed to be an employee, agent,
or servant of County. Contractor will be solely and
entirely responsible for its acts and the act of its' �
agents, employees, servants and sub-contractors during {�
the performance of the Contract. F'�
"' 2. Payment pursuant to this Contract, if in County, State or �I,

Federal funds, whether in w6ole or in part, is subject to
� and contingent upon the continuing availability and
appropriration of County funds for the purpose thereof. �
" 3. This contract constitutes the full and complete agreement
.� of the parties and supercedes or incorporates any prior !.
written and oral agreements of the parties. In addition, '
� contractor understands that no County official or �
• � employee, other than the Board of Cou�ty Commissioners �;
;,� acting as a body at a Board meeting, has authority to •
'� enter into a contract or to modify the terms of this 'j
contract on behalf of the County. Any such contract or ,
madification to this contract must be in writing and be
;� executed by the parties hereto. �

{` Contract by giving the other party thirty days notice by �
� ��' registered mail, return receipt requested at i:he
uddresses below listed, effective upon mailing. If i" ;.
;� notice is so given, this Contract shall terminate on the �
�y expiration of the thirty days, and the liability of the ,�
t parties hereunder for further performance of the terms of �
this Contract shall thereupon cease, but

- 5. In the event this Contract is terminated, fznal payment
„ to the Contractor may be withheld at the discretion of {'-r~��
the County until finnl audit. Incorrect payments to the
Contractor due to omission, error, fraud, or defalcation � +
shall be recovered from the Contractor by deduction from �1 .��
subsequent payments under this Contract or other con-
` tracts between the Connty and the Contractor, or by the :
d County as a debt due to the County. The waiver of any (
violation shall not be construed as a waiver of any other �
or subsequent violation of this Contr�ct or approprinl:e 3
