• THIS CONTRACT made as of the date Iast below signed between `
the PITKIN COUNTY BOARD OF COUNTY COMMISSIONERS, hereafter referred ���:,•< � ,
to as "County" and COMMUNITY HSALTH SERVICSS, VNA, INC., hereafter �•���`•�
referred to as "Contractor." Provisions of this contract are •
! pursuant to the authority of the Colorado Department of Health and �
� include not only basic services which are to be provided by all �
�` local health units organized under the Colorado revised statute CRS �
� 25-1-501 through 25-1-516 (County and District Health Departments) �- '
� and CRS 25-1-601 through 25-1-667 (Local Board of Health), but also
those optional services deemed basic in Pitkin County. � i�

WHBREAS, the County is by statute authorized to provide basic � };�
and optional services to the residents of Pitkin County subject to ?
„� the other provisions, the term of this contract shall be from the ���'+��`'

y lst day of January, 1991 through the 31st day of December, 1991,

� WHBREAS, the Contractor is a certified hone health and public
health agency under technical program direction of the Colorado
; llepartment of Health and is qualified to provide said services,

- 2. Preventive Aealth Services. Provide health consultation,
education and services to promote optimal health of persons in
_ all age groups in the community.

educational and health services (nursing, nutritional,
medical and social) for children, their parents and the `Y�

i) Newborn, Infant and Preschool Child Health Program.
Provide a system of health services designed for �
the prevention, early detection, treatment and
follow-up of childhood diseases, including
metabolic disorders, handicapping conditions and
birth defects; counsel and teach basic nutrition, -
fluoride supplementation; provide appropriate !
follow-up for children with health problems.

outcome in future pregnancies and to reduce the number of '.� *" -

weekly Family Planning Clinics and Birth Control Classes. !•- •
Offer human sexuality values clarifi-cation and birth �
control information to public/private schools and to }
specific grovps upon request. Provide pregnancy testing �
" And counseling. Family Planning Clinics will be held f
regularly on at least a weekly basis to counsel clients i
regarding various methods of birth control and to monitor ',i
responses to oral contraceptives. `.
; d. Adult Health Maintenance Pro�ram. Offer a system of ��'F';',
health services designed to assist and encourage adults
to assume greater responsibility for the promotion and
maintenance of their own health, early detection of
disease and prevention of disabilities, and appropriate
: ,i utilization of hea2th services and resources. Conduct � ,
'; regularly scheduled Adult Aealth Clinics, screening �'�
programs, Well Oldster Clinics, health promotion Classes f�'
`� for seniors, special screenings for cancer, diabetes, �
hypertension, substance abuse testing, public health lab �
� services, disaster planning and emergency response team.

- e. Health Promotion and Education. Provide effective
, ; � comprehensive health promotion and education services
��' which will result in a reduction of preventable diseases,
`�� injuries, premature disabilit and death and `

;%� the attainment of a higher level of health and life

- targeted groups: Low income residents of Pitkin County,
_� transient or permanent, including visitors, and the
conmunities of Redstone and Lenado. (Low income is defined as
150X of poverty level and these people pay less than 25% of -
cost of services.) County additionally agrees to pay the cost
of AIDS publications required by the County Health Officer. -
. C. County agrees to pay: Sixty three thousa�d, seven hundred and �`r
twenty-five dollars. ($63,725.00)

The total amount of this Contract shall not excecd
$63,725.00 cash and $19,785.00 in kind (being the agreed upon value
for the rent, utilities, cleaning, maintenance and repair for the
� `" space provided to the Contractor in the Pitkin County Community
Center, pursuant to a Lease of even date herewith). Total does not
not include jail services which are billed monthly to the Sheriff's ;.�
Department.

�; D. County will pay Contractor in quarterly payments.

�. Contractor shall:
1. Strictly adhere to all applicable federal, state, and local
� laws or regulations (including County Procurement Code) that
have been or may hereafter be established. t
2. Hold and maintain for the term hereof the necessary licenses �
"� and certifications as specified under State law which permit
U the performance of the services to be purchased herein. ( .
`� 3. Maintain a sliding-scale fee schedule £or its I
. � services in order to accomodate low income individuals.
4. Utilize subcontractors who shall be subject to the
" requirements of the Contract as listed here, and be
responsible for the performance of any subcontractor.
. 1� 5. Abide by all applicable provisions of the Title VI and VII of
;'�� the Federal Civil Rights Act of I964, Section 504 of the
Rehabilitation Act of 1973, and Title XX of the Social
:� Security Act of 1975 as revised. ,
6. Maintain written requirements for safeguarding client
information and comply with said requirements.
7. Indemnify County and the State of Colorado against any �
� liability and loss against all claims and actions based upon
"'-�e or arising out of damage or injury, including death, to
persons or property caused or sustained in connection with the
� "'� performance of this contract or by conditions created thereby, 1
+ or based upon any violations of any statute, ordinance, or f
� regulation and the defense of any such claims or actions; `
'� maintain insurance in such types and amounts as are necessary „
to fund this indemnity; provide proof of such insurance to the !.�"

8• Maintain service program records, fiscal records, documenta- •
tion and other records relevant to this contract for a period o;. _
of five years. The above shall be subject at all reasonable
times to inspections, review or audit by Federal, State or -
County personnel, and other persons authorized in writing by :r
the County.
9. Provide the purchased services at the location as shown as the '�.�`�
address of the Contractor or wherever is appropriate for that
service. '
10. Provide the service described herein at a cost not greater
than that charged to other persons.
11. Provide an annual evaluation of services.

General Provisions: �

,•; 1. The Parties to this contract intend that the relationship �:-�
j between them contemplated by the cantract is that oF
^;; employer-independent contractor. No agent, employee, or
servant of Contractor shall be deemed to be an employee,
agent, or servant of County. Contractor will be aolely and
entirely responsible for its acts and the act of its' agents,
� employees, servants end sub-contractors during the performance •
of the Contract. �
2. Payment pursuant to this Contract, if in County, State, or
� Federal funds, whether in whole or in part, is subject to and i
`� contingent upon the continuing availability and appropriation �
, � of County funds for the purpose thereof. !
3. This contract constitutes the full and complete agreement of
=? the parties and supercedes or incorporates any prior written
and oral agreements of the parties. In addition, contractor
� understands that no County official or employee, other than
.�j the Board of County Commissioners acting as a body at a Board .
`� meeting, has authority to enter into a contract or to modify •
-� the terms of this contract on behalf of the County. Any such �
contract or modification to this contract must be in writing
and be executed by the parties hereto.
!� 4. Sither party shall have the right to terminate this Contract •
;i by giving the other party thirty days notice by registered
� mail, return receipt requested at the addresses below listed,
� effective upon mailing. If notice is so given, this Contract
� shall terminate on the expiration of the thirty days, and the 41
_� liability of the parties hereunder for further performance of a
the terms of this Contract shall thereupon cease, but perform �
their obligations up to the date of termination. The County's
� contact person for this contract shall be the Human Services '
�, Director. The Contractor's contact person for this contract i
shall be the Community Heallh Services Director.
5. In the event this Contract is terminated, final payment to the
