WHEREAS, requircd approval, clearance and coordination has bcen accomplislted from anJ with approprime �� �:

- WHEREAS, the Contractor having special knowledge, expertise, and ����..
skill in providing services to juveniles in Pitkin County; and having � ' �
the administrative skill to coordinate intake/screening, crisis
intervention, and supex-vision for juveniles who are taken into custody
and meeting detention criteria; and
WHE1tEAS, the Department of Institutions' Division of Xouth
Services has received funding £rom the Division of Criminal Justice to � •
provide intake/screening, crisis intervention, and community-based
� supervision for youths in Pitkin County; and
WHEREAS, intake/screening includes evaluating youths taken into �
custody to detezmine whether they could be released or placed in less k
restrictive alternatives, and crisis intervention, and making �
• recommendations to the aourt at detention hearings; and
'�i WHEREAS, the Contractor has been selected as the qualified vendor �l
; to provide the services specified pursuant to sole source procurement. �k"

4. FZSCAL RECORDS E
a. The Contractor shall maintain adequate fiscal recards `'
for a period of three years following the termination of this contract �
subject to inspection and audit by the State or its designee. Any !,
- _ ,� audit exception shall be subject to an immediate refund to the 5tate .
� by the Contractor.
_; b. The Contractor agrees that all books and records shall
' be open to inspection and/or audit at zeasonable times by an i
authorized representative of the State or an independent auditor as �
• �'� designated by the State. The Contractor agrees to maintain suEficient
:,�.� accounting records to enable the State and/or an independent auditor
!�� to determine a11 costs for services provided pursuant to this
contract. The Contractor shall provide to the State documentation
regarding all other sources of support and revenue obtained by the
- Contractor for the program and all costs related to the program must
~'�� be accounted for and properZy classified.

c. If the Contractor receives TWENTY-PIVE THOUSAND AND '
� ; :^i NO/100 DOI,LARS ($25,000.00) or more per year in Federal funds, the
Contractor shall make provisions for a financial audit meetinq the
�� requirements of Office of Management and Budget Circular A-128, Audits '
'-,� of State and Local Governments, or Office of Management and Sudget
,=µ� Circular A-133, Audits of Institutions of Higher Education and other
Nonprofit Institutions, whichever is applicable.

5. TIME OF PERFORMANCE •
a. The Contractor shall render services under this � "

6. CONTRACT TERMINATION
a. This contract may be terminated by either party by .1� �`.� �

address, or delivered by personal service upon the party. If notice
is so given, this contract shall terminate on the expiration of the ,s

7. SUBCONTRACTS
a. The parties recoqnize that the services provided by the
Contractor are personal in nature; and therefore, none of the rights,
duties, or obligations arising under this contract may be assigned or
delegated without prior written consent of the State.

S. INDEPENDENT CONTRACTOR
. a. The Contractor shall perform the duties hereunder as an
independent Contractor and not as an employee. The Contractor shall
be accountable to the State for the ultimate results of its actions i�.
� but shall not be subject to direction and control of the State as to :j
, , details or to particular hours of work.except as provided herein. .�
Neither the Contractor nor any agent or employee of the Contractor
� shall be or shall be deemed to be an agent or employee oP the State.
! The Contractor shall pay when due all required employment taxes and
( income tax withholdings, shall provide and keep in force Worker's
� Compensation (and show proof of such insurance) and unemployment
{ compensation insurance, all in the amounts required by law, and shall �`
j be solely responsible for the acts of the Contractor, its employees f
� and agents. The Contractor shall furnish the State with written � .
certification of the existence of such coverage, prior to the
"i effective date of the contract.
9. RULES
� a. The Contractor shall comply with all rules,
regulations, and standards as may be promulgated and amended by the
State. -

12. CONTRACT STATEMENT TO HOLD HARMLESS ! .

� hereunder. The Contractor agrees to indemnify and hold harmless the � ,
. i State, its employees, agents, and officers against any and all claims,
demands, damaqes, liabilities, and court awards includinq costs, '
, expenses, and attorney fees incurred as the result of any act or i
' = omission of any officer, agent, or employee of the Contractor; or acts �
. ;;� or omissions by youths within the proqram of such Contractor; or
;y� resulting from the condition of any property owned or controlled by

have any force or effect unless embodied in a written contract

15. INSURANCE Y`'.�'
a. The Contractor shall maintain in full force and effect

Liability Insurance with a minimum of $400,000.00 combined single � ,
limit for bodily injury and property damage arising out of any single ; :
� occurrence. The Contractor shall furnish the State with written (; ;
certification of the existence of such liability insurance, prior to �
the effective date of the contract. The Contractor also agrees to
. � maintain beyond the contract term such insurance as will cover ��i
incidents which occurred during the contract period, including but not .;�;
-9 limited to continued maintenance of "claims made" or "tail" policies
� ,j for the applicable statute of limitations. The policies must be in
�1 amounts equal to or greater than the limits required by this contract.
b. Whenever the work covered by the contract shall involve �
the use of vehicular equipment, the Contractor shall maintain during '
the life of the contract, Automotive Bodily Injury and Property Damage !�.
Insurance for business use with a combined single limit of not less t
than $400,000.00. The insurance certificate shall provide evidence �
