NOW, THERfiFORE, the County and the Vendor, for the considera-
d tions hereinafter set forth, agree as follows:
j Article 1. STATBMENT OF WORH. The Vendor agrees to furnish y.; {
all labor, materials, equipment, tools and services to perform in
a workman-like manner all tasks to complete the project in strict .'�
'• compliance with the provisions of Bid No I991-ZFM and
`'A Speeifications dated March 12, 1991, and all other contracting ��
. documents herein mentioned which are made a �k`

The Vendor shall complete delivery NOT LATSR THAN August 31, 1991. ;��

Article 2. It is hereby further agreed, that at the
completian of de2ivery and acceptance of the equipment by the " }
County a21 sums due the Vendor by reason of his faithful complet-
ion of delivery, authorized under this Agreement in accordance with , �
the provisions of this Agreement, will be paid the Vendor by the
- County after said delivery and acceptance. Final acceptance cannot i'.., ��,
be made by the County until any and all proper legal advertisements
have been made.

� ' Article 3. It is hereby further agreed that any reference �
; herein to the "Agreement" shall include all "bocuments" as the same
; are listed and described in the Specifications, issued in � `

this Agreement set forth herein. The full purchase price of the
specified machine and attachments is One Hundred Twenty Nine
Thousand, Seven Hundred Fifty and No/100ths Dollars ($129,750.00)
; which shall be considered the contract amount. Net payment to
? vendor upon specified completed delivery and acceptance shall be: , ,

objection to such repairs. In computing the cost of '-

COUNTY, the County shall submit to the VfiNDOR the ;'

;:f than twenty-four hours after receipt of County's '
? estimate. Repairs shall then be made by the service
2 shop of the V&NDOR and billed to the County at the
Vendor's then prevailing rate. Tf, however, the
� oendor and County agree, then repairs may be made �

repairs shall be computed on the same basis as that '

- parties. The VfiNDOR will be notified of the cost

within five (5) days after completion of such
repairs. Transportation costs shall apply to the

two (2) normal working days to the County, a daily
charge of $ 100.00 shall be added to the cumulative ,
cost of repairs for each working day over two (2)

{ 3. Pitkin County assumes the following obligations with �; ;:
regard to care and maintenance of the equipment:

I a. The equipment will be oparated by Pitkin County
! personnel in grading, snow plowing and dozing
j operations and other purposes for whick the
equipment was designed.

� b. The County will assume responsibility for costs of
- -i repairs due to fire, theft, accident, vandalism, °
� acts of nature, neg2ect or abuse directly caused. by � � •
' County personnel. The County, in 1ts sole �:�:
� reasonable discretion, shall determine the cause of ��
the needed repair. +, ��
• c•. The County will assume at its expense all costs of :'sr
fuel, tires, belts, ail samples, lubricants aad the ,'�
application thereof, anti-freeze, cutting edges, '1 �
batteries, lights, glass breakage, cleaning and
j repainting, and other items normally consumed in �� i
day-to-day operations. The County, in its sole
reasonable discretion, shall determine what
j constitutes "other consu�¢able items". �

. 4 d. The County will maintain the equipment in accordance ��
! the Manufacturer's recommendations; provided, � �
' however, the County reserves the right to use the , '
, same fuels, lubricants aad oil sample anulysis, that ` ' •
it uses in other similar equipment. The County will i=��
have available a record of aIl maintenance �' �. .

� �cutually convenient time and make recommendations ::� �

WARRANTY REPAIRS:

' ,1 When repaired by the Vendor, the Vendor will provide all repairs �
j and return the machine to safe operation within 48 hours of

Article 7. SUCCRSSORS AND ASSIGNS. This Agreement and all � ':

'� F. Remedies. The Vendor shall have the right of appeal from any
determiaation made by the County under "Termination for
Default or for Convenience of County;" except that if the
Vendor has failed to submit his claim within the time provided .
in Paragraph D., above, and has failed to properly request •�+'
extension, he shall have no such right of appeal. In any case j `
where the County has made a determination of the amount due � �:'�:-
under Paragraphs D. or E., above, the County shall pay the `` •�.

no right to appeal or if no timely appeal has been taken, or

! G. Method of Appeal. If the Vendor disagrees with the County's I � ,

! response shall be final and conclusive unless within thirty
(30) days from the date of receipt of such response the Vendor
submits the dispute to a court of competent jurisdiction.
Article 15. INTfiGRATION AND MODIFICATION. This Agreement , .
constitutes the full and complete agreement of the parties and
supercedes or incorporates any prior written and oral agreements
of the parties. In addition, the Vendor understands that no County �
offiFial or employee, other than the Board of County Commissioners
" acting as a body at a Bvard meeting, has authority to enter into
, j a Agreement or to modify the terms of this Agreement on behalf of ��
� the County.•. Any such Agreement or modification to this Agreement l

Article 16. RfiCORDS. The Vendor shall maintain comprehensive, '��

complete and accurate books, records, and documents concerning its
performance relating to this Project for a period of three (3)
years after final payment on the Project and the County shall have i
the right within the three—year period to inspect and audit these
