Provido complete resident engineering coordination oC the construction work with

� specifications. It is expressly understood that the term"eagineering coordination"does `
not mean that the Consultant will assume any responsibility that usurps or replaces the ,�,
� duties and authority of a Construction Superintendent or other Contractor agent %i:.
charged with responsibility for the construction operatioa The Consultant,in carrying ' '}
� out his responsibilities for engineering coordination shall guard Pitkin against defects
and deficiencies in the permanent work constructed by the Contractor,but does not
: j guarantee the performancc of the Contractor. The above disclaimtrs do not in any way �j
abrogate the responsibility of the Consultant as agent for Pitkin to exercise technical �
competencc, ezpertise, skill and engineering judgement so that the Coutractor's
' construction producis are provided in accordance with the construction contract
��'�r��� documents. The Consultant shall issue such instructions to the Contractor's
Construction Superintendent as are necessary to protect Pitkin's iaterests to the same
extent as would Pitkin itself, if it were present and equipped with the requisite
� knowledge,skill,competcnco,eapertise,and engineering judgement.
,I� The Consultant shall provide sufficient surveys and observe and check surveys
conducted by the Contrector in accordance with the plans and specifications.
- The Consultant shall submit applications for local licenses inciuding but not limited to �'
excavation and dust control permits. ��
The Consultant shall conduct materials tests requircd by the FAA and/or observe and - . �,
3 ovaluate all such tests made by the Contractor in the field and in the laboratory as `�
( necessary in accordance with ihe plans and specifications.Copies of al!test reports wiU
be furnished to Pitkin and the FAA. Test resulis will be available on the day tests are
� taken.
The Consultant shall act as Pitkin's agent during const�ucticn to protect Pitkin's interest � �
� and shap have the suthoriry to recommend to Pitkin that the coastruction be stopped

shall arrange for inspection of the finished work by the FAA,Pitkin,the Contractor, � ;'

4 On completion of the Project,the Consultant shall prepare and supply Pitkin with an �iy
� Airport Maintenance Pragram for thc improvements coastructed under the Project.
::� It is mutuaity agreed that any change in thc scope of the Project as ouUincd iu Article s
'-.s I hereof, or the services outlined ia Articles II and III, and/or delays (inciuding •
� completion of the work in more than one project)by Pitkin,resulting in extra eapense
�, to the Consultant,shall be considered beyond the normal scope of this contract. In
`' addition to the foregoing services, Pitic'sn may require additional services such as
� Property Surveys,Descriptions of Land,Easements,Redesign or Major Changes of the
concept after final plans or concepts havc boen approved by the FAA. Payment to the

4.2. All services performed shall be in conformance with any and all applicable rutes 4`at�1

: V. PITKIN'S OBLIGATIONS � : ,.

5.2. Pitkin agrees to cooperato with the Consultant in the approval of ati plans and
'e specifications,or should they disapprove of any part of said plans and speciCications,shall
make a timety decision in order that no undue expenst will be caused the Consultant because

irequests for bids,and other similar items;shall pay for all permits and licenses that may be ';

� VI. TIME OF PERFORMANCE AND PAYMENT _
^"�j' � 6.1. This contract describes the engineering services to be provided but does not
_ ..<� include any Fees. As projects are approved and funded,fces for the engineering services wilt
be negotiated and amendments to this basic contract will be prepared.

a For the Fioid Engineering,tho Eugineer shail be reimbursed on a Cost Plus Fixed Fee � ,
� Basis. The Engineer's costs shaU be determined on the basis of time(i.e.,the number of hours
worked), multiplied by the Engineer's standard hourly rates for each applicable employee
=:,� classification, plus direct non-hourly expenses including iabor overhead, and general �
� ,� administrative costs. Overhead costs are based on the most recent audit on the Engineer's _
records The Engineer's costs,exclusive of the f ixod fee,shall not be exceeded without Sponsor's

- VII. MISCELLANEUUS

- - 7.1. Pitkin and the Consultant each binds itsclf,its partners,successors,assigtts,and � : �
legal representatives to the terms of this contract. Neither Party hareto shall assign,sublet,or
transfer its interest herein without thc express written consent of the other.

7.2. This Agreemont may be terminated by either Party upon seven(7)days written `"s'�'!

no fault of the other. It is also understood that any su�h viotation or bcaach of coatract is �

in auy manner it wishes,provided Pitkia agrees ta save and hold the Consultant harmless for

� 7.4. This agreertient may be terminated for defautt in accordance with the provisions
