= THis CONTRACT made as of the date last below signed between

25-1-501 through 25-1-516 (COUnty and District Health Departments)
and CRS 25-1-601 through 25-1-667 (Local Board of Health), but also
� . those optional services deemed basic in Pitkin County.
?t WHEREAS, the County is by statute authorized to provide basic
-� and optional services to the residents of Pitkin County subject to
the other provisions, the term of this contract shall be from the ;

(SUdden Infant Death Syndrome), EPSDT (Early
Periodic Screening, Diagnosis and Treatmentj,
Handicapped Childrens Program, adolescent health .

b. Maternal Health. Provide medical, nursing, social, r�i, _

postpartum periods to reduce the risks of adverse outcome

C. County agrees to pay: Eighty thousand, three hundred and five -

$80,305.00 cash and $37,011.00 in kind (being the agreed upon value r

; space provided to the Contractor in the Pitkin County Community ;i��`;.' �
' Center, pursuant to a Lease of even date herewith). Total does not
� not include jail services which are billed monthly to the Sheriff's
Department.

Contractor shall:

�I 2. Strictly adhere to all applicable federal, state, and local `
rt laws or regulations (including County Procurement Code) that
- have been or may hereafter be established.
2. Hold and maintain for the term hereof the necessary licenses
and certif3cations as specified under State law which permit
the performance of the services to be purchased herein. {,
`�`='�'- 3. Maintain a sliding-sca2e fee schedule for its �,
services in order to accomodate low income individuals. � ,,.:
_I 4. Utili2e subcontractors who shall be subject to the � :.�
requirements of the Contract as listed here, and be �
^ .q � responsible for the performance of any subcontractor. I
� 5. Abide by all applicable provisions of the Title VI and VII of i ',
the Federal Civil Rights Act of 1964, Section 504 of the � .
R e h a b i l i t a t i o n A c t o f 1 9 7 3, a n d T i t l e X X o f t h e S o c i a l
Security Act of 1975 as revised. 1
�`� �� 6. Maintain written requirements for safeguarding client

�.s 7. Indemnify County and the State of Colorado against any r ,
' ��F liability and loss against all claims and actions based upon
5;� or arising out of damage or injury, including death, to
-- persons or property caused or sustained in connection with the
performance of this cantract or by conditioas created thereby,
or based upon any violations of any statute, ordinance, or
�' regulation and the defense of any such claims or actions;
maintain insurance in such types and amounts as are necessary
��� to fund this indemnity; provide proof of such insurance to the
�� county upon demand therefor.
8. Maintain service program records, fiscal records, documenta- j.
��•' tion and other records relevant to this contract for a period (
�*` of five years. The above shall be subject at all reasonable ,
times to inspections, review or audit by Federal, State or ,��,�.

i General Provisions: �r�"!;' �.
I 1. The Parties to this contract intend that the relationship
� " between them contemplated by the contract is that of
� employer-independent contractor. No agent, employee, or
�5 servant of Contractor shall be deemed to be an employee, �.
aqent, or servant of County. Contractor will be solely and ��:
- :j entirely responsible for its acts and the act of its' agents, r
_;"� employees, servants and sub-contractors during the perfora+ance
`.<.� of the Contract.
2. Payment pursuant to this Contract, if in County, State, or
,:# Federal funds, whether in whole or in part, is subject to and
� contingent upon the continuing availability and appropriation
' of County funds for the purpose thereof.
� 3. This contract constitutes the full and complete agreement of
the parties and supercedes or incorporates any prior written
, I and oral agreements of the parties. In addition, contractor �
'�`°°t�~` ` understands that no County official or employee, other than
� , the Board of County Co�¢unissioners acting as a body at a Board
.i meeting, has authority to enter into a contract or to modi£y
� the terms of this contract on behalf of the County. Any such
� �`��; j contract or modification to this wntract must be in writing ±�
' j and be sxecuted by the parties hereto.
1 4. Either party shall have the riqht to terminate this Contract
� by giving the other party thirty days notice by registered
_ \:_�,�i.: mail, return receipt requested at the addresses below listed,
7:.; effective upon mailing. If notice is so given, this Contract
�': shall terminate on the expiration of the thirty days, and the
•'�:� liability of the parties hereunder for further perEormance of
� �"�' the terms of this Contract shaZl thereupon cease, but perform

:�a their obligations up to the date of termination. The County�s
� wntact person for this contract shall be the Human Services
�;,'� Director. The Contraetor's contact person for this contract

``' 5. In the event this Contract is terminated, final payment to the �

Contractor may be withheld at the discretion of the County
°x:W until final audit. Incorrect payments to the Contractor due
. to omission, error, fraud, or defalcation shall be recovered
from the Contractor by deduction from subsequent payments ;;
under this Contract or other contracts between the Connty and '

The waiver of any violation shall not be construed as a waiver `,j
