an Open Space and Trails Board of Trustees for the purpose of
� acquiring, preserving, developinq, maintaining and managing open �''

M .. WHEREAS, the Grantor wishes to grant to the public access across his/her t
�� land on an easement located to provide the pedestrian/bicycle trail access from the
o � Morrow Ranch northwest in the direction of$asalt; and '`

� �� WHEREAS, Grantor and Grantee desire to set forth in this Agreement the
�� nature, terms an@ conditions governing the transfer, location, development, and
#N use of that Easement.
NOW, THEREFORE, for and in consideration of the mutual covenants
—i and agreements hereinafter set forth, and for other good and valuable !`
+ considerations, the parties hereto agree as follows:
; 1. Grant of Pedestrian/Bicycte Trai1 Easement. Grantor hereby grants
to Grantee, a perpetual, non-exclusive, non-vehicular pedestrian/bicycle trail
'`•� � easement and right-of-way being twenty feet(20') in width and approximately 370
� feet in length in the location shown on Exhibit "A". This easement is to run with ,
° the tand. The exact alignment and length of the trail will be determined in the
; field, in cooperation with the Grantor, and in consideration of engineering, cost, -
aesthetic, privacy, convenience and long-term maintenance issues. Location and , �
� screening relative to future development of the parcel will be of primary concern L(�
`! , _ to the Grantee in determining the fina[ alignment, design and constroction of the i�:; , •
trail. Final location of the trail will be surveyed, at the Grantee's expense, upon �:' #�
completion of construction, as per Paragraph 3; below. It is understood by the �.. � 't'=�
parties that this easement is to be for non-motorized use onty and that facilities a;� }
for, or management to encourage, motorized vehicles in the area is not to be part �`,
of any future development or management of the area except during construction I;� _ `

� 2. Grantee's Responsibititv: The Grantee will be responsibie for producing '

�� 3. Purchase Price: In return for the easement granted herein, [he Grantee
. r? will pay the Grantor the sum of$3,885.00 to be delivered to the Grantor upon
" ` final execution of this Agreement by the Pitkin Coanty Commissioners, following
Mu their consideration of this Agreement at two (2) regular pub]ic meetings, the ,,
o�r� second of which will include a Public Hearing.

�� 4. Use: The Easements granted by this Agreement shall be used for the !;:;;;�
, � ,'� purposes specified herein and for no other purpose. Further, Grantor shall have
• ,�° the right to use and occupy the Trail Easement for any purpose which is not
m.',,° inconsistent with Grantee's full enjoyment of the rights hereby granted.
�;,'� Specifically, Grantor will be allowed vehicular use along or across the Trail
�N Easement if the Easement crosses or overlaps the Grantor's vehicutar access to --
residences or facilities within the property. Further, the Grantor will be allowed
:� to cross the Easement with utility lines to the extent that such crossing will not � •
__ F interfere with Grantee's use of the Easement. Grantor will be responsible for
' restoring the Easement to its condition prior to disturbance subsequent to any
disturbance initiated by the Grantor.

`�� ' S. Maintenance of the Easements. Grantee shalI maintain the Easements
' ; in accordance with applicable standards. Grantee shall erect signage identifying .
� the facilities and explaining the location of and limitations upon tf�e Easements at
its expense.

6, Maintenance. Hold Harmless and Insurance. The parties expressly +t'
acknowledge that Grantor is entitied to the benefits, protection and limitations on "��; ,...

�Q (b) to add Grantor as a co-insured on any policy of liability insurance carried by :x;�
Grantee and insuring against such claims or losses. Grantee shall, on or before
o L January 1 of each year and annually thereafter furnish Certificates of Insurance
�;� and a copy of the policies to Grantor as verification of the acquisition and
„� maintenance of such insuranca. The policy shalt provide that, as to Grantor, the ;;�i :
�_ ��; policy shall not lapse,be cancelled,be amended or be modified�in any way unless ���`"
�� the insurance company shall have first given each of the parties thirty (30) days �`��
M written notice thereof at the address of each insured as provided herein. • `�'�

�� 7. Irrevocable Grant: This easement is perpetual and irrevocable. The
P a Grantor, however, may bring an action against the Grantee at any time seeking
� N to deny the Grantee's use of the Easement on the basis of improper use, trespass,
.... harassment or other violation of the terms of this Agreement. Should such action, :'':��
' o � be adjudicated in favor of the Grantor, the Grantor wiii be entitied to full ���`
, �� .o" reimbursement of legal and court fees by the Grantee. Should such action be
N� adjudicated in favor of the Grantee, the Grantee will be entitled to full
,�� reimbursement of legal and court fees by the Grantor.

8. Relocation. The parties resarve the right to relocate, at their
respective costs, the Easements to another location on the property of Grantor +1� •
`' which shalt be acceptable to both parties at any point in the future. The Grantee
-- _ reserves the right to relocate the easements to another location off of the property
of the Grantor at any point in the future. In the event of any relocation, the
Grantee will be responsible for reclamation and revegetation of the previously '��
�\ developed areas. In the event of relocation off of the Property, Grantor and
-` Grantee shall enter into a written release of this Agreement and record the same ,
in the real property records of Pitkin County.
� 9. Intearation and Modification of Agreement. This Agreement contains :�k
the entire understanding of the parties. There are no representations, warranties,
covenants or nndertakings other than those expressly set forth herein. This `'�
A�rcement may not be modified or amended except in writing signed by all the �-' ?�'-
