THIS ACREEMENT,made and entered into this S�Il day of December , 199G by �:��.: and between THE BOA2D OF COLJNTY COMMISSIQNERS OF PITKIN COUNTY, COLORADO (the "County"), and the ASPEN CHAMBER RESORT ASSOCIATION (the - "ACRA"),and the tenn of this Agreement shall expire on the�st day of ece e,1997. This Agreement shall be under the following terms and conditions;and �'�r ' , r:.� WHERGAS, Uie Cowity and the ACRA desire to provide for informationa! and other = ' "Guest Services"to tourists and air travelers to the Aspen and Snowmass area amving through the s. Aspe��/Pitkin Connty(Sardy['ield}Airport during the 1996-97 ski season;and i• � WH�REAS,ti�is agreement shal!only be binding between the parties provided that the ! Snowmass Resort Association and the Aspen S[ci Company each contribute revenue as provided for � , in Exlubit"C'; r �,` NOW.THEREPORE,the parties agree as follows: THE COUIYTY'S OBLIGATIONS ARE AS FOLLOWS: . l. To provide the ACRA access to an information desk in the arrivals/ba�ane claim area of tl�e commercial tarminal (attached as Exi�ibit "A"}, and all informational and directional signs,wliich iii the sole discretion of d�e Director of Aviation may be uecessary therefore, inside and outside the commerciai terminal building; 2. To provide a public address and pa�ing system witl� access throughout the terminai �; building,and a telephone system with three(3)dedicated lines; � 3. To provide four (4} hand-he(d transceiver radio sets and charger units, with one (1) , dedicated Airport frequency and one(1)County contact frequency; � 4. To ailow the ACRA employees provided for in this Agreement non-exclusive use of all public facilities located at the tenninal; � 5. To provide at least one(1)person from the County who shatl act as the County's authorized � represent�tive("point-of-contact")responsible for carrying-out all County obiigations,and assurine ACRA compliance with ob(igations set forth witlun iliis Agreement. Airport mana�ement staff and the Pitkin Comiry Sheriffs Department shall be reasonab(y available ' to provide suppoR and assistance to ACRA employees when necessary,especially in the � case of emergency and civil disturbance. To contribute thirty thousand ($32,518) towards the expenses of the Guest Services t � program for services specified herein.Payment will be made by the County to the ACRA in four(4)equal payments of eight thousand one-hundred dollars and fifty cenu($8,129.50), .f and those payments shall be due on or before: r.'�^ �:r r' . Payment 1 January 3.1997 Payment 2 February 1,1997 . - Payment 3 March l,1997 . Payment 4 December l,1997 � 7. To provide training and instruction for all ACRA Guest Services employees including: � airport rules and regulations, general airport orientation, airport security, and other applicable airport practices and standard operating procedures. �,. THE ACRA'S OBLIGATIONS ARE AS FOLLOWS: ` 1. To provide scope-of-work and services as follows(within the reasonable limitations of staff � " availability): . � a. To provide staff for the airport information desk for the purposes of: answering �� traveler questions, providing information and directional assistance, auswering " telephones,and providing public announcemendpaging services; � ` - Infoimation assistance shall include,but not be limited to:information on airline schedules, airline detays (when applicable), availabi(iry of ground transportation to and from the airport, baggage sen�ices and delivery, lodging accommodations, lift ticket and snow �' condition information,and other miscellaneous information pertaining to tourist amenities , and activities in the Aspei�/Snowmass area; • k b. To provide staff to circulate within the terminal building for the purpose of '� answering tiaveler questions, providing information and direction assistance, and �� facilitating conflict resolution; ! a To provide staff to be stationed at the"arrivaP'doors during air carrier deplaning operations to meet and greet deplaning passengers, answer traveler questions, provide infonnation and direction assistance, and discourage and/or report unautliorized access to secured areas; . ( , d. To be observant for those persons who may require medical assistance and to call _ for appropriate medicat assistance either ah that person's request,or as a result of an � _ obvious medical emergency; �,I � _ � . � �'}� . -. . e :.i' . .,� .,.. _ ..� .. _,,:� ,�. . To provide limited wheelchair and/or "hands-on" assistance to departing and/or � .� arriving handicapped or disabled passengers when necessary,at the request of the r �.. airline(s); - .:,; f. To the greatest extent possible,utilize the conrtesy phone system for d�e purpose of expediting passenger transportation to their lodge/accommodations; �. To receive and record all traveler complaints. All such complaints received shall be forwarded to the Office of the Director of Aviation and the President of the ACRA '� '?'' � on fom�s provided by the Director of Aviation. � h. To receive,record,and positively account for all"lost and found"items turned in to • ' ACRA and/or found in and around the commercial terminal building. All"lost and found"items shall be surrendered as soon as practicable to die Office of the Director of Aviation. 2. To provide rninimum standards of employee perfomiance,ACRA empfoyees shalL• � :.,t. v a. Promote among each other and maintain professionalism in 111 job aspects while �� engaged in Guest Services activities under this Agreement; � b. Not engage in any maruier in disputes or conflicts with airport travelers,the general public,building tenants,or other commercial vendors; c. [3e friendly.courteous and helpful to all airport havelers�uid the general public; . d. Be responsible in the initiation of hefp and assistance to all airport travelers and the general public to the greatest extent possible; c. e. Be required to dress"in uniforms"issued by the ACRA and to maintain appropriate personal hygiene�nd appearance suitable for a world-renowned,first-class resort; Unifonns shall be selected in coordination wit6,and input from the Director of Aviation. ACRA employees shall be required to dress in the issued uniforms during all duty liours. �; f. Assume relief from job responsibilities only during the periods identified for � employee"breaks",and only when approved by ACRA supervisory staff; � - g. Be required to maintain the security of tl�e airport manager's office when being used � Uy ACRA employees, and to be required to esercise ordinary and courteous �j cleanliness habits associated with said use. !' j� .. 3. Supervisory employees shall be responsible for supervising the work and perfonnance of all .' �' ACRA employees during each respective shift. To pro��ide at least one(1)person trom the ACRA who shall act as the ACRA's authorized �y �'•. representative ("point of contact") responsible for carrying-out all ACRA oblPgations set � `' forth���ithin this A;;reement. The ACRA's representative will commit the necessary hours �� per�eeek to �vork related to the Airport Guest Services prognm as set forth within this Agreement. . ._ .r 5. To provide training and instnaction for 1ll ACRA Guest Service employees including: k.�� Guest Service's personnel policies and regulations and basic airline operating procedures. ��`-: - Continnation of such training sh�ll be provided in writing to the Dii�ector of Aviation. • 6. The ACRA's representative sliall submit a written status report of the Guest Service r�:� program to the Director of Aviation.or his authorized representative,on a monthly basis. 1'his report may be the same as that provided to the President of the AC24,i.e.,number of � visirors assisted,telephone calls answered,wheel chair assists,etc. 7. To be solely responsible to compensate and provide benefits for ACRA employees 1�I'; provided for under this contract.based on ACRA personnel policies. r� � 8. ACRA(including, by definition here and hereinafter, its officials,employees,agents and ' representatives, SLIUCOl1Ili1CIOCS a��d suppliers), shall and hereby does release, dischazge, indemnify and hold harntless the County of Pitkin and its officials,empbyees,�agents u�d representatives from and agaii�st liability for any claim, demand, foss,damages, penalty, '3` judgmen�expenses, costs (including costs of investigation and defense), fees (including reasonable attorney and expert �vitness fees) or compensation in any Fonn or kind � whatscever for any bodily injury,death,personal injury or property damage arising out of or in connection with any neglibent act,intentional act,error or omission by ACRA,and for any consequential liability alleged to accnie against the County wi accouut of ACRA's acts, errors or omissions;provided,however,that such indemnity shall not be constnied as an indemnity for bodily injury or property damage arising from the sole negligence of the County or its employees. � 9. To provide worlanan compensation insura��ce in the limits required by law, commercial liability insurance, personal injury,and propeRy damage insurance with limiu of ai least � $I,000,000 per occurrence for public liability, and $1,000,000 for propeRy damage. , Satisfactory evidence of all such insurance in the fonn of a certificate of insurance must be ,;�, , provided to [he County. In the event the prog��am is not continued the following year,such residual monies shall be refiinded to all parties who have contributed such monies,in proportion to each party's contribution for that year,within ten(10)days from the date thai the decision to ' aot continue the program is made and agreed upon i l 5. The ACRA,its ageius or representatives,and employees shall comply widi all County and Airport rules and regulatioris and directives as reasonably promulgated by the County. l6.
