pa �>° 1. Larry Vaughn Darien and Dana M. Darien (the "Grantors") conveyed a conservation
� � � �[ easement on 8$.98 acres or the Darien Ranch to the ��Board of County Commissioners of
w �; M � Pitkin County(the "County") and Aspen Valley Land Trust(the "AVLT")recorded on

w �;; o � 10/6/2008 at reception number 553378 in the land re�cords of Pitkin County and on
� � � -' 7/30/2008 at reception number 585493 in the land re�cords of Gunnison County (the
"Easement").
`�, � 2. Paragraph 7.17.B of the Easement states;
�� '��, Grantor reserves the rig�it to install and grant an ea�sement for aboveground
� telecomm�nications and power lines within the "Proposed 20'Electric Easement"as
� shown orr Exhibit B for private residential use of larrd adjacent to the Property that is not
� encumbered by conservation easement. Grantor sh�2ll not�Grantee prior to exercdsing
� this right, shald not remove any trees fi�om the Property for such purpose without
� Grantee's prior approval. Any changes in the pr•op�osed location of this easement shall
� � be approved by Grantee prior to installation.
` � 3. On 8/19/2010, the Pitkin County Open Space and Trails Board (OSTB) adopted a policy
�Z on Conservation Easement Amendments that provides a framework to analyze when and
� � why an ainendment to a conservation easement may be warranted. Within this policy,
� amendments consistent with the conservation purpase and are "substantially equivalent to
� or enhance the resource values" is listed as a legitimate circumstance for amendment.
� � 4. On Februar 15 2012 the Count received an ameridment re uest from AVLT and the �

� � Grantars to increase the width of the Proposed 20' Electric Easement to 30' and reduce
� the length from 215' to 165' and remove a utility pole by moving the alignment east of
� the reserved alignment. AVLT approved this amendment at a regular meeting of the
� AVLT Board of Directors, held February 7, 2012.

`, .� 5. On March l, 2012,the OSTB recommended the amendment of the Easement for the
� � following purposes; 1.) Moving the alignment, 2.) Increasing the width to 30', 3.)
� �' Reducing the length to 165', and 4.)Removing the utility pole of the Proposed 20' Utility

� NOW, THEREFORE, BE IT ORDAINED by the Board of County Commissioners of Pitkin

THIS FIRST AMENDMENT TO D� OF CdNSERVEITION EASEMENT ("First
Amendment"} is executed tl�is � day of �' 20I2 �+y LARRY VAUG_HN DARI�.E�1 AND
DANA M. D�IRIEN) ("Grantor"), and ASPEN VALLEY LAND TRUST, a Colarado nonprofit
carporation, having offices at 3Z0 Main St., Suite 204 Carbondale CU 81623 (the "Trust�'), and
the BOARD OF COUNTY COMMISSIQNERS OF PITKIN COUI�ITY, Colorado, a bady
corporate and poiitic, having its address at S30 E. Main St., Ste_ 301,Aspen Colorado 81b11 (the
"County"). The Trust and the County are collectively referred to as "Grantee", and Grantor and
Grantee are collectively referred to as the "the Parties".

RECITALS:
WHEREAS, on July 20, 2008, Grantor granted a. Deed of Conservation Easement to
Grantee over and across 8898 acres of certain real propea-ty o��ned by Grantors on the Darien
Ranch in Gunnison County, which Deed of Conservation Easement was recorded in the real
property records of Gunnison County on July 30, 2008 at Reception No. �35=�93, and in Pitkin
Caunty on October 6, 2008 at Reception No. �5337$ (the"Easement"}:
WIIEREAS, the Easement was funded in part by Great Outdoors Colorado, which has
provided�vritten approval of this First Amendment on f Ie at the offices of the Grantee;
WHEREAS, the Parties no��v intend to amend the Easement to change the location and
width of ihe "Praposed 20' Electric Easement" referenced in Section 7.17. B oF the Easetnent, and
depicted on Exhibit B, in order provide for a 30-foot wide easement that will resulf in less ground
disturbance than tlle original easement. `I'he Parties may amend the Easemenf pursuatlt to Section 2I
"Amendment" of the Easement, which section permits amendment to tlie Easement when such
amendment have a positive or neutral impact to the Conservation Values, is consistent �vith the
purpose of che Easement, does not affect its perpetual duratian, does not affect its qualification
pursuant #o Colorado's conservation easement enabling statute C.R.S. �38-30.�-101 et seq., and
is recorded in the o�cial records of Pitkin and Gunnison Counties.

NOW �HEREFORE, in consideration Qf the mutual covenants contained herein, the
Parties hereby agree to amend the Easement as follows:
1_ Section 7.17. Utilities and Easements: Paragraph B under Section 7.17 of the Easement
is hereby replaced with the following paragraph and amended to read in total:
$. Grantor reserves the right to install and grant an easement for above-ground
telecommunications and power lines with in tl�e "Proposed 30' Electric
Easement," as shovvn on Exhibit B and Exhibit F, for priva#e residential use
of land adjacent to the Properiy that is not encumbered by conservation
easement. Grantor shall notify Grantee prior to exercising this right, and shall
not remove any trees from the Property for such purpose without Gzantee's
�:-io:a�grQ���. Any �han�es �n the prop�s�� �4C3t:CIl Of�':15 21t1It;r easement
shall be approved by Grantee prior to installatian.
2. EYhibit $. Survey of the Property. Exhibit B of the Easement is hereby
superseded and replaced with the Exhibit B attached hereto.
3. Exhibit F. Survev of UtiIitv Easement. A survey of the utility easement described
in Section 7.17.B of the Easement, as amended, is hereby added to and included
in the Easement, as attached hereto.
4. FuII Force and Effect_ Except as madified and amended by this First
Amendment, the Easement, and the terms and canditions contained in the
Easement shail remain in full force and effect.
