AND FINDING THAT THE NEGATIVE COVENANT SATISFIES THE INTENT OF
CONDITION#3 OF RESOLUTION NO. 109-2001

RECITALS
1. Pursuant to Resolution No. 109-2001,the Board of County Commissioners(`BOCC")
granted the following approvals to the Two Mile Ranch Management Trust LLC("Applicant') in
order to construct eight new single family residences:
=> 1041 Hazard Review and Conceptual Submission to establish building envelopes;
GMQS Exemption to replace one legally established dwelling unit,the 1950s Natal residence
(demolished in 2000),with a new residence for the ranch manager of up to 5,750 square feet of
floor area within Building Envelope 4;
GMQS Exemption for one additional single family unit of up to 5,750 square feet of floor area
within Building Envelope 1 via the designation and restoration of the original,historic Natal
residence;
z:> GMQS Exemption and Special Review to establish Building Envelopes S 10 as TDR receiver
sites.
2. At the time of the approval,the property existed in four separate, legal parcels. The
Applicant represented that the prior subdivision of the property would bevacated, so the property
would exist as one 245 acre parcel of land.
3. Said parcel is located on Woody Creek Road approximately 3.5 miles from the intersection
of River Road and Woody Creek Road,and is more specifically described in Exhibit A.
4. Subsequent to the approval,the Applicant determined that it was preferable to maintain the
prior subdivision for real property tax purposes, and requested that the BOCC determine that the
prior approval was still valid if the property existed in four separate parcelsinstead of one parcel as
represented.
5. The Applicant also requested that the BOCC determine that the proposed Negative
Covenant(attached as Exhibit B)satisfies condition#3 of Resolution No. 109-2001,which requires

the Applicant to record a document acceptable to the County Attorney restricting the property
against any further subdivision or condominiumization.
6. The BOCC considered the request to interpret Resolution No. 109-2001 at a regular
meeting on August 8,2001,at which time evidence and testimony were presented with respect to
the request.
7. The BOCC finds that the terns of the Negative Covenant,which addresses ownership
and future division of the property, satisfies the intent of Resolution No. 109-2001.
NOW,THEREFORE,BE IT RESOLVED by the BOCC that the proposed Negative
Covenant,which addresses ownership and future division of the property, satisfies the intent of
Resolution No. 109-2001, shall be accepted in a form that is satisfactory to the County Attorney
and shall be recorded against the property.

THE UNDERSIGNED, Two Mile Ranch 1, LLC and Two Mile Ranch 11, LLC, both
Colorado Limited Liability Companies (collectively "Two Mile"), being the owners in fee simple
of the real properly described in Exhibit. A hereto (the "Real Properly"), free and clear of all liens
and encumbrances, for and as their voluntary act and not conditioned upon or in consideration of the
approval granted to them by the Board of County Commissioners of Pilkin County, Colorado
("BOCC"), by the BOCC's Resolution loh- 2d°t ("Approval"), hereby makes and imposes
upon the Real Property the following covenant, promise and agreement ("Negative Covenant"):
Notwithstanding the fact that the Real Property consists of four (4) separate legal
descriptions, two (2)of which arc held in the name of Two Mile Ranch 1, LLC and two (2)of which
are held in the name of Two Mile Ranch 11, LLC, each of them agree that for all purposes related to
the land use regulations of the Real Property by Pitkin County,Colorado that the Real Properly will
be considered to be one (1)parcel of land, and that the same shall constitute four(4)parcels only as
tax parcels assessed by the Pitkin County Assessor for real property tax purposes.
At no time in the future shall Two Mile, or either of them in any manner subdivide or
condominiumize the Real Property,whether under the Pitkin County Land Use Code, the Colorado
Common Interest Ownership Act, ("CCIOA") or the Colorado Condominium Act, or State of
Colorado statutory law(or exemptions thereto)as in effect at present or as the same may be hereafter
be amended, under any law or proceeding permitting the subdivision of real properties,by partition
or otherwise.
Two Mile represents that the Real Property is not and will not be made into a common
interest community as defined in CCIOA.Two Mile acknowledges that this Negative Covenant has
been entered into by them voluntarily and without requirement on the part of the BOCC and not as
a condition of the Approval granted pursuant to the Resolution above referenced; and further
acknowledges that the Approval was granted in the BOCC's discretion and was not a mandatory act
by the BOCC. Two Mile further acknowledges that the denial of the approval by the BOCC would
not have been arbitory, capricious or an abuse of discretion by the BOCC.
The Negative Covenant contained herein shall be permanent in nature and shall not expire
with the passage of time or upon the occurrence of any event.
The Negative Covenant herein made shall be enforceable by the BOCC on behalf of Pitkin
County. Colorado; and, in any action brought to enforce the Negative Covenant herein made, the
prevailing party therein shall be entitled to the award of its or their reasonable attorney's fees and
costs in addition to any other relief to which said prevailing party shall be entitled.
In the event of the sale of the Real Property, such sale shall be subject to the Negative
Covenant; however, upon such sale Two Mile shall be released from any claims or obligations by
any party on account hereof.

Any proposed modification of this Negative Covenant shall require the formal approval by
the BOCC for whose benefit, among others, it is made,which approval may be granted or withheld
