work or purchase covered by the Contract Document titled Pitkin County Courthouse and

Proposal Form is fair, equitable and to the best interest of the Owner, the offer in your

THIS CONTRACT, made tlus 20th day of September 2013;byand between the Board of
County Commissioners of Pitkin County, Colorado, (hereinafter called tlte "County") and Hurst
Roo�ng & Construction Co. 703 Nugget Drive, Fruit, Colorado 81521 (970) Z50-8384
(hereivafter called the "Contractor") to perfoim the Pitkin County Courthouse and Library
Roof Replacement(s) ("Project").
I. `1'erm of Contract.The term of this contract is from September 25, 2013 to August 1, 2014.

c. Install a single layer of 1.5 "Isocynurate insulatiou to north entry roof deck area,
attached with mechanical fasteners.
d. Install a single layer of HD-WF board insulation to all roof areas(included

retainage plates,to achieve an I-90 wind-uplift rating.
e. Install a uew tapered insulation sumps at all drain areas;to achieve smooth,
caisistent and positiVe drainage of all roof areas to existing drains. Provide.

A. Payment Procedures.
I. Contractor shall submit applications for payment eveiy 30 Days for work
done to date.
2. Progress payments,
a. County shall make progress payments, within tlilirty (30) days of
Counry's approval of Contractor's pay requesL
b. Tf Contractor is satisfactorily performing this Contract, progress
payments shall be iu an amount equal to ninety percent (90%) of the calculated
value of any Project work completed, less the aggregate of payments previously
made unYil fifty percent (50%) of the Project work required by this Contract has
been performed. TliereaRer, County shall pay all remaining progress payments
and maintaiq only euistiug retainage if, in the opinion of the Procurement Officer
and County, satisfactory progress is being made on the Project. If, in the opinion
of the Procurement Officer,and County, satisfactory progress is not beuig made
' on the Project, or if ciaims are filed under Section 38-26-107, Colorado Revised
Statutes, as amended, County may retain such additional amounts as County may
deem necessary to assure complerion of the Project or to pay such claims and any '
Procurement Officer's and attorney's fees reasonably uici�rred or to be inct�n�ed
by Couuty in defending or handling such claims. The withheid percentage of tUe
Cont��act Price shall be retained until the Project is completed satisfactorily and
finally accepted by County iii accordance witli the provisions of this Contract.
Progress payments shall not constilute final acceptance of the Project.
B. County shall make fwal payment, includ'u�g release of retainage, to Contractor in
accordance with tlus Contract and Section 38-26-107, C.R.S. and Section 24-91-103, C.R.S., as
amended.
IV. Contractor's Oblieations.
A. Supeivision and Superintendence.
l. The Contractor shall supeivise and direct the Project competently and
efficiently devoting sucl� attention diereto and applying such skitis and expertise as may
be uecessary to perform the Project in acca•dance with this Contract The Contractor
shall be solely responsible for the means, methods,teclmiques, sequences and p�rocedures .
of construction. The Contractor shall be responsible to see Yhat the fmished Project
compiies accurately with this Contract.
2. The Conh•actor shall appoint and identify to the County and Procurement
Officer, a competent on-site superintendent to be kept on the Project at all times during
its progress and who shall not be replaced without written notice to the County and the
Procurement Of.ficer except ander extraordinary circumstances. The superintendent will
bG the Conh�actor's representative at the site and shall have authority to act on behalf of
the Contractor. All communications given to the superintendent shatl be as binding as if
given to the Contraetor.

B. Subcontractors, Suppliers and Others.
1. The Contractor shall not employ any subcontractor, supplier or other
peison or organization (including those acceptable to tlie County and the Procurement
Officec, whether initially or as a substilute) against whan the County or the Procurement
Officer may have reasonable objection.
2. The identiry of subcontractors, suppliers or oflier persons or organizations
including those who are to furnish the pruicipal items of materials and equipment must be
submitted to the County in advance of any work performed or materials supplied under
this Contract for acceptance by the County and the Procurement Officer. No acceptance
Uy the County or the Procurement Officer of atty sucl� subcontractor, supplier or other
person or organization shall constitute a waiver of any right of the County or tlie
Procucement OfFcer to reject defective Project work.
3. Tl�e Contractor shall be fully responsible to the County and the
Procurement Officer for all acts and omissions of tlie subcontractors, supplieis and other
persons and organizations perfoiming or fumishing any of the Project work under a direct
or u�direct Conhact with Contractor just as Contractor is responsible for Contractor's own
acts and omissions. Notlung in tlus Contract shall create any Contractual relationship
between the County or tlie Procurement Officer and any such subcontractor, supplier or
other person or organization, nor shall it create any obligation on the part of the County
or tha Procurement Officer to pay or to see to tUe payment of any moneys due any such
subcontractor, supplier or other person or organization except as may ofherwise be
requ'vcd by laws and regulations.
4. All Project work performed for Contractor by a subcontractor will be
pursuant to an appropriate Contract Uetween the Contractor and the subcontractor which '
specifically binds the subcontiactor to the applicable terms and conditions .of this
� Contract for the benefit of the County and tlie Procurement Officer.
C. Patent Fees and Royalties. The Contractor shall pay all license fees and royalties
and assume all costs incident to dieir use in the pei�formance of the Aroject or the incorporation in
the Project of any invention, design, process, product or device which is the subjecf of patent
rights or copyrights held by others. Contractor shall indemnify and hold haimless the County
and the Procurement Officer and anyone d'u•ectly or indirectly employed by either of them fi•om
and against all claims, damages, losses and expenses (including attoruey's fees and court costs)
arising out caf any infi•ingement of patent rights or copyrights incidental to the use in the
perfoimance of the Project or resulting fran the product or device not specified in this Contract,
and shall defend all such claims in connection with any alleged infringement of such rights.
D. Permits, Unless otherwisa provided in this Contract, the Contractor shall obtain
and pay for all constiuction permits and ficenses. The Counry shall assist the Contractor, when
necessary, in obtaining such permits and licenses. The Contractor shall pay all goveivmental

charges and inspecrion fees necessary for the prosecution of the Project. The Contractor shall
pay all chazges of utilities for connecfions fo the Project, and the County shall pay ail charges of
such utility owners for capital costs related thereto such as plant inveshnent f8es.
E. Laws and Regulations. The Contractor shali ba familiar with and sl�all comply
with all federal, state, and local laws, ordinances, rules, and regulations appficab(e to fiiivishing
and perfotmance of the Project inclnding rules, regulations, and ordinances the County
promutgates at any time. Except where otherwise expressly required by applicable laws and
regulations, neither the County nor the Procurement Officer shall be responsible for monitoring
the Contractor's compliance with any Laws or Regulations.
F. Taxes. Tlte Contractor shall pay all existing and future applicable federal, state and
local sales, consumer, use aud other similar taxes whether direct or indirect. Federal excise tax
may not apply to materials purchased by ihe County. Tlie Contract price shall iuclnde all other
federal, state,and/or local direct or ind'u•ect taxes, whieh do apply.The Coutract price shall include
the cost of compliance with all other Federal Laws and Regulations at no additional cost to the
Couuty(except as provided i�� this Contracf). The Contractor shall not be reimbursed separately for •
any taxes, which may apply except as provided in this Contiact, and the Contractor shall be
responsible for all ta�ces, which may apply. The County is tax exempt fi•om Federal Excise Tax and
Colorado State or local saJes or use taxes. The Contracta• and its subcontractors shall apply to the
Colorado Department of Revenue for a Certificate of Exemption indiaating that the Contractor or
subcontractor's pw•chase of construction material or building materials is for use in a building,
stiucture,or other public work owned and used by t(ie County.
G. Use of Premises.
1. The Contractor shall confine constiuction equipment, the storage of
materials and equipment and the operations of workers to the Project site and land and
areas permitted by this Contract, law, ordinatices, and permits. Tl�e Contractor shall
assume full responsibiliTy for any damage to any such land or area, or to the County or
occupant ihereof or of any ]and or areas contiguous theretq i•esulting from the.
perfoimance of the Project. Should any claim �e made against the County or the
Procw�emeut Officer by any such owner or occupant because of the performance of the
ProjecY, Contractor shall prompfly settle with such other party. The Contractor shall, to
the fu(lest extent permitted by Laws and Regulations, indemnify and liold the County
harmless from and against al1 claims, damages, losses and expenses (inetuding, but not
limited to, fees of engineers, architects, attorneys and other professionals and court costs)
arising directly, indirectly or consequentially out of any action, legal or equitable,
brought by any such other parfy against the County or the Peocurement Ofi7cer to the
extent based on a claim arising out of the Contractor's performance of the Proj�ct.
2. During the progess of the Project, the Contractor shall keep the premises
free from accumulations of waste materials, i�bbish and other debris resulting from the
Project. At the completion of the Project, the Contractor shall �•emove all waste
materials, rubbish and debris from and about the premises as well as all tools, appliances,

consfruction equipment and maclunery, temporary structures, stumps or portions of trees,
and surplus materials, and shall leave the site clean and ready for occupancy by the
County. The Confractor shall restore to origu�al condition all properiy not designated for
alteration by this Contract.
3. The Contractor shall not load or peimit any pait of any structure to be
loaded in any manner that will endanger the st�vcture, nor shal! the Contr•actor subject
any part of the Project or adjacent property to stresses or pressures that will endanger it.
H. Safety and Protection.
1. The Conh•actor shall be solely responsible for initiating, maintaining and
supervising all safety precautions and programs in connection with the Project. The
Contractor shall take all necessary precautions for the safety af, and shall provide the
necessary protection to prevent damage, uijury or loss to:
a. Al1 employees in the Project area and other persons and
orga�iizations who may be affected thereby;
b. All the Project materials and equipment to be incorporated therein,
whetlier in storage on or off the site;and
c. Other property at the site. or adjacent thereto, including hees,
sluubs, lawns, walks, pavements, road-ways, sti�uctures, utilities and underground
facilities not designated for i•emoval, reiocation or replacement in tlie course of
construction,
The Contractor shatl be requu•ed to assame sole and complete responsibility for
job site conditions during the course of construction of the Project, including the safety of
all persons who tuay euter on the job site for any reason and the security of all property
located on the job site. This requirement shall apply at all times during the courses of the
Contract and not only to normal Project work hours. .
2. The Contr�actor sl�all at all timcs conduct the Project in such manner as
wiil incur the least pi•acticable interference with traffic and existing utility systems. No
section of any road shatl be closed to the public, uoc any utility system put out of service
except after permission, has been granted by the Procurement �fficer. Each item of the
Project shall be prosecuted to completion without delay and in no instance will the
Conhactor be pernutted to transfer its forces from an uncompleted Project to a new
Project without prior written notification of the Contractor to the Proeurement Officer.
Unless this Coutract specifically provides for tt�e elosing to Yraffic of any loca!
road or highway while construction is in progress, such road or highway shall be kept
open to all h�affic by the Contractor. The Contractor shall also provide and maintain in a

lvghways. The Contractor shall Uear all expense of mauitaining traffic over the section of
road affected by the Project to be done under this Contract, and of constnicting and
maintauting such approaches, crossing, intersections and any necessary features without
direct compensation,except as otherwise provided.
The Contractor shall provide, erect and maintain all necessary barricades, signs,
danger signals and lights to protect the Project and the safety of the public. The
Contractor's responsibility for necessacy banicades, signs, aud lights shall not cease until
the Project lias been accepted.
I. Shop Drawings and Samples.
1. After checking and verifying all field measurements and after complying .
with applicable procedures specified in this Contract, tlie Coutractor shall submit to tlie
Procurement Officer for review and approval in accordance witli the approved scliedule
of shop drawing submissions, tluee (3) copies (imless otherwise specified) of all shop
drawings, which will bear a stamp or speciftc written indication tl�at the Contractor has
satisfied.the Contractor's responsibilities under this Coutract with respect to the review of
the submission. All submissions will be identified as the Procurement Officer may
requue. The data shown on the sl�op drawings will be complete with respect to
quantities, dimensions, specified performance and design criteria, materials and similar
data to enable the Procurement Officer to review the information as required.
� 2. The Contractor shall also submit to tlie Procurement Officer for review
and approval witli sucU promptness as to cause no delay in Project, all samples required
by this Contract. All samples will have been checked by and accompanied by a specific
written indication that the Contractor has satisfied the Contractor's responsibilities under
this Contrnct with respect to tlie review of the submission and will be identified clearly as
to material, supplier, pertinent data such as catalog nwnbers and the use for wluch
intended.
3, Before submission of each shop drawing or sample, the Contractor shall
liave determined and verified all quantiNes; dimensions, specified performance criteria,
installatio�� requirements, materials,. catalog numbers and sinular data. with respect
thereto; and reviewed or coordinated each shop drawing or sample with other shop
drawings nnd samples and with the requirements of the Project and tlus Contract.
4. At the tnne of each submission, the Contractor shall give the Procurement
Officer specific written notice of eacl� variation that the sl�op drawings or samples may
have from tl�e requiremeuts of this Contract, and, in addition, shall cause a speciFic
notation to be made on each shop drawing submitted to the Procurement O�cer for
review and approvsl of each such variation. '

5. Wliere a shop drawing or sample is requued by the specifications, no
related Project work shall be commenced prior to the Procurement Officer's review and
approva(of Uie shop drawing or samples.
6. The cost of furnishing a(1 shop drawings and samples shall be bome Uy
Conhactor.
V. Performance and Payment Bond.
A. Contracror shall furciish a pei�formance and payment bond in the amount of one
half of the total Contract value for all Contracts over$50,000,as required by C.R.S. § 38-26-105,
et seq. All Bonds shall be in the forni acceptable to the County. All Bonds signed by an agent
must be accompanied by a certified copy of the authority to act.
B. If the surety on any Bond fumished by Contractor is declared bankivpt or
becomes insolvent or its right to do business is teiminated in any state or it ceases to meet the
requirements of paragraph A of this Section, Contractor shalt within five (5) days thereafter
substihtte another Bond and Surety, both of which must be acceptable to the County.
VI. L�demni .
A. The Conhactor agrees to indenmify, hold harmless and, not excluding the County's
right to participate, defend the County, its subsidiary, parent, associated and/or affiliated entities,
successors, or assigns, its elected officials, trustees, employeesr agents, volunteers, and a��y
jurisdiction or ag8ncy issuu�g permits for any work u�ciuded in the project,hereuiafter referred to as
indemnitee, from all suits and clauns, including attorney's fees and cost of litigation, actions,�loss,
damage, expense, cost or clauns of any character or �uiy nature arising out of the work done in
fulfiliment of the terms of flus Couhact or on account of any act, claim or a�nount arising or
recovered under workers' compe�vsation law or arising out oF the failure of tl�e Contractor to
conform to auy statutes,mdinances, regulation, law or couit decree. It is agreed that the Conhactor
will be respotuible for prunary loss investigation, defense and judgment costs where this contract of
indemnity applies. In consideration of the award of tivs contract, the Contractor agrees to waive all
rights of subrogation against the County its subsidiary, parent, associated and/or affiliated entides,.
successors, or assigns, its elected officials, trustees, employees, agents, and voluntee�s for losses
arising from the wa•k peiformed by the Contractor for the Cowity.
B. The Contractor further shall investigate, process, respond to,adjust,provide defense
for and defend, pay or settle all claims, demands, or lawsuits related hereto at its sole expense and
shall beaz• al( other costs and expenses related thereto, even if tlie claim, demand or lawsuit is
g•oundless,false or fiaudulent.
VII. Insurance. Contractor and subcontractors shall procure and maintain until all.of their
obligations have been discharged, including any warranty periods under tlus Contract are
satisfied, insurance against claims for injuty to persons or damage to properiy which may arise
from or in connection with the performance of the work hereunder by the Contractor, its agents,

Thc insurance requirements herein are minimuui requirements for tlus Contract and in no way
limit the indemnity covenants contained in this Contract.
The County in no way warrants that tlie minunum limits contained herein are sufficient to protect
tl�e Contractor fi•om liabilities that might arise out of the perfonnance of the work under this
Contract by the Contractor, its agents, representatives, employees;or subcontractors. The
Contractor shall assess its own risks and if it deems appropriate andlor prudent,maintain higher

B. Proof of Tnsurance:
1. Each insurance policy required by the insurance provisions of this
Contract shall provide the required coverage and shall not be suspended,voided or
canceled except after thirty(30)days prior written uotice has been given to the County,

Address). If the insurance carrier will not provide the requu•ed notice, the
Consultant/Contractor and or its insurance broker shall notify the County of any
cancellation, or reductiai in coverage or limits of any insurance within seven(7)days of
receipt of ins��xers' notification to that effact.
Simultaneously with tlie Certificates of L�surance, the Contiactor sliall file with the
Procurement Officer a certified statement as to claims pending against the required
coverages, reserves established on account of such claims, defense costs expended and
amounts remauilng on policy limits.
2. In addition,these Certificates of Insurance shall contain the following clauses:
a. The conhactor's insurattce shall be primary and non-contributory
witti any insucance or self insucance pui�chased by the Coui�ty.
b. The iusurance companies issuing the policy or policies hereunder
shall liave no i�ecourse against the County of Pitkin for payment of any
premiums or for assessments under any foim of policy.
c. Any and all deductibles or self insured retentions ni the above- �
described ivsurauce policies shall be assumed by and be for the amount of,
and at the sole expense of ihe Conteactor.
d. Location of operations shall be: "al( operations and locations at
which work for the referenced Project is being done."
3. Certificates of Lisurance for al]renewal policies shal] be delivered to the
County's Representative at least fi8een(15)days pria•to a policy's expiration date except
for any policy expiring on tlie expiration date of tlus conh�act or iliereafter.
4. The County reserves the right to request and receive a copy of any policy
and any po(icy endorsemeut at any tune duiing the teim of this coutract.
VIII. Exem�tions and Preferences.
A. All purchases of conshvction or building or any oUier materials for any Contract
shall not include Federal Excise Taxes or Colorado State or ]ocal sales ar use taxes, Pitkin
County is exempt from such taxes.under registration numbers 98-02624 and 84-78000-SIC.
B. Pursuant to state statute and to the extent permitted by law, Colorado labor shall
be employed to perForcn the Project to the extent of not less than eighty percent (80%) of each
type or class of labor emp(oyed on such project; except for highway construCtion, which is
subject to C.R.S. § 43-2-208, which provides tl�at all laborers shal! be bona fide residents of
Coloi�ado with a preference to residents of the County wl�ere the Project is perfoimed.
IX. Protection and Restoration of Property and Landscape�Hazardous Materials.

A. Protection and Restoration of Property and Landscape.
l. The Contractor shall be responsible for the preseivation of all public and
private property and shall carefully grotect &om disturbance or damage all land and
prope�ty, as well as any monuments and property marks uutil tl�e Procurement Officer
has wiinessed or otherwise referenced their location and shall not remove them until
directed.
2. 'Phe Conhactor shall be responsible for all damage or injury to property of
any character, during the prosecution of the Project, resulting from any act, omission,
neglect, or misconduct in its mannar or method of executing the Project, or at any time
due to defective Project work or materials, and said xesponsibility shall not be released
until the project shall have been completed and accepted.
3. When or where any direct ar ind'uect damage or iujury is done to public or
private property by or on account of any act, omission, neglect, or misconduct Uy the
Contractor in tl�e executiou of the Project, or n�consequence of the non-execution theceof
by the Contractor, it shall cestore,at its own expense, such property to a condition sinillar
or equal to that existv�g before such damage or injuiy was done, by repairing, rabuilding,
or oilierwise restoring as may be directed, or it shall make good such damage or injuiy in
an acceptable mamier.
4. Materials storage, e�uipment parking, vehicle parking and stockpiling
excavated materials shall be a(lowed orily in those areas designated by the Pincureinent
Officer.
5. If the Contractor disturbs any of the landscape not called for removal, it
shall restore tvose areas as directed Uy the Procm•ement Offcer_at the Contractor's
expense. ,
B. Hazardous Materials
1. The County shaH not be responsible for the cost of and the removal or
cleanup of Hazardous Materials found in any materials brought to the Project site, after
the Project site is turned over to the Contractor.
2. The Contractor shall provide the Procurement Officer witli a written
certification each time materials or equipment is brought onto the Project site that such
materials or equiptnent do not contain Hazardous Matexials.
X. Count�Work at the Proiect 3ite.
A. Tl�e County may perform other work refated to the Project at the site by the
County's own forces, have other work perFormed by u61ity owners or let other d'u•ect contracts

therefor which shall contain terms sunilar to these. The Coiitractoi shall perfo��m and coordinate
its activities with other coniractors to avoid conflict and mininuae disruptions.
B. The Contcactor shall afford each vtility ovmer and other conuactor who is a party
to such a direct contract (or die County if the County is performing the additional work with the
County's employees) proper and safe access to tlte site and a reasonable opportunity for the
intraductioii and stoi•age of materials and equipment and the execution of such woik, and shall
properly co�mect and coordinate the work witli theirs. The Contractor shall do alt cutting, fitting
and patching of the Project that may be required to make its several parts come together properly
and integ�•ate with such other work. Ttie Contractor shall not endanger any work of others by
cutting, excavating or otherwise altering their work and will only cut or alter their work witli the
written consent of Procurement Officer and the others whose work will be affected. The duties
and responsibilities of Contractor under this paragraph are for the benefit of such utility owners
and other contractors to the eztent that there are comparable provisions for the benefit of the
Contractor in said direct coniracts between the County and sucl� utility owners and other
contractors.
C. If any part of the Contractor's Project depends for proper execution or results
upon the work of any such other contractor or utility owner (or the County), the Contractor shall
inspect and promptly report to tUe Procurement Offcer in writing any delays, defects or
deficiencies in such work that render it unavailable or unsuitable for such proper execution and
results. The Contractor's failure to report such conditions will constitute an acceptance of d�e
other work as fit and proper for integration with the Contractor's Project except for latent or non-
apparent defects and deficiencies in the other work.
�I. Chanees in the Proiect aud Use of Change Orders.
A. The County may, from time to time, request changes in the scope of services of
the Contraetar to be performed hereunder.
1. The Procw•ement Officer shalf issue a notice informing Uie�ontractor of a
' planned change in the Piroject and requesting the Contractor's detailed price proposal and
adjusted schedide of work. The Contr•actor shall submit a priced proposal for performing
the proposed ehange in die Project within five (5) days of notice or such other tiuie
accepta6te to both parties. When the Contractor and the County reach agreement on the
adjustments to the Contract price and/or Contract time, and changes in the Project, such
adjushnents shall be promptly recorded 'u�an executed Change Order.
B. All Contractor initiated change requests shall be submitted to the County and the
Procurement Officer in a ]etter or written norice with the reference notation "Contractor Change
RequesP'. If the Conhactor: (i) receives any oial or wxitten instnactions, directives or
interpretations of Contract Documents, or determinations &om tl�e Procurement Officer or, (ii)
identifies what it believes are design en•ors or omissions in the Contract Drawings or
Specifications, or (iii) encounters a differing site condition; or, (iv) is delayed in Ehe progress of
the Project; or, (v) becomes aware of any other matter or circumstance which it believes would

require a change in the Contract Price or Contract Time, tlie Conh•actor shall give the
Pt'ocucement Officer prompt written notice of such matters.
1. All Contractor change requests shall be dated, n�unbered sequentially, and
shall describe the action or event wluch the Conhactor believes inay requixe an extension
in time, price or other modification. Tbe Contractor sha1S also provide descriptions of
possible ConU�actor actions or solutions to minimize the cost of the Contractor change
request and, provide an estimate of the adjustment in the Contract price and(or Contract
tune,which it believes is appropriate,
2. Contractor Time Requirements.
a. With respect to orders, instructions, directives, interpretations,
determinations, or the discovery of any eu•ors or omissions in this
Contract, a Contractor change request shall be submitted before the
Contractor acts on tliem, but in no event more than ten (10) consecutive
calendar days a8er they were received or discovered.
b, With respect to any differing site conditions, a Conh•actor change
request sl�atl be submitted before the conditions are dishu•bed, but in no
event more than ten(10)consecutive calendar days after the conditions aee
first discovered.
c. With respect to delays, a Contractor change request shall be
submitted as soon as the Contractor l�as knowledge of the delay, but in no
event more than ten(10)consecutive calendar days therefi•om.
d. Witl� respect to any matters or circumstance wluch the Contractor
Uelieves would require a change, including delays, a Contractor cl�ange
request shall be submitted as soon as tha Contractor has knowledge of the
matter or circumstance, but in uo event more than ten (]0) consecutive
calendar days after the Contractor becomes aware of sucb circumstance oi
mattec.
3, Submittal Requirements and Waiver of Claims
a. Tf the Contractor does not submit a Conh�actor chauge request
within the time required above, any action by the Contractor related to
such oider, direction, instruction, interpretation, dete�uunation, design
enor or omission, or other matter, including delays or differing site
conditions, will not be considered Uy the Cow�ty as a change to tl�e Project
and the Conh•actor waives any claim for an adjustment on the Contract
price or the Contract time.

b. The Contractor shall, at the time a Contractor change request is
subanitted provide dic Procurement Ofticer with a complete and itemized
pTOposat of ConUact pcice and tiwe adjustments. The proposal shall also
contain a detailed explanation, citu�g alt applicabie pzovisions in this
Contract, which supports the Contractor change reyuest. If the Contractor
does not submit its itemized proposal within the tiute described a6ove or
within such extension, wluch the Procurement OfFicer, in his/her
discretion may have granted in writing, it waives any claim for an
adjustment in die Contract price or Contract time arising out of the act or
event described in the Contract cl�ange request.
c, If a Contractor change request is denied by the Procurement
Qfficer, in whote or in part, any claim for an increase in the Contract price
or Contract tune azising out of the act or event described in the Contractor
change request is waived unless tlte Contractor timely complied with the
provisions of paragraphs 2(a-d)of this Section.
XII. Warrantv and Guarantee• Tests and Inspections' Correction Removal or Accentance of
Defective Proiect Work.
A. WarranTy.
1. The Contr•actor watrants and guarantees to the Cowity that all Project work,
wl�ether supplied, fumished, installed, provided, or performed by Conhactor, a
subcontractor, or supplier, will be in accordance with this Contract and will not be defective
and tUat all Project work shall be perfoimed in a skillful and workmanlike manner.
Additiona(1y, the Conhactor shalS warrant that all equipment which is incorporated into the
Fzoject or any subsystem shali be new,free&om liens and defects in design,have.clear title,
be fi�ee from faulty materials and workmanslvp,aud shali confoim in all aspects to the terms
of this Co�ttract, to the drawings issued for manufacture by the Conhxctor, and shaH be in
conformance witl�the those tectuvcal specifications provided in Section JI (Scope of Work)
of this Conh�ct and Contractor's Proposal. Except where longer periods of wan•anty are
indicated for certain items, Contractor warrants Pmject work, whet(ier fmnished, installed,
provided, perfoiused or supptied by Contractor, a subcontractor ar supplier, to be free finm
_ faulty materials and workmanship a�id.that each piece of equipment or any part thereof
incorporated into the Project or any subsystem shall confoim to the afoiemenrioned
� wairanty and guarantee provisions and be fi•ee from failure for a period of not less than 1
yeaz for warlonanslrip a�id 20 year manufaciurers warrantee from date of Final Payment.
Landscaping replacement shall be warranted for two(2)growing seasons.
2. With respect to all warranties, express or implied, from subcontractors,
manufactucers, or suppiiers for Project work performed a�id materials fiunished under the
Contract,the Contractor shall:
a. Obtain"a(1 warranties that would be given in normai commercial
practice. To the extent that the subcontractoi's, manufacturer's, or supplier's,

standard warrtuity exceeds the mutimiun County requu�ments as set forth in
tivs Section or elsewhere in tlus Contract, the subconh�actor's,
manufacturei's,or supplier's standard warranty shall apply.
b. Requice all wan�anties to be executed, in writing, for the benefit of
the County, if directed by the Procurement Officer;or
c, Enforce all warranties for the benefit of the County, if directed by the
Procurement Officer.
d. Assign all warranties aud guazantees in wiituig to the County upon tlie
request of the County.
B. Access to Project. The Frocurement Officer and the Procurement Officer's
representatives, other representatives of the County, testing agencies and goveimuental agencies
with jurisdictional interests shall have access to the Project, at any time for their observafion,
inspecting and testing. Conh•actor shall provide proper and safe conditions for such access.
C. Tests and Inspeciions.
l. The Contractor shall cooperate with material tesfsng persons and
fsrn�s, and for rcquired inspections, and wmpliance and approva] tests for the work
perfoim'ed by the Contractor or ifs subcontractor.
2. If any laws, ordinances, rnles, regulations, code or order of any public Uody
having jmisdiction requires any Project work (or part thereo� to specifically be inspected,
tested or approved,the Contractor shall assunie full responsibility therefore,pay all costs in
connection therewith and fiirnish tl�e Proctaement Officer the required certificates of
iuspection,testing or approvaL The Contractor shall also be responsible for aud shall pay all
costs 'v� conneotion with �ury inspection or re-testing requu�ed in cottnection with ihe
County's or the Procurement Of�icer's acceptance of a supplier of materials or equipment
proposed to be incorporated in the Project, or of materials or equipment submitted for
approvat prior to the Contr�actor's purchase thereof for inco�po�ation u� the Project. The cosl
of all inspections, testing, re-testing and approv�ls in addition to the above wluch are
required by tkis Contract shall be paid by the Conh•actar(unless othenvise specified). The
Cow�ty will conduct and pay for the confonnance tests on materials installed 'urplace, and .
the Contractor sl�all pay for re-testing of a4 failing and non-confocming materials thereafter.
3. All inspections, tests or approvals othcr tl�an those requn�ed by laws,
ordinances, rule, regulations, code, or order of any public Uody having jurisdiction shall be
� performed by organizations acceptable to the Ptncurement Officer. '
4. If.auy Project work (including the work of others} that is to be inspected,
tested or approved is covered without written concurrence of the Procurement Officer, it
must be uncovered for obseivation. Such uncovering and testing when required by the
Procurement Officer shall be at the Contractor's expense, ,

5. Neither observaHons by the Procw�ement Officer nor uupections, tests or
approvals by others shall relieve the Contractor from tlie Conh•actor's obligations to perfonn

D. Conection or Removal of Defective Work. If requu•ed by the Procurement Officer
or the County, the Contractor shall promptly, as d'v�ected, either correct afl defective Project work,
whetlier or not fabricated, installed or completed, or, if the Project work has beeh rejected by the
Procurement Officer or the County, removc it fi•om the site a�id replace it with uou-defective Pxoject
work. The Conhactor sliall bear all direct, indirect and consequential costs of such coiYection or
removal (including but not limited to fees and charges of engineers, arcliitects, attomeys and.other
professionals)made necessary thereby.
E. Coirection Period. ff wittun rivo (2) years after the date,of Final Payment or such
louger period of time as may be prescribe8 by laws or by the tetms of any applicable special
guaz�antee required by tlte Conttact Documents or by any specific provision of the Contract
Documents,any Project work is found to be defective,the Conhactor shal(promptly without cost to

work, or,if it has been rejected by County,remove it fi•om the site and replace it with non-defective

the terms of such instivcrions, or in an emergency where delay would cause serious risk of loss or
damage, the Cotmry may have the defective Project work con•ected or the rejected Project work
removed and repJaced, aud a(1 d'u•ect, iud'u�ect and consequential costs of such removal and
replacement (inoluding but not l'vnited to fees and charges of eng'vieers, architects, attomeys and
othec professionals) will be paid by tl�e Contractor. Contractor shall also pay for any damage to
other Project wark, other propeity, or person, which occuned as a result of tl�e defective Project
work.
F. County May Con•ect Defective Work. If the Contractor fails willun ten (10)
consecutive calendar days after written notice of the Pcocurement Officer or the County to proceed
to coirect and to correct defective Project wark or to remove and replace rejected Project work as
requu•ed by the Procurement Off'icer or the County in accordance with paragraph D of this Section,
or if the Contractor fails to perfoirn the Project woek in accordance with the Contract Documents,or
if the Contractor fails to comply with any other provision of the Contract Documents, the County
may, after seven(7)days' written notice to the Contractor, con•ect and remedy any such deficiency.

employees such access to the site as may be necessary to enable the County to exercise the iights '
and remedies wider this paragraph. All d'vect, indirect and consequential costs of the County in
exercising such rights and remedies will be chai•ged against tlte Contractor,and a Change Order will
be issued by the County incorporating the necessary revisions in the Contmct price. Such direct,

indirect and consequential costs will include but not be l'united to fees and cl�arges of engineeis,
architects, anorneys and otUer professionais, all court costs and all costs of repair and replacement
of work of others destroyed or damaged by correction, removal or replacement of the Contractors
defective Proyect work. The Contractor shal( not be altowed an extension of the Conhact time
because of airy delay in performance of tl�e Project work attributable to the exercise by the County
of the County's rigltts and remedies hereunder.
�QII. LiquidatedDamaees• It is the County's intent to complete tlus project no later than
August 1, 2014. Liquidated damages of($200) per calendaz• day shall be paid if project is not
completed by that deadline.
A. T'une for Completion. it is hereby understood a�id mutually agreed,by and between
the Contractor and tlie County, that the date of begiimuig Project woxk and the tune of completion
as specified herein are essential conditions of the Contract. The Contractor agrees tbat said Project
shall be prosecuted regularly, diligently, a��d at such rate of progress as will ensnre completion
within the time{s) specified. It is expressly understood and agreed, by and between the Contractar
and the County, that the time(s) for completion of the Project described herein aee reasonable
time(s) for the completion of the Project, taking into consideration the ave�age climatic conditions
prevailing in the localiry of the Project.
B. Time is of the Esse»ce to the Cot�tract. It is further agreed that time is of the
essence in completing tlie Project,and that the Project Work 5chedule and all dates set forth tlierein
� and where in tivs Contract, an additional tnne is allowed for the completion of the Project, the new
time limit fixed by such e�ctension shall be of the essence of the Conhact.
C. Liquidated Damages. Completion of the Project is of pa�runo�mt importance to the
County. Tf any portion of the Project is not completed in accordance with any fime extensions
granted by the County, the County will suffer damage, the extent of which will be impractical and
exiremely difFicult to estimate accurately. Therefore, as part of the consideration for executing the
Contract, it is hereby agreed that the Conhactor sUall pay to the Couuty the liquidated damage
amounts specified in the Contract, This particultu' provision shall not be construed as a penalty
upon said Contractor for failing fully to complete said Project as agreed 'ui the Proposal and this
Contract nor is it intended, but as Liquidated Damages to compensate the County for all costs
incurred as a result of such breach of Contract. .
D, Delays .in Project Completion of Construction Phase, Subject to the terms of
"Excusable Delays", as contained in paragraph E of this Section,the Contractor expressly agrees to
pay tlie County as a s�easonable es6mate of just compensation for damages contemplated with the
olause, tha amount set forth as liquidated damages for each consecutive calendaz day tbat
completion is delayed'ui the construction of tlie Project.
E. F,xcusable Delays-Force Majeure. If,by reason of Force Majeure,any party hereto
shall be rendered unable wholly or in pa�4 to cany out its obligations under this Contract then such
paz�ty shall give notice and full puticulars of such Force Majeure in writing to the other party within
a reasonable time after occurxence of the event or cause relied upon, and the obligation of the party

giviug such notice, so far as it is affected by such Force Majeure, shall be suspended during the
continuance of the liability then claimed, but for no longer period, and any such party shall remove
or overcome sudt inability with all i�easonable dispatcl�. The term Force Majem•e as employed
heieui, sha11 mean acts of God, stvikes, lockouts, or other iudustrial disturbances, acts of public
enemy, orders of any kind of the Govenvnent of the United States or the State of Coloiado or any
polidcal subdivision, except the Coimty, or any civil or militaiy authority, insurrection, riots,
epidcmics, landslides, lightning, euthquakes, fires, lmrricaues, stoims, floods, washouts, dcoughts,
anests, restraurt of goveinment and people, civii dishufiances, explosions, breakage or accidents to
macl�inery, pipelines, oi• canats, or other causes not reasouably within tli� control of the party
claimnig such inaUility. It is understood and agreed that the settlement of strikes and lockouts shall
be entirely within the discretion of the pariy havnig the difficulty, and that the above requirement
that any Foree Majeure shall be remedied with all reasatable dispatch shall not require d�e
settleinent of strikes and lockouts by accecling to ihe demands of the opposing patTy or pazties when
such settlentent is u»favorable to it in the judgment of the party 1�avuig the difficulty. -
F, Cumulative Remedy. The liquidated damages refen'ed to herein are intended to be
and are cumulative and shal( be ua addition to every other remedy now or hereafter enforceable at
law,in eqi»ty,by stafite, or under Contract.
XIV. Teimination of Contract.
A. The County may teiminate this Ca�tract upon the occuirence of any one or more of
the following events:
l. If the Contractor commences a volwitary case under any chapter of the
Ba�ila�uptcy Code (Title II, United States Code), as now oc hereafter in effect, or if
Contractor takes any equivalent or snnilar acGon by filing a petition or otheiwise under any
other federal or state law in effect at such time relating to the bankivptcy or insolveucy;
2, If a petition is filed against Contractor under any ctiapter of the Bankniptcy
Code as now or hereafter in effect at the time of filing, or if a petition is filed seeking any
such equivalent or similar relief against Contractor under any otUer federal or state law u�
effect at the time relating to bankruptcy or insolvency;
3. If the Contractor makes a general assignment for the benefit of creditois;
4. If a hustee, receiver, custodiazi or agent of Conh�actor is appointed under
agplicable law or under ContracY,whose appoinbnent or authority to take charge of property
of Coniractor is for the purpose of enforcing a Lien against such propetty or for the purpose
of general administration of such property for the benefit of Contractor's creditois;
5. If the Contractor persistenUy failsto perform the Project in accordance with
this Contract including but not 1'vnited to, failure to supply sufficient skilled workers or
suitable materials or equipment or failure to adhere to the work schedule established in this
ConU'act;

6. If the Contractor disregards laws, oi�liriances, rules, regulations, or orde�s of
any pubGc body having jiuisdiction;
B. Termination Prior to Expiration of Contract Term. The County has the right to
teiminate this Contract, with or without cause, by giving written notice to the Contractor of such
tentvnation and specifying the effective date thereof. Such notioe shall be given at least ten (10)
days before the effective date of such termination. In such event all finished or unfuilshed
documents, data, studies and repoi4s prepaced Uy the Contractor pursuant to this Contract shall
become the Counry's property. Contractor shall be entitled to receive compensation in
accordance with the Contract for any satisfactory Project work completed pursuant to the ferms
of this Contract prior to the date of termination, Notwitlutanding the above, Contractor shall not
be relieved of liability to the County for damages sustained by the County by virtue of any
breach of the Contract by the Contractor.
XV. Indeoendent Contractor Stah�s.
A. The parties to this contract intend that the relationslup between them
contemplated by tlie contract is tl�at of independent contractor. Contractor, and any agent,
employee, or servant of Contractor shall not be deemed to be �n employee, agent, or servant of
Pitkin County.
B. Contractor is not required to offer his services exchisively to Pitkin Counry under
this conhact. Contr�actor may choose to work for other individuals or entities during the term of
this contract, provided that the basic services and deliverable products required under this
contract are submitted in the manner and on the schedule defined under t{ils contract.
C. Contractor wareants that all work produced will conform to all applicable indushy
standard of care, skill and diligence in the performance of Contractor's obligations under this
contract.
D: Conh�actor shall'not attempt to oversee or supervise the work or actions of az�y
Pitkin County employee, servant or agent in the course bf completing work under this contract.
E. Contractor is not entitled to any Workers' Compensation benefits through Pitkin
County and is responsible for payment of any federal,state, rICA and other income taxes.
F. The Conh�actor shall be requu•ed to complete and submit to the County,a Form W-9
Taxpayer ldentification Nwnber Request.
XVI. ComuutationofTime.
A. When any period of tfine is referred to in this Contract by days, it will be computed
to exclude the first and include the last day of such period. If the last day of any such pedod falls on
a Saturday or Sunday or on a legai holiday,such day will be omit�ed from the computation.

B. All times stated in this Contract are of d�e essence.
XVII. Records and Cost Piicine Data.
A. The Conhactor shall maintain in a safe place at the site one record copy of all
Drawings, Specifications, Addenda, Written Amendments, Cliange Orders, Project Dircctive
Changes, Field Orders and written u�terpretations and c(arifications in good order and annotated
and updated weekly to show all clianges made during constivction. .These record documents
together with all approved samples will be available to the Procurement Officer for reference.
. Upon conspletion of the Project, these record documents and samples will be delivered to tlie
Pincurement Officer for the Cow�ty.
B. The Conhactor slia(1 maintabi ap data and records pertinent to the Project performed
uuder this Conhact, in accordattce with generatly accepted accounting principles,uid shall preserve
and make available all data ac�d records until the expiration of three (3) years £rom the date of final
paymeqt under this Contract, or for such longer peiiod,if uiy, as is required by applicab(e statute or
liy other articles of this Contr•act. The County shall have access to al] such data and records for such
tune period to inspect, audit and make copies thereof dw�ing nonnal business hours. The Conh•actor
covenants and agees that it shall requn•e that any subcontractor utilized in tt�e perfonnance of this
Conhact pernut the authorized representatives of t6e County to similarly 'vvspect and audit all data
and records of said subcontractors relating to the perf'onnance of said subcontractors under tlus
Conhxct for the same time period.
C. If this .Conh•act is wmpletely or paitially temtinated, We records re►ating to the
Project temunated shall be made avaiiable for three (3) years after any resulfmg final teimination
payment.
D. Records pertaining to appeals or to litigation or the settlement of claims arising
under or relatnig to the perfoimance of this Contract shall be made availab]e until dispositiou of
such appeais,litigation, or claims.
XVIII. Miscellaneous.
A. Assignability. This Contract is not assigaable by either party. Any use of
subcontractors by tlie Contractor for perfoimance of tlus Contract must be accepted in writing by
the County.
B. Binding Arbitration. Any disputes arising out of this Contract shall be subject to
binding arbitration, The parties agree that any disputes concerning the terms and conditions o£
this Contract shali be submitted and finally settled by arbitration. Arbitration shall6e conducted
pursuant to the rules of the Americatt Arbitration Association and shall be presided over by the
Pitkin County Hearing Officer appointed to axbitrate Pitkin County Contract disputes. Costs of
the arbitration shall be awarded to the substantially prevailing party.

C. Severability. If any term,secfiou, or other provision of t4�is Contract sl�all, for any
reason, be lield to be invalid or unenforceable, the invalidity or unenforceability of such term,
section, or other provision shall not affect any of the remairung provisior�s of this Contract, and
to this end,each term, section and provision of tliis Contract shall be severable.
D. Integration and Modification. 1'}ris Contract represents the entire and integrated
Contract between the County and the Contractor and supersedes all prior negotiations, .
representations, or Conhact, eitl�er written,or oraL This Contract may be amended only by written
Conh�act signed by botl�the County and tl�e Contr�actor.
E. Contract Made in Colorado. The parties agree that tivs Contract was made in
accordance with the laws of the State of Colorado and sltall be so construed. Venue is agreed to
be exclusively in the courts of Pitkin County,Colorado.
F. Attorney's Fees. In the evevt that legal action is necessary to enforce any of tl�e
provisions of,this Cont�•act including the arbih�ation described in this section, the substantially
pievailing puty sl�all be entitled to its cosis azid reasonable attomey's fees.
G. Governruental Lrununity. Contractor agrees and understands that Pitkin County is
relying on and does not waive the monetaty 1'vnitations or terms or any other rights, immunities,
and protections provided by the Colorado Govenvnental Inununity Act, 24-10-1O1, et seq.,
C.R.S., as from t'vne to time amended, or otheiwise available to Pitkin County or any of its
officers, agents or employees. Further,notlung in this Contract shall be conshued or interpreked to
require or provide for indemnification of tl�e Contractor by the County for auy injury to any person
or any property damage whatsoever which is caused by the negligence or otl�er misconduct of the
County or its agent or employees.
H. Current Year Obligations. The parties acknowledge and agree that any payments-
provided for hereunder or requirements for future appropriations sl�all constitute only currently
budgeted expenditures of Pitkin County. Pittcin County's obligations under this Contract are
subject to Pitkin County's atmual right to budget and appropriate the sums necessary to provide
the services set forth herein. No provisions of tUe Contract sliall constitute a mandatory charge
or requirement in any ensuing fiscal year beyond the then current fisoal year of Pitkin County.

performance of Project at the Conh�act price, wiUtin the Contract time, and in accordance
with the other terms and conditions of this Contract; and no additional examivations,
investigations,tests, reports,or similar data are or will be required by Contractor for such
purposes.
4. Contractor I�as coire(ated t]�e results of all suoh observations,
examinations, investigations, tests, reports and data with tl�e terms and conditions of this
Contract.
S. Contractor has given Procurement Officer written notice.of all conflicts,
errors, or discrepancies that it has discovered in this Contract, and the written resolution
thereof by Procurement Officer is accepfable to Conh•ACtor,

A) Any additional work requested or deemed requued by the Owner shall be billed on a Time
&Materials basis,and is not included in the entract� iice(s).

O.H. for incidental cost(s); tetiless prior agr t is reached in connectioa with Contxact.
C) Deck re lacement is considered an `Undiscovered ', and is impossible to determine
unU t'vne of existing roof removal. Photo documeniation shall be noted and included with
any resulting charges. Deck replacement appears minirnal,at t(us time;excepting the Court
House lower roof area(towards the river),as noted by Ovmer representative core sauiple.
D) Replacement of decking meter�a priar of appfication shall be billed on a Time and
Meterials basis, at a rate NTE�2. s r. ft.
E) The Library roof materials ai�e.s�ociated insulation materials sball be removed to the
structural meta(decking. Replacement of proposed componeut items is detailed in attached
Sample Proposal.
