E. Contractor is not entitled to any Workers' Compensation benefits through Pitkin
County and is responsible for payment of any federal;state,FICA and other income taxes.
8 Assienabilitv. T'his contract is not assignable by either parry., Any use of subcontractors
by the Condractor for perforriiance of this contract must be acoepted in writing by the County.
9: Bindine Arbitration. Any disputes arising out of this contract shall be subject to binding
arbitration. The parties agree that any disputes conceming the terms and conditions of this
contraet shall be submitted and finally settied by arbitration. Arbitration shall be conducted
pursuant to the rules of the American Ai�bitration Association and shall be presided over by the
Pitkin County Hearing Officer appointed fo arbitrate Pitkin County contract dispu[es. Costs of
the azbitration shall be awazded to the substantially prevailing party.
10. Severabilitv. In the event that any provision of this contract shall be held to be invalid or
unenforceable,the remaining provisions of this contract shall remain valid and binding upon the
parties hereto
17. Inte�ation and Modification.
A. This contract represents the entire and integnted contract beriveen the County and
the Contractor and supenedes all prior negotiations, representations, or conkact, either�tiTitten or
oral. This coniract may be amended only by written contract §iened by both the County and the
Contractor.
B. The Gounty may, from time to time, reguest changes in the scope of services of
the Contractor to be perE'onned hereunder. Such changes, incl6ding the inerease or decrease in
the amount of the Contractor's compepsation, which are mutually agreed upon between the
County and the Contractor, shall be in writing and upon execution shall become part of this
contract,
12. Indemni .
A. The Contractor agrees [o indemnify, hold hannless and, not excluding the County's
right to participate, defend the County, its subsidiary, parent, associated and/or af�iliated entities,
successors, or assigns, its elected officials, trustees, employees, agents, volunteers; and any
jurisdiction or age�cy issuing perinits for any work included in the project,hereinafter referred to as
indemnitee, from all suits and claims, including artomey's fees and cost of Gtigation, actions, Ioss,
damage, expense, cost or claims of any character or any nahire arising out of the work done in
fulfillment of tfie terms of this Conhact or on account of any act, claim or amount arising or
recovered under workers' compensation law or arising out of the failure of the Contractor to
conform to any statutes,ordinances,regulation;law or court decree. It is agreed that the Contractor
will be rzsponsible for primary loss invastigation,defense and jud�nent costs where this contract of
indemniry applies. In considerarion of the awaid of this contract,the ConR�actor agrees to waive all
rights of subrogation against the County its subsidiary, parent. associated andlor af6liated entiUes,

B. The Contractor further shall investigate,process,respond to,adjust,provide defense

]3. Insurance. Conh�actor and subconVactors shall procure and maintain until all of their
o6ligations have 'been dischazged; including aiiy waTranty periods under this Contract are
satisfted, insurance againsNclaiins fo� injury to persons or damage to property which may arise
fi�om or in connection�vith the performance of the work hereunder by the Conh-actor, its agents,
representatives, employees or subcontractors.
The insurance requirements herein are minimum requirements for this Contract and in no way
Iimit the indemnity co4enants contained in this Contract.
The Counry in no way warrants that the minimum Iimits contained herein are sufficient to protect
the Contractor from liabilities that aught arise out of.the performance of the wrork undar this
Contract by the Contractor, its agents; representatives, employees, or subcontractors. The
Conhactor shall assess its own risks and if it deeins appropriate and/or prudent, maintain higher
limits and/or broader coverages. The Contractor is.not i�elieved of any liability or other
obligations assumed or pursuant to the Contract by reason of its failure to obtain or maintain
insurance in sufficient amounfs,duiation,or types.
A. Covecage and Limifg of Insurance:
Contractor shal] piovide coverage with limits of liab+liry �ot less ihan those stated below. An
umbrella and/or excess tiability policy may 6e used to meet the minimum liability requirements
provided that the coverage is written on a"following form"basis.

a. Policy shall contain a waiver of subrogation against the County.

B. Proofoflnsurance:
1. Each insurance policy required by .the insurance provisions of this
Con�act shall provide the required coverage and sha11 not be suspended, voided or
canceled except after thirty (30) days prior written notice.has been given to the County,
except when cancellation is for non-pa}2nent of premmm, then ten(10) days prior notice
may be given. Such notice shall be sent directly to Pitkin Counry Facilities Management,
485 Rio Grande Place�'101,Aspen, CO 81611. If the.insurance carrier a�ill not provide
the required notice, the ConsultabdGonhactor and or its +nsurance broker shall noYify the
County of any cancellation, or reduction in coverage or limits of any insurance within
seven(7)days of reczipt of.insdrers' notification to tliat effec[.
• Simultaneously with the Certificates of Insurance,.the Contractor shall file ��ith the
Procurement Officer a certified:statemenc as to claims pending against the required
coverages, reserves established oa account oF such claims, defense costs expended and
amounts remaining on policy limits.
2. In addition,these Certificates of Insurance shall contain ttte following clauses:
a. "[he conhactor's insurazice shall.be primary and non-contributory
with any insurance or self insurance purchased by the County.
b. The insurance companies issuing the policy or policies hereunder
sfiatl i�ave no recourse against[he County of Pitkin for payment of any premiums or
for assessments under any forin of policy.
c. Any and all deducables or. self insured retentions in the above-
described insurance polioies shall be assumeil by and be for the amount of,and at the
sole expense of the Contractor.
d. Locafion of operations shall be:"afl operations and locations at
which worfc for the refe�enced Project is being done."
3. Certificates of Insurance for a11 renewa! policies shall be delivered to the
County's Representatiqe at lea§t fifreen(15) days prior to a policy's expiration date except
for any policy expiring on the expira{ion clate ofihis conh�act or thereafter.
4. The Counry ceserves ihe right to request and receive a copy of any policy
and any polioy endorsement at any tima during the tenri of this conmact

14. Exemotions and Preferences. AIl purchases of construction or building or any other
materials for this contiacf shall nof include Federal Excise Taices orColorado State or locai sales
or use taxes. Pitkin County is exempt from such taxes under registration numbers 98-02624 and
8478000-5K. . �
]5. Records. The Contractor.shall maidtain comprehensive, complete and accurate books,
records, and documents concerning its performance ielating to this conttaM for a period of three
(3)years after final payment under the confract and the County shall have the right within the three
(3) year period to. inspect and audit these'books, records and documents, upon demand, in a
reasonable manner and af reasonable times, for the purpose of determining, by accepted accounting
and auditing standards, complianoe�vith all provisions of the confract and applicable law.
16. Contract Made in Colorado. The paRies agree that this contract was made in accordance
with the laws of the State of Colorado and shall be so construed. Venue is agreed to be
exclusively in the courts of Pitkin County, Colorado.
17. Attomev's Fees. In the event.that legal action is necessary to enforce any of the provisions
of this confract beyond the arbihation described in Paragraph 9, the substantially ptevailing party
shall be entitled to its costs and reasonable attomey's fees.
18. Goveinmental Immunitv. Contractor agrees and undzrstands that Pitkin County is
relying on aad does not waive, by.any provision:of this;contract, the monetary limitations or
(erms (presently. $I50,000 per person:and $600,000 per oceurrence) or any other rights,
immunifies, and protections ptovided by'the Coloiado Goveinmental Immunity Act, 24-10-101,
et seq., C.R.S.,.as from time to t�me'amended, or otherwise available to Pitkin Counry or any of
its o�cers, agents or employges Further,nothing in this contract shall be conshved or interpreted
� to require or provide, for indemnification of the Contractor by the County for any injury to any
person or any property damage whatsoever which is caused by ihe negligence or other misconduct
of the County or its agent or employee§.
19. Current Year Oblieations. The partie§ acknowledge and agree that any paymenu
provided for hereunder or:requ�remenfs for future_appropriations shall constitute only current(y
budgeted expenditpres of Pitkm CounTy Pitkin Courity's obligations under this contract are
subject to Pitkin County's annual �ighf to budget and appropaate ttie sums necessary to provide
the services sef for(h herein. No p�ovisions of the contract§hall constitute a mandatory charge or
requirement in any ensuing fiscal 'year beyond the t}ien onr�ent Sscal year of Pitkin County. No
provision of the.confracf shall be construed or interpieted as creating a multiple-fiscal year direct

Subsurface utilities must be marked on the ground (by others) at the time of our field survey if such
icems are to be a part of this survey(LJtilin•`locates' are to be setup by the client).
A current title commitment for the affected parcels wi11 be necessary to perform this work.
Although we do not anticipate ar�y problems with this sun�ey; SGM has no control over the dif6culty in
finding records,conditions of tersain,densin•of vegetation,severity of weather. and availability of
reliable boundary control monuments.
This estimate could require revision,should additional work be required be}rond the aforementioned
scope of work(such as escessive documenUptat research, statcing building encelope corners, staking of
additional intermediate points along property lines, excessive map revisions as required by others,etc.).
SGM makes every effort to contain costs and provide professiona! results for estimated amounts
presented to clients. SG\4 cannot and does not guazanree that che actual costs will not vary from
estimates indicated above. Howe��er, due to numerous factors, we cannot alw•ays foresee all of the
various additional survey requirements that arise from the various parties involved in such work. SGM
will notify the client at such time as it becomes apparent that additional costs will be incurred
