Pre-Consh�uction Services
THIS CONTRACT is made nnd entered by and beRveen the Pitkin County Board of County
Commissioners("County") and FCI Consh•uctors, Inc. PA, Box 1769 Grand Jnnctiou, Colm�edo
81502,970.434.9093 (hereinefter"Contractor").
Introduction: The Pitkin County Library building is a 31,673 square foot 2.5-stary fi�amed building. lt
currently houses our fully operational library and public meeting spaces. The Library re-design and
the approximate 8,000 square foot addition will reflect timeless, energy eflicient design,
comiectedness ro the commui�ity,and cost consciousness.
The Library�vent through an extensive architectural re-design effort in 2012, but was unsuccessful in
passing a ballot measure for a tax increase to fimd that project The new library project will be more
needs-focused and not as extensive. The Library has hired the architectural finn of Snwvden and
Hopkins, Vail, Colorado, as the Project Architecl. The total project budget will be a maximum of
$5.6 million.
The Pitkin Cotmty Library Board seeks to retain a licensed State of Colorado construction contractor
to provide preconshvction consulting seivices for the Libra�y Expansio�i Project. The firm selected
will be required to work closely with Pitkin Coimty and the Desigu Team of Snowdon and Hopkins
in revie�ving tlie design and plans and providing constructability assessments, cost estimates end
schedules. '
Pilkin County's objective is to forge a productive aud effective relationship behveen the Couuty,
Design Architects, Pitkin County Library Board and the selected Pi�e-constniction Services provider.
Pitkin County does not represent that the selected Pre-construction Services contractor will be
selected for the Construction.Services. The selected Pre-consUvction Services contrector will be
eligible to participate in the Construction Services p�rocw�ement process.
I. Term. The term of this contrect is from October 28.2013 to June 30.2014.
2, Contractor's Obli atg ions. Contractor shall provide Pre-constn�ction services to the
architectw�al design team meetings in Aspeu, Colorado, &om October 30, 2013 to April l5,
2014. Scope includes all services including but not limited to Request for Proposal
documents,and FCI Constructors, lne. Proposel, Exhibit A,dated October l4,2013.
Constniction Budeet Development and Cost Estimating �
o Develop and refine a total construction project cost including soft wsts with material
procuremeot and purohase options.
o Create cash flow projections.
o Update construction cost estimates of increasing detail and refinement es Uie design.
progresses at Conception, Schematic Design and partially through Design
Development,with the goal to be within I S%a of fiill cost.
Value Anelysis
o Identify constmction cost reduction procedures and materials and value engineering
analysis of systems as design progresses.
o Assist with bid package strategies for tlie construction project.
o Assist in green building(LEED 'uispired)viability and optious.
Constructability/Desian Review
o Attendance at scheduled meetings to be held in Aspen fi•om October 30, 2013 - April
I5,2014.
o Attend and participate in the interactive design process for conformance with budget
and schedule objectives and overall constructability analysis.
o Provide knowledge of alI legal and building code issues and cost implications.
o Provide input on site feasibiliry issues.
o Provide technical design input for mechanical and electrical systems and budgets.
o Provide options for maximizing energy efYiciency and sustainable design elements of
the new and existing library.
o Assist lhe design team in the evaluation of existing stnichires included in the scope of
work and Uie integration of the structural design with lhe existiug inf�•estn�chire.
Piroject Schedule Development
o Develop a prelimina�y master construction schedule to incorporate detnil provided by
Ihe design team and trndes with critical milestones and decision dates, updating as tlie
desigi develops.
3. Compensation and Expenses, Invoicin�. Pnvment end Offset. The County shall compensate
Contractor for its services in accordance with the Project Budget and Schedule set out in Paregraph 2.
It is expressly understood and agreed that in no event will tlie total compensation and reimbursement
to be paid hereunder exceed the sum of $13.250.00 ior all scrvices rendered. 8y coutract or
nmendment, the Coimty end Contractor may reallocate Uie budget emong p�vject tasks if the total
budget omotmt remeins unchenged. Contractor shell invoice for the project monthly based on hours
worked, with payment expected within thirty (30) days of invoice, but any payment by the County
may be offset by any amount the Contractor owes the County for any reason.
4. Countv's Exclusive Ownership of Work Product. Drawings (auto cad and/or other elech•onic
files and printed copies), specifications, guideluies eud other documents prepared by Contractor in
connection with this contract shall be the property of the Coimty. However, Contractor shall have
the right to utilize such documents iu the coutse of its marketing,professional presentations, and for
other business purposes. Contractor assigns to County the copyrights to all work prepai�ed,
developed, or created pursuant to this contract, including the right to: I) reproduce the work; 2)
prepare derivative works; 3) distribute copies to the public; 4) perform the works publicly; and 5) to

display lhe work publicly. Contractor shall have riglit to use materials produced in the course of this
contract for marketing puiposes and professioual presentations, articles, speeches and other business
purposes.
5. Pitkin Coimty's Obli atg ions. Pitkin County shall administer this contract tivough e County
Representative. . Jodi Smith, Facilities Superintendeut �vill manage tlte project es the Coimty's
Representative. In the event that Jodi is not available, a County Representative shall be appointed
and assume the County Representative's duties. The services provided and products delivered by the
Contractor under this contract will 6e subject to review by the County's Representatives, or a
designee, for compliance with Conh�actor's obligations prior to final payment.
G. Termination Prior to Expiration of Cmuract Term. The County lias the right to terminate
this contract, with or without cause, by giving written notice to the Conhector of such termination
and specifying the effective date thereoE Such notice shall be given at least ten(10)days before the
effective date of such terminetion. In such event all fmislied or unfinislied documents, data, studies
and reports prepared by the Contractor pucsuant to this contract shall become tlie County's property.
Contractor shall be entitled to receive compensetion in accordnnce �vith the contract for any
satisfacrory work completed pursuant to the terms of this contr�ct prior ro the date of terminetion.
Not witlistanding the above, Contractor shall not be relieved of liubility to the Camty for damages
sustained by the County by virtue of auy breach of the contract by the Contractor.
7. Independent Contractor Status.
A. The paities to this contracl intend that the relAtionship behveen them contempinted by
the contract is that of independent contractor. Contractor, and any ugent, employee, or servant of
Conh•actor shall not be deemed to be an employee,agent,or servent of Pitkin County.
B. Contractor is not required to offer his seivices exclusively to Pitkin County under this
contracL Contractor may choose to work for other individuals or entities during the term of this
contract, provided tliet the basic seivices and deliverable products required under this conh•act are
submitted in the menner and on the schedule defined under this contract.
C. Contractor warrauts that all work produced will conform to all applicable industry
standerd of care, skill and diligence in the performance of Contractor's obligations under this contrnet.
D. Contractor shall not attempt to oversee or supervise the work or actions of any Pitkin
County employee,servant or agent in the course of completing work imder this contract.
E. Contrector is not entitled to any Workers' Compensation benefits througli Pitkin
County and is responsible for payment of any federal, state, F[CA and other income taxes.
8 Assienability. This conh•act is uot assignnble by either party. Any use of subcontractors by
the Contractor for performance of this contract must be accepted in�w�iting by the County.
9. Binding Arbitration. Any disputes arising out of this coutract shall be subject to bu�ding
arbitration. The parties agi�ee that any disputes coucernuig the tenns and conditions of this conlract
shall be submitted and finally seltled by arbitration. Arbitration sltall be conducted pursuant to the .
rules of the American Arbitration Association and shall be presided over by the Pitkin County

Hearing Officer appointed to arbitrate Pitkin Coimty contracl disputes. Costs of the arbitration shall
be awarded to the substantially prevailing party.
10. Severabilitv. L� the event that any provision of this conU•act shall be held to be invalid or
unenforceable, the remaining provisions of this contract shnll remain valid a�id binding upon the
parties hereto.
I l. �rte�ratiou and ModiScation.
A. This coniract represents the entire and integrated contract behveen the County and the
Contiactor and supersedes all prior negotiations, iepi�esentations, or contract, either written or oral.
This contract may be amended only by written contract sigqed by both the County and ihe Conlractor.
B. The County may, from time to time, request changes in the scope of services of the
Contractor to be pe�iormed hereunder. Such changes, including the increase or decrease in the
amowit of the Contractor's compensation, wluch nre mutually agreed upon between the County and
Nie Contractor, shall be in writing and upon execution shall become pait of this contract.
12. Indemni .
A. The Contractor agrees to indemnify, hold harmless and, not excluding the County's right
to participate,defend the County, its subsidiary, parent,associ�ted and/or affiliated entities, successors,
or assigns, its elected officiels, tn�stees, employees, agents, volunteers, and anyjurisdictia� or agency
issuing pennits for any work u�cluded in the project,hereinafter refen�ed ro as indemnitee, fi•om all suits
and claims, including attorney's fees and cost of litigation, actious, loss, demege, expense, cost or
cleims of any cha�pcter or any nature arising out of the work done L� fidfilhnent of the terms of this
Conhxtct or at account of any act, claim or nmount arising or recovered under workers' compensation
law or erising out of the failure ofthe Contractor to conform to eny stnhrtes,ordinances, regulation, law
or comt decree. It is agreed that the Contractor will be responsible for primary Ioss investigatiou,
defeuse and juAgtnent costs wliere this contrect of indemnity applies. In consideration of tlte award of
this contract,the Conti�actor agrees to waive all rights of subrogetion against the County ifs subsidiary,
parent, associated and/or affiliated entities, successors, or assigns, its elected officials, trustees,
employees, agents, and volunteers for losses arising from the work peiformed by the Contrector for the
Cotmty.
B. The Contractor further shall investigate, process, respond to,adjust, provide defense foc
end defend, pay or settle all claims, demands, or lawsuits i�elated hereto at its sole expense and shall
bear all other costs and expenses related thereto, even if the claim, demend or lawsuit is groundless,
false or fraudulent.
13. insurnnce. Contractor and subcontractors shall procure and maintain until all of their
obligations have been discharged, including any warranty periods under this Contract are satis6ed,
insw•ance against claims for injury to persons or damage to property which may arise from or in
connection wilh the performance of the work hereunder by the Contractor, its agents, representatives,
employees or subcontractors.
The insurance requirements herein are minimum requirements for this Contract end in no way limit
the indemnity covenants contained in this Contract.

The Cotmty in no way wnrrants that the minimum limits contained hei�in are sufficient to protect the
Contractor from liabilities that might arise out of the performauce of tlie work under this Contractby
the Contractor, its agents, representatives, employees,or subcontractors. The Contractor shall assess
its own risks and if it deems appropriate and/or prudent, maintain higher limits and/or broader
coverages. The Conh�actor is ��ot relieved of auy liability or other obligations assumed or pursuant to
the Contract 6y reason of its failure to obtain or maintain insurance in sufficient emounts, duration,
or types.
A. Coverage and Limits of hisurance:
Contractor shall provide coverage with limits of liabiliry not less than those steted below. An
umbrella and/or excess liability policy may be used to meet the minimum liebility requirements
provided thal the coverage is written on a"following form"besis.

a. Policy shall contain a waiver of subrogation against the Cotmty.
b. This requirement shall uot apply when a contractor or subcontractor is
exempt under Colorado Workers' Compensation Act., AND when such contractor
or subcontrnctor executes the appropriate sole proprietor waiver form.

B. Proof oflnsurnnce:
I. Each insurance policy required by the insurence provisions of tlus Contract
shall provide the requirad coverage and shall not be suspended, voided or canceled except
after thuly (30) days prior written notice has been given to the County, except when
cancellation is for non-payment of premium, then ten (10) days prior notice may be given.
Such notice shall be sent direcNy to (County Representative's Na�ne & Address). If the
insurance carrier will not provide the required notice, the Consultant/Contractor and or its
insurance broker shall notify the County of any cancellation, or reduction in coverage or
limits of any insurance within seven (7)days of i�ceipt of insurers' notification to that effect.
Simidtaneously �vith the Ce�tificates of Lisurance, tl�e Contractor shall file with the
Procurement Ofticer a ce��ified statement as to claims pending against fhe required coverages,
reseives established on account of such cla�ns, defeiise costs expended and amoimts remaining
on policy lunits.

a. The contractor's insw�ance shall be primary and non-contribulory with
any insurance or self-insurance pwchased by die County.
b. The insurance companies issuing the policy or policies hereunder shall
have no recourse aga��st the County of Pitkin for payment of any premiums or for
assessments under any foirn of policy.
c. Any and ail deductibles or self insured retentions in the above-desa•ibed
insurance policies shall be assumed by and be for the amount of, and at tiie sole expense
of the Conti�actor.
d. Location of operations shall be:"all operations and locations at which
work for the referenced Project is being done:'
3. Certificates of insurance for all renewal policies shall be delivered to the
County's Repiesentative at least fifteen (IS) days prior to a policy's expiiation date except for
any policy expiring on the expiration dete of this contract or tliereafter.
4. The County reserves the right to request and receive a copy of any policy and
any policy endorsement at any time during lhe teirn of this contract.
14. Exemptions and Preferences. All purchases of wnstruction or building or any otlier materials
for this contract shall not include Federal Excise Taxes or Colorado State or local sales or use taxes.
Pitkin County is exempt from such taxes imder registration numbers 98-02624 and 84-78000-SK.
I5. Records. The Contractor shall maintau� comprehensive, complete and aceurate books,
records, and documents concerning its perfonnance relating to this contract for a period of tivee (3)
years after final payment under the contract and the Cowity shall heve the right within the three (3) .
year period to inspect and audit these books, records and documents, upon demand, in a reasonable
manner and at reasonable times, for the purpose of determining, by accepted accounting and auditing
standards, compliance�vith all provisions of tlie contract and applicable law.
IG. Contract Made u�Colorado.The parties agree that this contract was made in accordance with
the laws of die Stete of Colorado and shall be so conshued. Venue is agreed to be exclusively in the
courts of Pitkin County, Colorado.
17. Attorney's Fees. Li the event that legal action is necessary to enforce any of the provisions of
this cont��act beyottd fhe arbitration described in Pu�agreph 9, the substantially pievailing party shall be
entided to its costs and reasonable attorney's fees.
18. Governmental Immunitv. Contrnctor agrees and undeistands that Pilkin County is relying on
and does not waive, by any provision of this conhact, lhe monetary limitations or terms (presenHy
$150,000 per person and $600,000 per occurcence) or any other rights, immunities, and p�rotections
provided by the Colorado Governmental Immunity Act, § 24-10-101, et seq., C.R.S.,as Gom time to
time amended, or otherwise available to Pitkin County or any of its officeis, agents or employees.
Fuither,' nothing in this contract shall be construed or interpreted to require or provide for
indemnification of Ihe Contmctor by the Coimty for any uijuiy to any person or any propeity damage

whatsoever which is caused by the negligence or ather misconduct of the Caunty or its agent or
employees.
19. Current Year Obligations. The parties acluiowledge and agree that auy payments provided
for' I�ereunder or requirements for future epproprintions.shall constitute only currently budgeted
expenditures of Pitkin County. Pitkin Couuty's obligations under this conlract are subject to Pitkui
County's annual right to budget and appropriate the sums necessaiy to provide the services set forth
herein. No provisions of the contract shall constitute a mandatory charge or requirement in euy
ensuing fiscal year beyond tlie then cwTent fiscal year of Pitkin Cpunty. No provision of the contract
shall be construed or interpreted as creating a multiple-6scal year direct or indirect debt or other
financial obligation of Pitkin County witliin the meaning of any constihilional m• stah�tory debt
limitation. This contract shall not direcHy or indirectly obligate Pitkin County to make any payments
beyond those appropriated for Pitkin County's then current flscal year. No provisions of this
contract shall be construed to pledge or create a lien on any class or source of Pitkin County's
moneys, nor shall any provision of this contract restrict the future issuance of Pitkin Coimty's bonds
or any obligations payable from any class or source of Pitkin County's money.
20. Notice. .4ny written notice required by this conhact shall be deemed delivered through any
of the following: (1) hand deliveiy to the person at the address belo�v; (2) delivery by facsimile with
confiimation of receipt to the fax number below; or (3) within three (3) days of being sent certified

Bank. Sinca Ihen we have compleled twenty five projects in lhe Valley, from the Aspen Pilkin County ARFF project, the
2005 Roaring Fork School bond issue which included Ihe$28 million addition and renovation o(Glenwood Springs High
School, Glenwood Springs Middle School and the Carbondale Middle School Relocation projecl.
In September of Ihis year, FCI compieted ihe 8th&Cooper Multi-Use Building and the 9th& Cooper Parking Slructura.
Thls projecl has several owners-the City of Glenwood Springs,Colorado Mountain College, Gar(leld County Library
Districl and lhe City ot Glenwood Downtown Developmenl Aulhorily. This project's preconslruction services were
performed by Tom Traggorlh and lhe projecl was managed by your proposed Project Manager,Stan Kiser. 6ofh projects
were constructed on very tight sltes in high lra(fic,commercial areas thal required detailed logistical planning and careful
schedule management. Il was very impoAanl for FCI to work with neighbors and keep them informed at all times as to
any construcllon activities that would affect their businesses. FCI Constructors is currently working in Glenwood Springs
