WHEREAS, Grantor Red Butte Ranc� Homeowners Association, Inc is
the owner in fee simple of the Open Space Parcel and Grantor RBRI2, LLC is the owner
in fee simple of Lot 1,both(refened to herein as "Grantors' Properiy")as shown on and
described on the Plat map for the Red Butte Ranch. SubdivisionlPUD, which plat has
been filed for rec d in the real property records of Pitkin County, Colorado, on the

WHEREAS, Grantors have agreed to convey to the Properiy to Grantee
subject to the following terms and conditions;and,
WHEREAS, Grantee accepts the Property conveyed hereby and agrees to
the terms and conditions contained in the Covenants set forth below.
Covenants Between Grantor and Grantee:
(a) Use Restrictions. Parcel 1 sha11 be used only:(i)for rock climbing by
members of the public;(ii)passive interpretative educational activities
and wildlife protectian("Educational Uses"};and, (iii)for the Trail
Uses(defined below)along estabtished trails within Parcel 1 existing
on the date of recording this Deed tkat were subject to easements for
irail purposes previousZy granteci ta the Grantee.Nothing herein sha11
be deemed to limit the uses allowed under said previously granted
easements. Parcel 2 shall be used only as an area for ice climbing by
members of the public. Rock climbing,ice climbing aud the
Educational Uses shall collectively be referred as the"Uses:' "Trail
Uses"shall be limited to non-motorized pedestrian,bicycle riding and
horseback riding activities. Subject to the specific provisions contained
herein,the Uses and Trail Uses shall be regulated by the Grantee
according to Title 12 of the Pitkin County Code,and may be further
limited by a management plan adopted by Grantee. Said plan shall
incorporate the restrictions contained herein. In the event of any
conflict between the provisions of T'itle 12,the Management Plan and
this Deed,the provisions that are must restrictive of the uses and which
provide the most protection to Grantor's quiet enjoyment of Grantors'
Property shall be given effect.The 1Jses shall not be alIowed prior to
the adoption of said plan. No other uses are permitted,unless Grantee
first obtains the written consent of(3rantor thereto,which consent may
be withheld in Grantor's sole discrerion.
(b) In order to prevent trespass onto Grantors' Property, Grantor shall have
ttie right to construct a fence along�he common boundaries between
Parcel 1 and Parcel2 of the Property and Grantors' Property. Said
fences sha11 be wildlife frienclly in ctesign. Said fences may each have a
gate installed at a reasonable location selected by Grantor to facilitate
access by Grantor to the Properiy. �Grantor may install a lock on said
gates to prevent trespass onto Grantor's Property.
(c) Grantee shall pvst"No Trespassing"signs along the common
boundaries between the Property and Grantors' Property. Said signs
sha11 be posted not less than 300 fec:t apart.
(d) Dogs sha11 be leashed on Parcel 1 and prohibited on Parcel2.
(e) Grantee shall construct,install and maintain a sign at a location
reasonably selected by Grantors on each of Parcel 1 and Parcel2

acknowledging Grantors' dedication of said parcels.The attribution
shail be selected by Grantors and shall be appmpriate and reasonable
under the circumstances.
(� The Uses arid Trail Uses sha11 be permitted only from the hours of
sunrise to seandown.No motorized equipment or vehicles shall be
permitted on the Property. Loud noise,amplified sound and activities
which would constitute a nuisance are prohibited.
{g) The Grantor,its successors and assigns,shall have the rigl�t to specific
performance of the terms and conditions set forth herein.
These covenants and restrictions shall be binding upon and inure to the benefit of the
Grantors and the Grantee and their respective successors and assigns,and shall be
deemed covenants running with the title to the Property and Grantors' Property.

CLIl�IBING.AREAS ON RED BUTTE RANCH SUBDIVISION
ORDINANCE#G�-�,SERIE5 OF 2012
RECTTALS
1. RBR 12 LLC, R.BR 34 LLC, (formerly RBR 345LLC), RBR 5 LLC, and RBR Home owners
Association ( the "ApplicanP') together are current owners of the Red Butte Ranch Subdivision,
located on McLain Flats Road. In 2009,the Applicant sought a major plat amendment to the Red
Butte Ranch subdivision.
2. BOCC Resolution 08-2009 grantec!approval of the plat amendment conditioned on the conveyance
of a conservation easement on the natural areas of the ranch, and fee simple conveyance to the
County of lands containing the"Gold Butte"rock climbing atea and the"Sewer Falls"ice climbing
area,
3. The Appticant has submitted a Deed of Conservation Easement encumbering S9 acres of the natural
area on Red Butte Ranch, to be granted to Aspen Valley Land Trust and Pitkin County Baard of
County Coznmissioners_ The Applicant also suhmitted a Deed for the 12.58-acre Gold Butte Parcel
and.6-acre Sewer Falls Parcel.
4. On September 26,2012,the Open Space and Trails Board(OSTB)recommended to the BOCC the
acceptance of both of these property interests and the designation of these property interests as open
space assets. The OSTB further recommended ttaat a climbing management plan be created in
consultation with the climbing community before the Gold Butte Climbing area is open to the
public.
5. The conservation easement and deed for the climbing areas have been approved by the County
Attorney and Open Space and Trails Director_
NOW THEREFORE BE IT ORDAINED by the Board of County Connmissioners of
Pitkin County,Colorado,that:
1_ The Board accepts the conveyance of a conservation easement on agpmximately 59
acre of Red Butte Ranch to the County, with Aspen Valley Land Trust as a co-
grantee.
2. The Board accepts the conveyance of the Gold Butte and Sewer Falls climbing areas.
3. 'The Board designates both of these property interests as open space assets,placing them
under the management by the Open Space and Trails Department.
